Recitals
b. In connection with and in order to explore and evaluate the financial stability and history
involving the property, the Seller will be asked to disclose to ___________________ (“the Buyer”)
certain confidential and/or proprietary information relating to the Property.
NOW. THEREFORE, in consideration of the mutual covenants and promises set forth below
and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
the parties agree as follows:
1. Recitals. The Recitals set forth above are hereby incorporated by reference into this
Agreement.
3.2 The Buyer covenants that it and its shareholders, officers, directors, employees,
agents, representatives, contractors or other persons which it may engage, employ or control,
shall keep the Confidential Information in strict confidence and not directly or indirectly disclose,
publish, disseminate, make available, discuss or otherwise communicate in any way, to any person,
firm, association, partnership, corporation or other entity, any Confidential Information of the
Seller, without Sellers prior written consent, unless otherwise expressly permitted hereunder.
The Buyer shall make the Confidential Information available only to those employees, agents,
representatives, contractors, consultants or other persons, which it may engage, employ or
control who have a reasonable need for such Confidential Information.
3.3 The Buyer shall not make copies of the Confidential Information except as may
be necessary to evaluate the possible business transactions between the parties relating to the
Assets.
3.4 The Buyer shall not reverse engineer, disassemble or decompile any intellectual
property related to the assist.
3.5 Notwithstanding the foregoing, nothing in this Agreement shall prevent disclosure of
Confidential Information required by law (including, without limitation, any disclosures required
by any applicable Federal or state securities or tax laws, rules or regulations) or any court (“Legal
Requirements”), as reasonably determined by the Buyer. However, in the event that the Buyer
reasonably determines that it is required to disclose any Confidential Information in accordance
with the following, it shall provide Buyer with as prompt advance written notice as is reasonably
possible and shall make all reasonable efforts to confer with the Seller concerning the nature of
such Legal Requirements and the information which must be disclosed in connection therewith.
6. Remedies. The parties hereto recognize and acknowledge that the Confidential
Information is of a unique, special and extraordinary character that would be difficult or impossible
to replace, and that a breach of any provision of this Agreement would cause the other party to
suffer substantial and irreparable damage. Consequently, in addition to any and all remedies
available at law, in the event of an actual or threatened breach or violation of any provision of
this Agreement, any party hereto shall be entitled to an injunction to be issued by any court of
competent jurisdiction restraining the other party hereto from committing any further breach
or violation of this Agreement, and each party hereto hereby consents to the issuance of such
an injunction without need of a bond or a showing of actual damages. In addition, each party
hereto shall be entitled to recover all attorneys’ fees and court costs incurred by it in enforcing
its rights hereunder. Such remedies shall, however, be cumulative and not exclusive, and shall be
in addition to and not in limitation of any other remedy or remedies which the parties may have
under this Agreement, at law, in equity, or otherwise. Such rights and remedies shall survive the
termination of this Agreement and shall be enforceable by each party hereto and its successors
and assigns.
7. Miscellaneous. This Agreement sets forth the entire understanding and agreement
of the parties with the respect to its subject matter and may not be modified or altered except by
the written agreement of all parties hereto.
7.1 The terms and provisions of this Agreement shall be binding upon and inure
to the benefit of the parties hereto and their successors and assigns, except that this Agreement
may not be assigned by either party without the prior written consent of the other party.
7.2 This Agreement shall be governed by and construed in accordance with the
laws of the State of Maryland.
7.3 If any clause or provision contained in this Agreement operates or would
operate to invalidate this Agreement, in whole or in part, then such clause or provision only shall
be held ineffective, as though not herein contained, and the remainder of this Agreement shall
remain operative and in full force and effect.
7.4 The parties hereto shall do all such further actions and execute all such further
documents as are necessary and proper to effectuate the intent and purpose of this Agreement.
