Agreement for Permanent Staff

This is an Agreement between COMPANY (hereinafter referred to as the AGENCY) a company incorporated in United Kingdom with a place
of business located at ADDRESS AND -------- (hereinafter referred to as the CLIENT) a company incorporated in --------- with a place of
business located at ----------------------------------------------------------------------------------------------.

1. DEFINITIONS

1.1 Definitions in this Agreement:

CLIENT means the person, firm or corporate body together with any subsidiary company or associated company (as to which the Applicant
is introduced by the AGENCY;

AGENCY means Ignitely Ltd who is instructed by CLIENT to introduce Permanent staff;

APPLICANT means the person introduced by the Agency to the Client for an Engagement and includes any officer or employee of the
Applicant if the Applicant is a limited company; and any members of the Agency's own staff;

INTRODUCTION means (i) the Client’s interview of an Applicant in person or by telephone, following the Client's instruction to the Agency
to search for an Applicant; or (ii) the passing to the Client of a curriculum vitae or other information which identifies the Applicant; and
which leads to an Engagement of that Applicant by the Client;

ENGAGEMENT means the employment or use of the Applicant by the Client or any third party designated by CLIENT on a permanent or
temporary basis, whether under a contract of service or for services, under an agency, license, franchise or partnership agreement; or any
other engagement directly or through a limited company of which the Applicant is an employee or officer;

INTRODUCTION FEE means the fee payable to the Agency by the Client following an Engagement of the Applicant by the Client or a third
party following an Introduction, calculated as set out in these terms herein;

REMUNERATION means and includes the base salary or fees , guaranteed and/or anticipated bonus and commission earnings, allowances,
inducement payments, and all other payments and taxable (and, where applicable, non-taxable) emoluments payable to or receivable by
the Applicant for services rendered to or on behalf of the Client. 1.2 Interpretation in this Agreement:

i. Unless the context requires otherwise, references to the singular include the plural and references to the masculine include the
feminine and vice versa;
ii. Words denoting individuals or persons include corporations and vice-versa;
iii. Headings are for convenience only and do not affect their interpretation;
iv. When providing services pursuant to these terms of business, the Agency is acting as an Employment Agency regulated by the
UK Employment Agency Rules.

2. THE CONTRACT

2.1 These terms of business constitute a contract between the Agency and the Client and are deemed to be accepted by the Client by
virtue of an Introduction to or Engagement of an Applicant (including a direct Introduction) to Client and any third party following an
Introduction;

2.2 This Agreement supersedes any and all previous agreements and representations between the parties, whether written or oral, in
relation to the matters referred to in this Agreement;

2.3 This Agreement may be varied only by written agreement of the authorized signatories of the parties and

2.4 Any indulgence or waiver granted under this Agreement by either party will not be deemed to be a waiver of rights in respect of breach
or non-observance of the terms of this Agreement.
3. NOTIFICATION AND FEES

3.1 The CLIENT agrees:

i. To inform the Agency immediately of an offer of Engagement which it makes to the Applicant;

ii. To immediately notify the Agency of the acceptance of offer by Applicant and to provide details of the Remuneration including
Applicant’s commencement date and

iii. To pay the Agency fee within 10 days of the date of invoice provided to it by the Agency upon the commencement of
Engagement by the Applicant.

3.2 Except in the circumstances set out in clause 5, no fee is incurred by the Client until the Applicant commences the Engagement.

3.3 The Introduction Fee payable to the Agency by the Client for an Introduction resulting in an Engagement is calculated as a percentage
of the Remuneration applicable during the first twelve (12) months of the Engagement as follows:

Annual Remuneration 18% Charge

3.4 In the event that the Engagement is fixed for a period of less than twelve (12) months, the fee on sub-clause 3.3 will be pro-rated. If the
Engagement is extended beyond the initial fixed period or if Client re-engages the Applicant within six (6) calendar months of the
termination of the first Engagement the Client shall be liable to pay a further fee based on the additional Remuneration applicable for the
period of engagement following the initial fixed period up to the termination of the second Engagement period or the first anniversary of
its commencement, whichever is sooner.

3.5 Should the Applicant resign within six (6) months from the date of hiring, the Agency will provide a replacement free of charge.

3.6 Where the actual Remuneration is not made known to the Agency, the Agency will charge a fee calculated in accordance with sub-
clause 3.3 on the minimum level of Remuneration applicable for the position in which the Applicant has been engaged with regard to any
information supplied to the Agency by the Client and or comparable positions in the market generally for such positions.

3.7 If the Client fails to pay any amount payable under these terms of business the Agency shall be entitled to charge late payment interest
on the overdue amounts at 1% per month which will accrue daily at a simple interest rate up to the date of actual, after as well as before
judgment.

4. INTRODUCTIONS
Introduction of Applicants are confidential. Disclosure by the Client to a third party of Applicant details introduced by Agency that resulted
in Applicant’s Engagement by that third party within six (6) months of the Introduction renders the Client liable to payment of Agency fee
as set out in sub-clause 3.3 above with no entitlement to any refund.
5. CLIENT/AGENCY UNDERTAKING
5.1 Client undertakes to provide the Agency with the following details when requesting applicant Introduction services:
i. The expected commencement date and or duration if Engagement is on a fixed term;
ii. The detailed job specifications, qualifications and training or certifications considered necessary;
iii. The work location, working hours and if role is subjected to health and safety risk and if so, steps taken to prevent or control
such risks;
iv. The salary or rate of pay for successful Applicant, including all cash and non-cash benefits offered by Client;
v. The notice period required of Applicant to give and which the Applicant is entitled to receive up end of employment and
vi. Any other information that Client considers necessary or relevant to enable the Agency to search and present the most suitable
Applicants.
5.2 The Agency undertakes to ensure the suitability of any Applicant introduced to the Client by:
i. Verifying the authenticity of the Applicant’s identity;
ii. Confirming that the Applicant has the relevant experience, training, qualifications and any certifications which the Client specified;
iii. Confirming that the Applicant is willing and interested in the role that the Client is seeking to fill;
5.3 Notwithstanding the above, the Client must satisfy itself of the suitability of the Applicant and Client shall conduct any reference checks
with references provided by the Applicant before the Engagement of such Applicant. The Client shall be responsible for obtaining work and
other permits if so required and for arranging medical examinations and or investigations into the medical history of any Applicant
including other required certifications or qualifications that may be required by the law of the country in which Applicant is engaged to
work.
6. LIABILITY
The Agency shall not be liable for any loss or damage, or other costs irrespective of how they are caused, which the Client may suffer or for
which the Client may become liable arising out of, or in connection with the Introduction or not of Applicant to the Client, or the
Applicant’s subsequent employment with the Client.
7. CONFIDENTIALITY
The Agency observes strict confidentiality on the information received from the Client in relation to the assignment. Similarly, Client agrees
to observe strict confidentiality on all the information provided of the Applicants. CLIENT shall comply with the UK Data Protection Act
2018 (GDPR). CLIENT shall not collect, use, or disclose individual personal data without obtaining their consent.
8. GOVERNING LAW
This Agreement and all questions arising under or in connection with this Agreement shall be governed and determined by the laws of
United Kingdom to whose courts the parties irrevocably submit.
