OFFER OF EMPLOYMENT
Dear Ayush,
Congratulations! We are excited to extend an offer of joining UNACADEMY, on the following terms and
conditions.
1. APPOINTMENT
3. PROBATIONARY PERIOD : You will be required to serve a probationary period of 6 months. Your
performance will be formally reviewed by 9/31/2021. Your probationary
period may be extended, based on performance if deemed necessary.
4. WORKING HOURS : Monday to Friday: 10.00 am - 7.00 pm (Lunch: 1 hour). However, you may
be required to work such additional hours as are necessary to meet the
business demands of the job.
5. TOTAL COMPENSATION
a) Annual : You will be paid a fixed compensation of INR 1,340,100 per annum.
Remuneration Annexure 1 provides detailed compensation break up. This does not
Package include variable compensation which will be prorated for tenure in that
year. Exact amount will be determined by the board based on company
and individual performance at the end of fiscal year.
b) Performance : 2-way personnel review will be done on an annual basis between every
Appraisal employee and his / her immediate manager.
c) Leave & Holidays : Privilege leave: 12 days proportionate to attendance in each financial
year (cashable upon exit from the company). All employees will be
entitled to privilege leave on pro-rata basis computed from the date of
joining and credited after completion of Probation period & thereafter
on 1st of January on accrual basis. The total no. of privilege leave that
can be carried forward to the succeeding year shall not be more than 20
days.
6. GENERAL
a) Notice of : This appointment may be terminated by either party giving to the other

b) Intellectual Property : We have extended this offer to you based upon your general
of other Employer knowledge, background, experience and skills and abilities and not
(s) because of your knowledge of your current employer's or any previous
employer's trade secrets or other company specific information. As a
condition of employment with us, you agree not to disclose or use
confidential or proprietary information or any trade secrets of any
current or prior employer. In this regard, you should be extremely
careful not to bring any documents or other materials in tangible form
Assignment of : During your employment with us, you will, without additional
Intellectual Property compensation, promptly disclose and shall hereby assign to us, all
intellectual property rights to patents, trade secrets, copyrights,
trademarks, designs, processes, methods, improvements, ideas,
copyrightable works, and other intellectual property.
c) Confidentiality : All employees shall maintain total confidentiality of all process and
know - how, security arrangements, administrative and / or
organizational matters of a confidential / secret nature, all business
related information / documents / files etc. to which you have access to
directly or indirectly.
d) Corporate Ethics : Each employee will help us abide by all laws applicable to our business
including copyrights, trademarks, privacy.
e) Conflict of interest : As full time employee you shall not engage in any outside work, in any
capacity, for remuneration or not, over and above the legitimate work
with us on duty days, on holidays or when on leave without obtaining
the manager’s prior permission in writing.
f) Other information : The employee shall provide us his / her address of communication and
any communication sent at such address shall be deemed to have been
properly sent by us and received by the employee.
During the period of your employment, you will be governed by the prevailing guidelines of our
business as there may be, which are issued and or amended with cause, from time to time. This offer
is subject to verification of your employment and salary history. Any false information provided is
subject to termination of employment without any compensation.

* Variable Compensation, is payable at the end of the fiscal year, prorated for tenure with the
company. It will be determined by the board based on company and individual performance, and
this is an indicative amount. The variable pay amount is payable only if you are on the rolls of the
organisation on the date of disbursement & not serving notice period. Commitment period of 5
years need to be followed from date of joining, if the employee wishes to end contract before 5
years company reserve rights to demand compensation of amount equal to total monthly fixed
salary drawn in the month preceeding the resignation or termination.
