Hereinafter referred to as “Co-operativehost”

On the one hand

AND:

Mr Giuseppe Lidonnici

Hereinafter referred to as “The Employee”

On the other hand

DECLARATIONS

Co-operativehost and the employee wish to come to an agreement by which Co-


operativehost employs Mr Giuseppe Lidonnici as a senior developer, All
responsibilities are described in the attached job description.

ARTICLE 1 – REMUNERATION

1.1 Co-operativehost undertakes to pay the sum of 2500 USD per month + 10% of any
allocated project subject to performance + 20% of any new business introduced by Giuseppe
Lidonnici. All bonuses are subject to performance and company discretion. This amount will
be paid into the employee bank account that the employee will indicate.

1.2 In addition, the employee is entitled to:

The standard Bonus scheme of Co-operativehost which is based on performance and


achievements.

ARTICLE 2 – CONDITIONS

2.1 The employee undertakes not to engage in any activities that conflict with
the interests of Co-operativehost.

The employee further undertakes not to join any work or contract without
written approval of Co-operativehost.

2.2 The employee will at all times endeavour to represent the best interest of
Co-operativehost in the territory.

ARTICLE 3 – INSTRUCTIONS

The employee will receive his instructions and objectives from, The company director
and The business Manager, detailed job description is attached and have to be followed.

ARTICLE 4 – SECRECY

Co-operativehost will supply information as is necessary to enable the employee to carry


out his work under this Contract. It is understood that, as much of this will be of a
confidential nature and must not be given to (a) third party (ies) without the written
permission of Co-operativehost.

ARTICLE 5 – DURATION OF THE CONTRACT

This contract is intended to be Mr Giuseppe Lidonnici Employment contract, starting from

1 February 2011 is the PROBATION PERIOD with a duration of (6) months, after the
probation period either party may terminate this Contract by giving (3) months prior
written notice.

ARTICLE 6 – TERMINATION OF THE AGREEMENT

On termination of the contract, for any reason, the Employee agrees to return to Co-
operativehost or its nominee all files and confidential information, FREE OF CHARGE.

ARTICLE 7 – ARBITRATION

All disputes arising in connection with this contract shall be conclusively settles under the
rules of conciliation of the International Chamber of Commerce by one or more Arbitrators
appointed in accordance with the rules. The Arbitrators shall apply the British law.
