DEED OF ABSOLUTE SALE

This Deed of Absolute Sale (“Deed”) is executed by:

PAT BAER, Filipino, of legal age, and with residence


address at Block 55, Lot 11, Cattleya Street, Zone 15,
Barangay Rizal, Makati City (“SELLER”);

-and-

MICKEY CULLEN, Filipino, of legal age, and with


residence address at 45 Hill Street, Filinvest II-B, Quezon
City (“BUYER”);

Hereinafter referred to as the “Parties.”

RECITALS

WHEREAS, the SELLER is the absolute and registered owner of a


condominium unit described as Unit 1567, Tower 3, Light Residences,
Mandaluyong City, with an area of Twenty-Three Point Forty-Seven (23.47)
square meters, covered by Condominium Certificate of Title (“CCT”) No. 008-
2019829865 issued by the Registry of Deeds for Mandaluyong City (the
“Property”), and more particularly described in the attached copy of CCT No.
008-2019829865;

WHEREAS, the SELLER agreed to transfer and convey to the BUYER,


and the latter agreed to acquire from the SELLER the above-described Property;

NOW, THEREFORE, for and consideration of the total sum of ______


Pesos (P______) Per Square Meter or a total of ___________ Pesos
(P_______) (“Purchase Price”), the SELLER transfers and conveys to the
BUYER, by way of absolute sale, the above-described Property, inclusive of any
and all appurtenant rights and interests, free from all liens and encumbrances,
subject to the following additional stipulations:

1. The SELLER acknowledges receipt of the full Purchase Price upon the
execution of this Deed;

2. The SELLER warrants that he holds title to the Property, with absolute right
and authority to dispose the same, free from all liens and encumbrances,
and that henceforth, full right of ownership and possession thereof shall
pertain to the BUYER.

3. The SELLER also warrants that the Property is not the subject of a pending
or threatened action, suit, investigation, proceeding, tax claim, or dispute
which could adversely and materially affect the ownership of the SELLER
and the SELLER’s ability to validly transfer title or ownership over the
Property to the BUYER. To the best knowledge of the SELLER there exists
no basis for any such action, suit, investigation, proceeding, tax claim, or
dispute.

4. In case of breach by the SELLER of any warranty or representation, the


SELLER shall indemnify the BUYER for whatever damages the BUYER
may suffer as result of such breach, including attorney’s fees.

5. All taxes and expenses due on the sale and transfer, including the capital
gains tax, documentary stamp tax, local transfer tax and registration fees,
as well as all accrued and due real estate taxes on the property, shall be for
the account of the SELLER. These taxes and expenses may be advanced
by BUYER at his sole discretion, subject to the SELLER’s immediate
reimbursement.

6. The SELLER shall indemnify the BUYER for any liability the latter will incur
as a result of the SELLER’s failure to file the proper return and/or to pay the
withholding tax, or the SELLER’s delay in the filing of the return and/or in
the payment of the withholding tax due.

7. The SELLER shall deliver to the BUYER physical possession of the


Property upon the execution of this Deed. The Property shall be delivered
by the SELLER to the BUYER in tenantable condition.

8. Failure on the part of the SELLER to transfer and deliver to the BUYER the
TCT covering the Property duly issued in the name of the BUYER,
free and clear of all liens and encumbrances, shall entitle the BUYER
to rescind this Deed and upon such recission by the BUYER, the
SELLER shall return the Purchase Price in full.

9. The SELLER agree to execute any and all further deeds, papers, or
instruments necessary to effect the sale and transfer of the subject
property to BUYER.
