APPLICABLE LAW

By what laws shall the contract be governed?

A contract of sale is governed by the law chosen by the parties. The parties'
agreement on this choice must be express or be clearly demonstrated by the terms of the
contract and the conduct of the parties, viewed in their entirety. Such a choice may be
limited to a part of the contract.

 Therefore, This Contract is governed by the laws of Singapore.

What laws shall not apply to the contract?

The United Nation Convention on Contracts for the International Sale of Goods
shall not apply to this Contract. Any dispute arising out of or in connection with this
Contract shall be submitted to Singapore International Arbitration Centre for arbitration
in Singapore with its then effective rules. The arbitral award shall be final and binding on
both parties.

SLIDE 12. ART. ENTIRE AGREEMENT

1. Does the contract constitute the entire agreement between the parties?

This Contract constitutes the entire agreement and understanding between the parties.
There are no understandings, agreements, conditions, reservations, or representations,
oral or written, that are not embodied in this Contract or that have not been superseded by
this Contract.

2. According to the contract, what does “entire agreement” mean?

An entire agreement clause in a contract asserts that the contract constitutes the whole


agreement between the parties and seeks to prevent the parties from relying on any
preceding agreements, negotiations or discussions that have not been set out in the
agreement.
3. What documents form part of the contract?

In addition to the text of Contract itself, the documents listed below shall form part of
the Contract. All listed documents and the clauses of this Contract shall be read, if
possible, so as to be consistent. In the event of conflict, the order of precedence for the
provisions and documents which constitute this agreement shall be as follows:
