2.3 BUSINESS OWNERSHIP: PARTNERSHIP

Partnership is the proponents’ form of business ownership, where there is a legal
agreement set forth, arranged and discussed to each partner during the formation of the
business. The agreement includes decision making, profit sharing and liability
responsibilities of each partner. According to the “Article of Co-Partnership”, a
partnership is a form of business which is owned by two or more persons who
contribute money or capital, talent or industry with the intention of dividing the profits or
losses among themselves.

The proponents agreed to form this partnership;

First, because it is simple and easier to form. Mere agreement is needed together with
the partner’s solid cooperation and nurturing synergy. Second, the proponents can
maximize their preference and skills for the benefit of the business. Lastly, the business
can generate and provide each partner with the benefit of larger reserve fund of capital,
expertise and other resources. However, unlike the other forms of business, a
partnership only has a limited life. Also, if one of the partners incurs a liability, that
liability will not be limited to him but his shares in the partnership will also affect, and
there is also a possibility of divided authority and vulnerability to disagreement on major
decisions and issues among the partners; and the business will be managed and owned
by several types of partners:

1. Capitalist Partners - One who contributes money or property to the common fund
of the partnership. There are four (4) capitalist partners:

• Two capitalist partners will provide the money which will be used to finance in
building the place.

• One capitalist partner will provide the lot for the hotel and resort where the general
operations of the business will be done. And, where the business transactions,
particularly with the clients will be done.
• One capitalist partner will provide the money which will be used to finance the

They choose Limited Partnership as the type of business organization. A limited

partnership exists when two or more partners unite to jointly conduct a business in which
one or more of the partners is liable only to the extent of the amount of money that
partner has invested. It includes both general partners and limited partners.

Profits and losses shall be distributed in conformity with the stipulation in the
agreement (such as that agreed upon in the Articles of Partnership). In case the partners
agreed merely on the share / distributions of profits, it is understood that losses shall be
in the same proportion.

A General Partner has unlimited liability and is characterized as one of the primary
owners of the resort, responsible for participating in management decisions as well as all
legal and financial obligations of the company.

A limited partner has limited liability and is typically an investor who has provided
capital in exchange for a shared interest in the business. The partners generally cannot
