IRREVOCABLE SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

TEODORA MENDOZA, Filipino, of legal age, with addresses at Nasugbu, Batangas, DO


HEREBY ACKNOWLEDGE that the real property covered by and embraced in Transfer
Certificate of Title No. T-50817 of the Register of Deeds of Nasugbu, Batangas, which is more
particularly described as follows:

the original survey, August 28-September 1, 9-14 and
December3-8, 1929 and that of the consolidation and
subdivision survey, April 1- August 8, 1949 which was approved
on September 21, 1961.

had been registered in her name and the legal estate granted to her, but the purchase price
therefor had been paid by RUEL B. VILLAFRIA, Filipino, of legal age, with address at no. 242 J.
P. Laurel St., Nasugbu, Batangas, for which reason an implied trust has been created in favor of
the said RUEL B. VILLAFRIA under Article 1448 of the New Civil Code, and TEODORA

MENDOZA, with the intention to discharge the trust, DO HEREBY CONSTITUTE AND APPOINT
RUEL B. VILLAFRIA as her true and lawful Attorney in Fact, to do and perform the following
acts, to wit:

1. To sell, dispose, convey, deliver and transfer the above


described real property for such price and on such terms and
conditions as the said RUEL B. VILLAFRIA may deem proper;

2. To make, execute, sign and deliver such contract, document,


agreement or receipt to evidence any sale, transfer or
conveyance;

3. To demand, receive and collect in his name and for his own
account the proceeds of any such sale, transfer and
conveyance, the intent being to fully discharge the trust in his
favor;

4. To prosecute and defend, compromise and settle any claim, suit,


action or other proceeding before any court or tribunal involving
the above described property, or the sale, transfer or
conveyance thereof.

HEREBY ACKNOWLEDGING AND RECOGNIZING that an implied trust under Article


1448 of the New Civil Code has been created in favor of the said RUEL B. VILLAFRIA, who has
an interest in the above described property to the extent of the full value thereof, and it is
therefore agreed that the said Attorney in Fact is hereby irrevocably vested with the powers
granted herein, and TEODORA MENDOZA does hereby forever renounce all right to revoke this
power of attorney, or any of the powers conferred herein, or to appoint any other person to
execute the said powers, or to exercise the powers themselves.

HEREBY GIVING AND GRANTING unto the said RUEL B.. VILLAFRIA full and
irrevocable power and authority whatsoever requisite and necessary to be done in and about
the premises, including the power to appoint a substitute attorney, under circumstances he may
deem appropriate, with powers he may deem necessary, and for whatever period he may deem
suitable, the intent being to fully discharge the trust in his favor, and TEODORA MENDOZA
hereby ratifIes and confirms the appointment of any substitute, and all that RUEL B. VILLAFRIA
may do or cause to be done under and by virtue of the premises.

IN WITNESS WHEREOF, the parties hereunto set their hands this ___ day of April, 1999
at Nasugbu, Batangas.
