1.0 Digitally Secured and percentage rate TENDER are invited through electronic
Tendering system (E-TENDER) by the Executive Engineer (C) from reputed,
experienced and registered contractors registered under appropriate class if any
with Central or State Government / Semi Government Department/PSU as well
as registered contractor under MSEB HCL Online registration system for works
and contracts with the Pre- qualifying requirements as under for the following work
at „Prakashgad‟ Bandra Mumbai. (M.S.)

NAME OF THE WORK :- Replacement of existing Telephone Exchange


(EPABX) installed at Prakashgad Building, Bandra with server gateway IP
EPABX.

2.0 PRE-QUALIFYING REQUIREMENTS

Eligible Bidder
1) The proposed telephony system should have valid type approval certificate
from TEC (Govt. of India) for server and media gateway architecture with
IPv4 & IPV6 for SIP trunk ( with SBC ) and SIP terminal. – To submit valid
TEC certificate copy.

2) The bidder should submit valid OEM authorization letter for IP EPABX
system as per format Annexure –M.

3) The bidder should have minimum 7 years business association and valid
trade agreement with OEM. The confirmation letter of OEM should be
attached.

4) Warranty certificate of OEM for one year for new system. - OEM warranty
certificate required.

5) The bidder should have service centre in Mumbai.- Relevant proof.

6) The OEM and bidder both should have ISO 9001:2015 certificate.

7) The bidder should have completed successful installation in India for the
tendered product for minimum 1000 ports- Performance certificate from the
client should be attached. At least one such similar make / modelEPABX
should be installed in Mumbai city. Proof of such to be attached along with
the bid.

8) Average Annual financial turnover during the last 3 year, ending 31st
march of the previous financial year, should be at least 30% of the
estimated cost.- Latest and valid CA certified turnover certificate

9) Experience of having successfully completed similar work during last 7


year ending last day of month previous to the one in which applications

are invited schedule be either of the following- To submit work completion
certificate/contract agreement/work order.

a) Three similar completed works/services c o s t i n g not less than the


amount equal to 40% of the estimated cost certified by the appropriate
authority not below the rank of Executive engineer of Central or State
Government / Semi Government Department/Railways/State Utilities/MES
or with any PSU.
Or
b) Two similar completed works/services costing not less than the
amount equal to 50% of the estimated cost certified by the appropriate
authority not below the rank of Executive engineer of Central or State
Government / Semi Government Department/Railways/State Utilities/MES
or with any PSU.
Or
c) One similar completed works/services costing not less than the
amount equal to 80% of the estimated cost. Certified by the appropriate
authority not below the rank of Executive Engineer of Central or State
Government / Semi Government Department/Railways/State Utilities/MES
or with any PSU.

10) To submit server gateway IP EPABX technical specification compliance


sheet duly signed and stamp as per Annexure – P.

2.1 Other Essential Conditions:

1) The Bidder should have valid GST registration number and


PAN No.
2) Valid Employee P r o v i d e n t fund and Employee S t at e
Insurance C o m m i s s i o n Registration.
3) Valid Solvency certificate for an amount of 20% of estimated
value issued by Nationalized / Schedule Bank in last one Year.
4) Latest CA certified Positive Net worth certificate.
5) Scanned copy of Visit and survey report duly signed by MSEB
HCL site in charge to be submitted along with tender as per
Annexure – 9.

Similar work experience means only SITC of IP base server gateway


EPABX and no other experience will be considered.

If required for verification of attested xerox copies with original, this office may ask
to produce the original copies of all required documents for verification.

The completed TENDER documents will be uploaded along with necessary

completion certificate Past Performance:

E.M.D. in the form of online payment/ Demand Draft of any nationalised Bank in
favour of MSEB Holding Company Ltd ,payable at Mumbai and as per mentioned in
qualifying criteria.

In case of online payment transaction number receipt for EMD paid (screen shot of
online payment/online receipt),and in case of DD payment, EMD receipt certificate
should be uploaded along with tender documents
The Bidder should upload the required document on MAHAVITRAN Website
http://www.mahadiscom.in/ after fulfilling the pre-qualification criteria and after
quoting of the rates.
The right to reject any or all uploaded Tender without assigning any reasons
whatsoever is reserved with undersigned.

3.0 Pre Qualifications for Bidder


3.1 The Bidder should satisfy them before purchasing online TENDER that they
meet all above qualifying criteria as per clause no 2 and 2.1. The Bidder shall furnish
the necessary documents
(Original/Attested copies of documents attached with the TENDER) in support for
fulfilment of pre-qualifying criteria and other requirements after opening of
TENDER if asked for verification if required.

3.2 The Bidder not fulfilling the criteria of pre-qualifying condition of the two Bid
submission Tender documents as specified in TENDER will be disqualified, The on-
line purchase of Tender documents does not necessarily qualify the bidder for
acceptance of their TENDER.
3.3 For participation in the TENDER, online vendor registration is mandatory. On-line
vendor registration is already opened on our website namely www.mahadiscom.in.
Interested bidders are requested to log on to this website and go through detailed
procedure of registration

. All the Bidders are requested to get themselves registered on e-Tender portal of
MSEDCL in advance and no extension of time limit will be considered for the delay in
on-line Vendor Registration.
3.4 TENDER Documents will neither be issued manually nor be sent by post or
courier. Blank TENDER documents can be viewed and downloaded by registered
intending Bidders online on website www.mahadiscom.in. During sale period from –
09/03/2020 to 23/03/2020 up to 18.00 Hrs after payment of non refundable
TENDER fees of Rs.5900=00 E-payment o n l y directly to our MAHADISCOM‟s
A/c. net banking. MSEB HCL have integrated the net banking facility with our
website for the purpose of E-payment. Those who wish to download TENDER
documents by paying fees in the form of Demand Draft should physically submit the
D.D. drawn on any Nationalized/Scheduled Bank payable at Mumbai in favour of
“ MSEB HCL., Mumbai “ in the office of the undersigned on all working days during
the sale period.
3.6 Pre-qualification bid and Price Bid duly filled in as per the procedure stipulated
in the BID document and duly signed with digital signature will be received online on
or before 09/03/2020 to 24/03/2020 up to 14.00 Hrs. It is advisable to submit the duly
signed Tender sufficiently in advance of due date & time so as to avoid last
minute trafficking at server. Tender will be opened online at 15.00 hours on the same
day, if possible. In case the above opening date happens to be a Public Holiday, the
immediate next working day will hold good in lieu of the date mentioned. The price

bid of those who fulfill the pre-qualification criteria shall be opened on the same day
at 15.00 hours, if possible. Please note that in no case the due date of sale and
submission will be extended except the technical problems occurred in our

post/courier will not be accepted. The Tender will not be accepted after due date &
time of submission. Further MSEB HCL does not accept any responsibility for

DEFINITIONS AND INTERPRETATIONS.

1. "Engineer " shall mean the Engineer in charge of the work duly appointed
by the Company to supervise the work on behalf of the Company. The "
Engineer " shall also include any staff member of the Company who is
designated by the Company / Engineer in charge to execute on its / his
behalf such portion of work as may have been allocated for inspection to the
said staff member.

2. "Contractor " is the successful tenderer who is awarded the contract by the
owner to perform the works covered by the contract and shall deem to include
the contractor‟s successors, heirs, executors, administrators, representatives
or assigns approved by the owner.

3. "Contract " means the document forming Notice Inviting Tender, Tender
Form, General Conditions of Contract, Technical Specifications, priced
schedule of items, contract agreement and drawings and any other document
which may be included at the time of signing of contract agreement along with
acceptance of the contract thereof together.

4. “Works”/”Contract Work” means the works or the work contracted and to be


executed by the contractor in accordance with the contract.

5. ”Company” implies “Maharashtra State Electricity Board Holding Company


Ltd. (M.S.E.B H C .Ltd.) In the entire tender document “CO.” may also be
read as Company.

INSTRUCTIONS TO TENDERERS

1. Percentage rates Tender are invited from the contractors who are registered
under appropriate classifications if any , with the Central or State Public Works
Department, Military Engineering Services and the Railways and who have executed
works of like nature and value under single contract in MSEB HCL as per QR
fulfilment.
a) Name of work : Replacement of existing Telephone Exchange (EPABX)
installed at Prakashgad Building, Bandra with server gateway IP EPABX.

b) Estimated Cost: Rs.5428000=00 (inclusive of GST & insurance)

c) Earnest Money Deposit: Rs. 54500=00

d) Time Limit : 4 (four) months – contract period post-date of handing over of


site.
2. Only tender of really competent contractors, who are known to have adequate
resources and specified experience in this field, will be considered and evaluated.

3. The earnest money may be remitted in the form of Demand Draft drawn in favour
of “MSEB HCL, payable at Mumbai or online payment option”. Tender without
earnest money shall be rejected. Earnest Money in the form of cheque shall not
be acceptable. The E.M.D. in the form of Demand Draft of any nationalised
Bank in favour of MSEB HCL, payable at Mumbai shall be deposited on
09/03/2020 to 23/03/2020 up to upto 16.00 Hrs and online till last submission
date and time 24/03/2020up to 14.00 hrs).Tender will be opened if possible
on same day at 15.00 hrs.

4. The contractor must arrange for transport of all materials and include such costs
in the rates quoted by him for the finished work.

5. A schedule of quantities is included in the tender document. It shall be definitely


understood that the C o m p a n y does not a c c e p t a n y responsibility for
t h e correctness of quantity in the Schedule and the Schedule is liable to
alternations by omissions, deductions or additions at the discretion of the
Executive Engineer (C), Bandra, or his representative as put forth in the condition
of contract.
6. The earnest money will be forfeited to the Company, in case the successful
tenderer after his tender has been accepted, refuses to remit the prescribed
Security Deposit and to sign and complete the contract documents.

7. Security Deposit : The successful tenderer shall pay the prescribed Security
Deposit within 10 days of acceptance of his tender and issue of letter of intent.

The contractor will have to pay Security Deposit, amounting to 10% of the value of
the contract in the form of FDR/ BG/DD or equivalent Govt. securities in favour of
“M.S.E.B Holding Co Ltd.” Alternatively, if the contractor so desires, 5 % of the
contract value may be remitted in form of Government Securities, Fixed
Deposit Receipts/DD and the balance 5 % by way of deductions from first two
R.A. Bills at the discretion of Executive Engineer(C) so that the full Security
Deposit is recovered. The Security Deposit shall be refunded after satisfactory
completion of entire work as well as the maintenance period. The BG shall be
valid for 18 months from date of Letter of Intent.

8. The successful renderer will also have to execute an agreement with the
Company in Company‟s standard proforma. The cost of stamp paper shall be
borne by the contractor.
9. Tenderers must return the form of tender with the specification, drawings if any
and Schedule of quantities and rates and other schedules duly signed. Any
tender not bearing signature of the tenderer on all the documents accompanying
the tender is liable to be rejected.
10. Tender which do not fulfill all or any of the above conditions or are incomplete in
any respect are liable to summary rejection.

11. The tenderer is requested to visit the site of work and see for himself the site
conditions regarding approaches, materials, water supply, labour etc. and all
other matters affecting the work, before filling the rates. The tenderer is further
requesting to study the specifications, the drawings and all other documents
attached to the tender papers and then fill in the item rates / percentage rates.
Also get aware with the present resources and different sites and location with
priority of services required.

12. The rates to be quoted shall be for finished work complete in every respect and
shall include charges involved in maintenance of work for a period of 12 months
as reckoned from the date of completion of work as certified by the Engineer in
charge.

13. Submission of a tender by a tenderer implies that he has read these instructions
and has made himself aware of the scope of work, specifications, the conditions
of contract and the Company shall not therefore, pay any extra charges on any
account in case the contractor finds later on to have misjudged the site conditions
or specifications.
14. In case of item rate Tender, specific rates shall be quoted for each item in the
Schedule. The rates and amounts shall be written both in words and figures
and the units in words. The tenderer shall also show the totals of each item and
grand total of the whole contract. The tender documents shall b be written
legibly and free from erasures, over writing or conversions of figures.
Corrections where unavoidable shall be made by crossing out, initialing
dating and rewriting. The tenderer must return the tender specifications and
schedules issued to him for the purpose even in case he submits his own
typed abstracts In case the tenderer desires to keep any copy for his record
he would have to purchase a separate spare copy at rate already stipulated.
The extra copy so issued shall be defined accordingly by inscription of words
extra for reference on cover and the same shall not be accepted for
submission. If applicable
15. In the event of a discrepancy between the description in words and figures
quoted by a tenderer the description in words shall prevail. In the event of
an error occurring the "Amount" column of Schedule-B as a result of wrong
application of the Unit rate and / or quantity the unit rate shall be
regarded as firm and " Amount" column shall be amended on the basis of
such unit rates. All errors to totaling in the amount column and in carrying
forward totals shall be corrected.
16. The contract or any part thereof shall not be sublet without the written
permission of the Executive Engineer (C), Bandra Division, Bandra (E).
In respect of sub letting of work in terms of labour contract, if any, shall
be sole responsibility of the Company's main contractor to guard that none
of the requirements of "The Maharashtra Contract Labour (Regulation &
Abolition) Act & Rules (1971) get infringed".

16. Any queries regarding this tender to be mailed to

17/03/2020 18.00 Hrs and no pre bid will be conducted for this tender.

17. The right to reject all or any of the Tender without assigning any reasons
whatsoever is reserved.

18. Tender shall remain open for acceptance subject to the provisions of clause
17 above, for a period of 4 months from the date on which they are due for
submission and during this period no tenderer shall be allowed to withdraw his
tender. Any such withdrawal during the same period will entail forfeiture of the
earnest money deposited by the tenderer.

Further information required, if any, can be obtained from the Office of the
Executive Engineer (C), Bandra Division, Bandra(E). It must be clearly
understood that the tender must be submitted/ uploded complete in every
respect by the due date and time.

19 . Work Contract Tax : As per provision of Works Contract tax under


Maharashtra Work Contract Tax ( Re-enacted ) Act 1989, deduction of works
contract tax as applicable at prevailing rate(2%) will be made from R.A. Bills /
Bills as well as final bills.-NA

20. Income Tax - In accordance with provision made under Section 194 (C) of
Finance Act 1972, deduction of Income Tax at a source at prevailing rate on
gross amount payable to you under this contract shall be effected from your bill.
Such deduction shall not be made in the event of your being able to produce
necessary exemption certificate from Competent Authority of Income Tax
Department.GST TDS @2 % on base value of contract will also be
deducted.

21. This “Instructions To Tenderers” shall form part of the contract.

22 .Conditional Tender shall not be accepted in any case.

23.All the material/services /resources to be used shall be get approved from the
Engineer to charge prior to use at work.
24.The contractor should note that in case the work is cancelled before starting the
work for any reason after placement of work order by MSEB HCL , only E.M.D.
/ S.D. shall be refunded and no other claim in this respect shall entertained.

25. The tender value as stated in the schedule-B INCLUDES G ST . Pan No., and
GST no. should appear on the invoices/running bills.
26. The Bidders should visit the site before quoting the rates and uploading the
tender.

27. Bidders should quote the rates on PRICE BID document file – Part-I-
Percentage sheet and part –II item rate for CAMC services for 5 years and
upload along with Tender documents i n p r i c e b i d s e c t i o n o n l y .
28. Technical bids, commercial bid and price bid shall be uploaded in particular
section only.
29. Denial of Letter of intent will forfeit EMD and denial of work order will
forfeit SD.

30. Prospective Bidder needs to visit office of undersigned for any other details and
survey of the site, it is advisable to survey the site and then quote.
31. The IP phones, gateways should be of same OEM of whose IP EPABX is
offered.
32. The Bidder has to provide software versions updates of complete system
including applications during the warranty and Comprehensive Maintenance
services PERIOD with feature implementations free of cost.

33. Evaluations and Acceptance

Technical bids of bidders will be assessed/evaluated on basis of documents


uploaded/submitted as per qualifying requirements mentioned in the tender
documents as per clause no 2 and 2.0, and only on satisfying /fulfilling all
conditions, technical bids will be qualified, else will be disqualified , and only price
bids of technical qualified bidders shall be considered for opening.

shall be quoted for further 5 years – Bidder to quote item rate for five years - Part II

Rs 25000 =00 will be deducted for buy back for old telephone exchange from the
quoted price of bidder.

The quoted offer for capex cost (percentage basis) and opex cost ( item rate basis)
will be added and buy back rate shall be deducted to arrive at final pricing .

The bidders whose total cost [Capex- (X) + Opex (Y)- Rs 25000 ] is lowest (L 1),
shall be the successful bidder.

EE Civil MSEB HCL Prakashgad, Bandra (E), reserves the right to accept any offer
based on its merits. EE Civil MSEB HCL Prakashgad, Bandra (E), is not bound to
place the order with the party having submitted the lowest offer, if found not
conforming to the stipulated tender conditions. Thus, the Bidder merely on the
ground that their financial offer is lowest does not necessarily qualify them for
receiving the order.

The right to negotiate with any of the Bidder whose offer has been found to be
responsive and attractive to the EE Civil MSEB HCL Prakashgad, Bandra (E), is

Special Conditions of Contract


1. General :

These Special Conditions of Contract supplements the instructions to Tenderers


and the General Conditions of Contract as applicable to works contract and shall be
considered as part of the documents. Where the provisions of these special
conditions are at variance with the General conditions of contract, these conditions
shall prevail.

1a. Bidder has to pay as per minimum payment of wages Act to the employee
working under this contract and to submit the proof of payment made to the
employee per month along with bill as per said Labour ACT following ESIC and PF.

2. Period of completion of work :4 months from date of handing over of site.

The time allowed for completion of the work shall be as stated in Tender Notice
issued for inviting Tender. Time being the essence of the contract, the failure of the
contractor to give adequate progress shall be dealt with severally under other
provisions of contract by withdrawal of work or any part in part or whole and
execution thereof through any agency solely at the risk and cost of the contractor
and by forfeiture of Security Deposit and other dues as per provisions of contract,
especially in the event of the work being delayed in such way that overall progress of
work is affected.

In the event of execution of work being affected due to delay in handing over of
site and / or non supply of drawings or indications as regards design changes as are
called for in accordance with site conditions or last of all absence of issue of
materials under Schedule A by Company, only extension of time as found adequate
and justified shall be considered and no compensation for idle time and labour de-
mobilization and remobilization shall be given by Company.

3. Departmental Supply of Materials:


No departmental materials are contemplated to be issued for this work however
departmental supply of materials, if any, shall be confined only to those materials
specifically mentioned in the Schedule 'A' attached to the tender and the cost of all
materials thus issued will be recovered from the contractor's bills at the rates
specified for each item in the said schedule to the extent of utilization or
incorporation of such materials in the work measured and certified as completed.

All such materials issued by the company to the Contractor shall remain the
property of the company and the contractor will only be a custodian of such
materials. The contractor shall make adequate arrangements to store those
materials so as to keep them in useable condition all the while and any damage and
/ or pilferage will be to the contractor's account. If the damage and / or pilferage is
found to be due to negligence on part of the Contractor, the company may recover
the cost of materials at penal rates as may be decided by the company.
The contractor will be responsible for the safe custody of all the materials
issued to him by the company to the satisfaction of the Engineer in charge and he

will be required to render proper account of the allocation and disposal of these
materials showing where they were used on the work. The contractor shall return in
sound condition all surplus materials which are not used on works. In case he is
unable to account for the full quantity of the materials issued to him, recoveries will
be effected from him at 'Cost Rates' or Market Rates prevailing at the time of issue
whichever is higher plus sales tax plus 15 percent to cover Board's departmental
supervision charges for all materials unaccounted for.

The company will not be responsible for any delay in the supply of materials
under Schedule-B while it will endeavour to see that no delay occurs on this
account. Any delay in supply of materials from the company will, however be
given due consideration in granting extension of time for completion of the work if
found necessary. No claim for compensation or damages for idle time will be
entertained on this score.

All materials required for the work, other than those that are specifically mentioned
above shall be supplied by the contractor.

All the materials (Under Schedule B) required by the contractor or shall be drawn
form the stores by requisitions given in writing by the contractor at least one week
before the requirement on the work. The recoveries will be effected in Running
Payments for proportionate quantity of materials (under Schedule-B and also those
advanced for) estimated to be used (with wastage include) on work up to the date of
measurement for the particular bill as per Board's Rules. You have to take back your
tools and accessories brought for maintenance purpose.

4 Tools, Plants & Machinery :

In respect of procurement of plant and machinery it will be for the contractor


to apply to concerned authorities for necessary permit etc. under intimation to the
Company. It will be for M.S.D.C. Ltd. only to recommend release of the permits etc.
in favour of the contractor. However, effectiveness of such recommendations will be
in accordance with the prevailing situation and shall not absolve the contractor of his
responsibility to procure the same.

All constructional tools, plant and machinery such as electrical/ mechanically


operated equipments, polishing machines etc. shall be procured and provided by the
contractor.

Such items of plant and machinery as are available with the Company may be
made available to the contractor, at the discretion of the Engineer in charge, on
payment of hire charges as fixed by the Company. Such hire charges will be
recoverable every month from the contractor's bills and shall be charged for the
entire period, including idle days till return of the plant or machinery in good
working order after use. No claim or compensation will be entertained by the
Company for the delay caused to the works by non-working of any machinery, tools
and plant given to the contractors by the Company. The contractor shall employ
skilled mechanics for operating the equipment in the same running condition as it
was when handed over to him. Any damage done to the equipment shall be made
good by the contractor except normal wear and tear and the decision as to whether
such wear and tear is normal or otherwise shall rest entirely with the Company.

5 Royalties etc.

All charges, such as GST, royalties, octroi and other duties for materials
obtained for the works and on fabricated materials, if any, shall be borne by the
contractor as also all tools, local and other taxes etc. Royalties for material
removed shall be payable by the Contractor. All amounts due to this account
(Royalties Tax etc.) shall be paid directly to the Authorities concerned by the
Contractor, or if not paid will be recoverable from the money due to the contractor if
so required by the authorities. The contractor will not be entitled to any refund on
this account.
6 Time is the essence of contract: -4 months from the date of handing over
of site.
Time being the essence of the contract, the various items of work shall be installed
and completed in accordance with the works completion programme decided
by the Engineer in charge. The time shall be reckoned from the date on which
the purchase order is given to the successful tenderer. The contractor shall
commence the work immediately on receipt of such as order and shall proceed
with the same with due efficiency and without any delay, except as may expressly
be sanctioned or ordered by the Engineer in charge.

7 Maintenance –The system shall be maintained as per the requirement


for the period of 12 months from date of installation and succesfull
commissioning.
Maintenance shall be carried out during DLP period being nature of tender work is
day to day telephone and relevant system maintenance.
The contractor shall at his own expense repair, rectify and make good to the
satisfaction of the Engineer in charge all defects, imperfections, shrinkage or other
faults arising from or out of the use of materials or workmanship not in accordance
with the contract or from neglect or failure on the part of the contractor to comply with
the provisions of the contract. Virtual completion would mean completion of 90%
(by overall cost) of work.

8 Co-Operation with the other contractor:


The contractor shall co-operate with other contractors working simultaneously
at the site in respect of those works, which are being executed simultaneously under
separate contracts.

9 Suitability of Technical and Skilled Personnel:


The contractor shall keep full time Diploma Holder/equivalent
Electronics Engineer as a supervisor having experience not less than five years in
similar nature of work at site. The Engineer at site shall be fully authorized to
receive and comply with such instructions as are given by the Engineer in charge.
The names of the Engineers with their qualification and experience of the new
incumbent shall also be immediately reported to the Engineer in charge.
The contractor must also provide for necessary skilled and un-skilled workmen for
each class of work and the Engineer in charge shall have the right of satisfy himself
about the suitability or otherwise of such workmen. The Engineer in charge shall
have the right to demand the removal of any technical personnel, skilled or unskilled
workmen who in his opinion is considered to cause bad workmanship in the
execution of the work or to cause indiscipline. The contractor shall also provide for
necessary staff such as operators, laborers and also materials, scaffolding, shoring,
tools and plant of every kind, quality and description of the work as and when
required.

10 Setting out works:

The contractor shall at his own expenses provide for all pegs, nails, strings and
such other materials necessary for setting out and shall at all times provide for skilled and
technical assistants who are capable of carrying out the work in accordance with the
drawings and specifications to correct lines and levels. The contractor shall be
responsible for setting out the work and get the same approved before the work is actually
commenced.

11 Security Regulations:

The contractor shall strictly comply with the security regulations in force at site.

12 Rejected Materials:

It shall be absolutely essential on the part of the contractor to have on the site of
work, only those materials which have been approved by the Engineer in charge. Such of
the materials which have been rejected shall in no account be allowed to remain on site and
if the same are not removed even in spite of a written order to remove the rejected
materials out of site within a specified period as directed by the Engineer in charge, the
latter shall have the full rights to remove the rejected materials and even to destroy
them at the cost of the contractor.

13 Check on controlled materials: -

The Company shall render all possible help for securing priorities for supply of
controlled materials, which are required to be used in connection with the
construction work. In the case of materials issued either through or with the
recommendation of the Company, it is absolutely essential for the contractor to
maintain a correct and honest record of the daily consumption of the said materials with
particulars reference to the turn out of the work done during the day. The Engineer
in charge or his authorized agent shall have the right to inspect and check the stores
housing these materials and the account for these materials shall be presented for
inspection whenever called for.

14 Return of the materials: -

All unused materials either supplied directly by the Company or obtained by


recommendations of the Company, which in the opinion of the Engineer in charge are
likely to be useful to the Company, shall be returned in good conditions at the original cost
paid for, if so, decided by the Company.

15 Damage to works:
The works whether fully completed or incomplete, all the materials,
machinery, plants, tools, temporary buildings and other things connected therewith shall
remain at the risk and in the sole charge of the contractor until the completed work has
been delivered to the Engineer in charge and till the completion certificate
has been obtained from the Engineer in charge. Until such delivery of the completed work,
the contractor shall at his own cost take all precautions reasonably necessary to keep all
the aforesaid works, materials, machinery, plants, temporary buildings and other things
connected therewith free from any loss or damage and in the event of the same or any
part thereof being lost or damaged he shall forthwith reinstate and make good such loss
or damage at his own cost.

16 Approach to work site:
The contractor shall make his own arrangements at his own cost if applicabe for
providing necessary approach roads for transport of materials to site of work. The
Company on this account will pay no extra charges.

17 Change in designs / Location:

The Company reserves the right to make any changes in the designs and the plans
of the work and the contractor shall be bound to carry them out. No claim or compensation
would be allowed on this account.-NA

18 Payments:

1) 70% of value of major supply items such as server, gateways, software, IP


/analogue phones, switches against delivery at site and on production of OEM
certificates.
2) 20% of above supply items and 90 % of remaining items on successful installation,
testing and commission of entire system to the satisfaction of Engineer in charge
and issue of provisional acceptance certificates.
3) 10% after one month form date of commissioning subject to observation and
working of mentioned features of tendered systems.

Adjustments of advances granted, as also towards recovery of Income Tax,


Security Deposit etc. shall be made from the monthly R.A. bills. Any interim
certificate given relating to work done or materials delivered may be modified or
corrected by any subsequent interim certificate or by the final certificate, provided the items
of work concerned are susceptible of measurements. No certificate of the Engineer in
charge or his authorized representative supporting an interim payment shall be itself be
conclusive evidence that any work or materials to which it relates is / are in accordance
with the contract conditions. While every possible effort will be made to finalize the final
bill for the work in question within nine months from the date of completion of the work in
all respects as certified by the Engineer in charge of works, the Company will accept no
condition for payment of interest on the net amount of final bill. In case the final bill is not
finalized within a period of nine months from the date of completion, payment of 100% of
the amount as assessed from the data available at that time shall be released to the
contractor against submission of a bank guarantee for an amount equivalent to 150
% of such amount by the contractor. The Bank Guarantee shall be in the Company's
standard proforma.

19 Death, Bankruptcy, Breach of contract etc. :

Should the contractor die or become insolvent or bankrupt have a receiving order
made against him or compound with or make any proposal for carrying on his business
under inspection or for the benefit of his creditors or commits an act of insolvency or
bankruptcy or being a Corporation pass a resolution or be ordered to be wound up or
have a receiver of its business appointed or commit any breach of contract, the
Company shall be entitled forthwith by notice in writing, to contractor or his legal
representative to determine the contract and the Company may in that event complete
the contract in such time and manner and by such persons as the Company shall think
fit at the risk, cost and liability of the contractor.

20 Insurance :
As per Government of Maharashtra Resolution (1) No.AIF-2183/CR-174/83ADM-5 dated
16.1.1984 (2) Vimasa-1098/Pr.Kra28/98/Shashan Hami dated 19.8.1998 (3) Vimasa-
1011/Prakra 15/Vima Prashasan, dated 29.4.2011 and MSEB HCL‟s No.IR/Insurance/9623
dated 13.4.2012, contractors‟ all risk (CAR) insurance policy or Transit cum Erection
(TCE) or Erection all risk (EAR) insurance in respect of contract works awarded by
MSEB HCL as principle to the contract work and workman‟s compensation
insurance in respect of workmen engaged and deployed by the contractors to complete
contract work is required to be obtained from the Director of Insurance, the Govt. of
Maharashtra, Graha Nirman Bhawan (MHADA) ,
264, First Floor, Opp. Kalanagar, Bandra (E), Mumbai 51 under direct method or
from the insurance company approved by the Director of Insurance on co-insurance cum
servicing basis under indirect method. The MSEB HCL circular is attached h/w and
agency has to draw the policy as per circular, , if failed to draw policy or non submission of
policy after awarding of contract, penalty @1% will be deducted from your claims.

c) Property Damage:

Limit for each accident not more than Rs.2.00 lakhs. Above insurance do not
include the transit insurance in respect of manufactured materials which will have to
be covered separately in the usual manner. Further the contractor shall have to insure
his T&P personnel and shall have to indemnify M.S.E.D.C.LTD. for any loss / damage to
his tools and tackles and personnel at site caused accidentally by any employee,
representative of M.S.E.D.C.LTD. And/or Supervisors of the Contractor and / or any
other contractors / sub contractors who would be working at the site for M.S.E.D.C.LTD.

21 Negligence:

If in the opinion of the Company the contractor.

a) Neglects to execute the work with diligence and expedition of refuses or neglects
to comply with any reasonable orders given to him in writing by the Engineer in
connection with the work or contravenes the provisions of the contract the
Company may give a 7 days notice in writing to the contractor to make good such
neglect, failure or contravention and if the contractor fails to do so within the time
reasonably necessary for making it good.

b) Fails to properly execute the work or the part of the work due to either gross
negligence or deficiency in technical skill including but not limited to the provisions of
latest tools tackles and qualified technical personnel and which in the opinion of
the Company is likely to result or his resulted into sub- standard work or loss
thereof.

Then and in such case the Company shall be at liberty to employ other workmen after
giving a seven days' notice in writing and thereafter perform such work as the contractor
may have neglected to do, or if the Company shall think fit it shall be lawful for the
Company to take the work wholly or in part out of the contractor's hands and re-
execute departmentally or re contract with any other agency or provide any other materials
tools, tackle or labor for the purpose of completing the work or any part thereof and in
that event the Company shall without being responsible to the contractor for fair wear
and tear of the same, have the free use of all the
materials, tools, tackle or labor for the purpose of completing the work or any part thereof,
which may be on the site, at any time in connection with the work to the exclusion of

any right of the contractor over the same and the Company shall be entitled to retain and
apply any balance which may otherwise due on the contract by the Company to the
contractor or such part thereof as may be necessary to the payment of the cost of
executing such work as aforesaid.

If the cost of executing the work as aforesaid shall exceed the balance due
to the contractor and the contractor fails to make good the deficit the said materials,
tools, tackle, construction plant or other things or property of the contractor may
be sold by the Company and the proceeds applied towards the payment of difference
and the cost of and incidental to such sale. Any outstanding balance existing after
crediting the proceeds of such sale shall be paid to the contractor on the certificate of
the Engineer. When all expenses, cost and charges incurred in the completion of the
work are paid by the contractor, the contractor shall be at liberty to remove all such
materials, tools, tackle construction plant or other things remaining unsold and the same
shall be removed by the contractor forthwith.

22 Reduction from contract price:

The amount of any costs, damages or expenses or other sums which under this
or any other contract is payable by the contractor to the Company may be deducted
by the Company from any money due or becoming due by the Company to the contractor
under the same or any other contract without prejudice to the Company's rights to
recover the same by ordinary progress of law.

23 Replacement of defective work / materials:

If during the progress of the work the Engineer shall decide and notify in
writing to the contractor that the contractor has executed any unsound or imperfect work or
has supplied any plant or materials inferior in quality or quantity to those specified, the
contractor shall on receiving details of such defector deficiencies have to make good the
defective / unsound or imperfect work or replace imperfect materials as per written
instructions of the Engineer in charge at his own expenses within such time as may be
reasonably necessary for making it good, proceed to alter, reconstruct or remove such
work or supply fresh materials up to the standard or the specification. In case the
contractor fails to do so, the Company may on giving the contractor seven days's notice
in writing of its intention to do so, proceed to remove the work or all such work
and/or supply all such materials provided that nothing in this clause shall be deemed
to deprive the Company or affect any such defects or deficiencies and no payments which
may have been made on account of the plant or materials delivered or work executed shall
be looked upon as acceptance of such plant, materials or work.

24 Certificate not to affect rights of the Company or Contractor's obligations:

No certificate of the Engineer in charge nor any sum paid on account by the
Company nor any extension of time for the works shall affect or prejudice the Contractor's
obligation for the due performance of the contract or be interpreted as approval of the
work done or of the materials supplied and no certificate shall create liability in the
Company to pay or alterations, amendments, variations or additional work not ordered
in writing by the Engineer in charge or discharge the liability of the contractor of the
payment of damages whether due, ascertained or
certified or not or any sum against the payment of which he is bound to indemnify the
Company nor shall any sum paid on account or otherwise affect or prejudice the
obligations of the contractor to the Company.

25 Non-exercise of rights and contractor's liability:

In any case in which any of the powers and rights conferred upon the
Company shall have become exercisable and the same shall not have been
exercised the non-exercise thereof shall not constitute a waive of any of the
conditions hereof and such powers shall, not with standing, be exercisable, in case
the default by the Contractor for which under any clause or clauses hereof he is
declared liable to pay compensation and the liability of the contractor for past and future
compensation shall remain unaffected.

26 Laws and Regulations:

The Company shall, throughout the continuance of the contract and in respect of all
matters arising in the performance thereof, serve all notices and obtain consents, way
leaves, approval and permission required in connection with the regulations and bye-laws
of the local or other authority which shall be applicable to the works.

All works shall be executed by the contractor in accordance with the laws in force in
India relating to the work and rules and regulations thereunder and any statutory
modifications thereof wherever they are applicable, unless otherwise agreed to in
writing by the Engineer in charge.

27 Contractor's liability for loss, damage, accidents etc.

The contractor shall be responsible for loss, damage or depreciation to the work
until the work is taken over. The contractor shall, during the progress of the work, properly
cover up and protect work from injury exposure to weather and shall take every reasonably,
proper, timely and useful precaution against accident or injury to the same from any cause
and shall be and remain answerable and liable for all accidents or injuries thereto which
until the same be or be deemed to be taken over under clause 44 arise or be
occasioned by the acts or omissions of the contractor or workmen, of sub contractor and all
losses and damages to the work arising from such accidents or injuries as aforesaid shall
be made good in the most complete and substantial manner by and at the sole cost of
the contractor and to the reasonable satisfaction of the Engineer in charge.

In the case of loss or damage to any portion of the plant delivered on the site arising
from or occasioned by other causes for which the contractor is not liable, the same shall if
required by the Company be made good by the contractor in like manner but at the
cost of the Company at a price to be agreed between the contractor and the
Company or in default of agreement settled under clause 46. Until the work shall be
or deemed to be taken over as above said, the contractor shall also be liable for and
shall indemnify the Company in respect of all damage or injury to any person or to any
property of the Company or of other occasioned by the negligence of the contractor or
sub-contractor or any defective design work of materials but not otherwise.
Not withstanding anything contained in this contract the contractor shall be liable
to pay for any actual damage to the plant for reasons unforeseen or beyond the control
of the Company during the period of maintenance as stipulated in this contract. The
contractor shall indemnify and save harmless the Company against all actions, suits,
claims, demands, cost or expenses arising in connection with injury suffered prior to the
date when the plant shall have been taken over under Clause 47 herein by person
employed by the contractor, or his sub-contractor, on the works whether under the
general law or under the workmen's compensation Act 1923 or any other statute or law

in force dealing with the question of the liability of employers and shall also taken steps
properly to insure against any claims there under. On the occurrence of an accident
which results in the death of any of the workmen employed by the contractor or which is
so serious as to be likely to result in the death of any such worker of contractor, shall
within 24 hours of happening of such an accident, intimation in writing to the concerned
Engineer in charge the fact of such accident. The contractor shall indemnify the Company
against all loss or damage sustained by the Company resulting directly or all loss or
indirectly from his failure to give intimation in the manner aforesaid including the
penalties or fines if any payable by the Company as a consequence of Company's
failure to give notice under the workmen's compensation Act, or otherwise to confirm to
the provision of the said Act in regard to such accident. In the event of any claim being
made or action brought against the Company and arising out of matter referred to and
in respect of which the contractor is liable under this clause the contractor shall be
immediately notified thereof and he shall with the assistance if he so requires of the
Company, but at the sole expense of the contractor conduct all negotiations for the
settlement of the same or any litigation that may arise therefrom. In such case the
Company shall, at the expense of the contractor afford all available assistance for any
such purpose.

28 Power to vary or omit work:

No alterations, amendments, omissions, additions, suspension or variations of the


work (therein after referred to as " variations “) under the contract as shown by the
approved contract drawings or the specifications shall be made by the contractor except as
directed in writing by the Engineer in charge but the Engineer in charge shall have full
powers and subject to special condition herein from time to time during the execution of
contract by notice in writing to instruct the contractor to make such variation without
prejudice to the contract and the contractor shall carry out such variations and be bond by
the same conditions as far as applicable as though the said variations occupied in the
specifications. If any suggested variations would in the opinion of the contractor, if
carried out, prevent him from fulfilling any of his obligations or guarantee under the
contract, he shall notify the Engineer thereof in writing and the Engineer shall decide
forthwith whether or not the same shall be carried out and if the Engineer confirms his
instructions, the contractor's obligations and guarantees shall be modified to such extent
as may be justified. The difference of cost, if any, occasioned by any such variations shall
be added to or deducted from the contract price as the case may be require. The amount
of such difference, if any, shall be ascertained and determined in accordance with rates
specified in the Schedules of prices, so far as the same may be applicable and where the
rates are not contained in the said Schedules or are not applicable, the shall be settled by
the Engineer in charge and contractor jointly. In any case in which the contractor has
received instructions from the Engineer in charge as to carrying out the work, which either
then or later will in the opinion of the contractor involve a claim for an additional
payment, the contractor shall, as soon as reasonably possible after the
receipt of the instructions of aforesaid, advise the Engineer-in-charge to that effect in
writing and in any case within a month of receipt of such instructions.

29 Taking over:

When all performance tests called for by the specifications have been successfully
carried out on completion of the work shall be accepted and taken over when it has been
satisfactorily certified, or within one month of its being ready for issue of such certificate,
whichever shall be the earlier and the Engineer in charge shall forthwith issue a taking
over certificate. If for any reason other than the default of the Contractor such last
mentioned tests on site shall not be carried out within one month of notice by the

contractor to the Engineer in charge of the work being ready for test, the same shall be
deemed to have been taken over as on the last day of such period and payments due to
the contractor on taking over shall be made, but nevertheless the contractor shall if called
upon so to do by the Company but at the Company‟s expenses, make the said test during
the maintenance period.

The Engineer in charge shall not delay the issue of any taking over certificate
contemplated by this clause on account of miner defects or items to be completed in the
work, which do not affect the commercial use thereof provided that the contractor shall
undertake to make good the same within a specified time limit. The Engineer shall be at
liberty at any time to put into beneficial use the whole or any part of the work he may
desire to use pending completion and taking over of the same. The decision of the
Engineer shall be final and binding on both the parties as to whether the items are minor
or important and if the Engineer certifies that the items to be completed are important, not
withstanding anything contained in this contract, the taking over certificate shall not be
issued.

The contractor shall Tendered himself and fulfill all obligations enforceable under
Enforcement of Contract labour (Regulation and Abolition) Act 1970 and absolve the
Company entirely. In case the contractor has not fulfilled all the obligations under
this contract at the time of tendering his tender is not likely to be considered. Even after
award of the contract, at any stage it is observed that any of his obligations under the act
are not fulfilled in addition to the action being taken in accordance with the provisions of
the act, the contract may be cancelled and deemed as having been abandoned by the
contractor and action taken suitably in accordance with the terms of the contract.

30 Inspection and Testing:

The Engineer in charge and his duly authorized representative shall have at all
reasonable times access to the contractor‟s premises or works and shall have the power at
all reasonable times to inspect and examine the materials and workmanship of
the structure and if part of the structure is being manufactured in other premises or
works, the contractor shall obtain for the Engineer and for his duly authorized
representative permission to inspect as if the plant or materials were manufactured or
erection on the contractor's own premises or works.

The contractor shall give the Engineer in charge notice of any materials being ready
for testing and the Engineer-in-charge or his said representative shall on giving
twenty four hours previous notice in writing to the contractor attend at the contractor's
premises or works within seven days of the date on which the material is notified as being
ready, failing which the contractor may proceed with the test, which shall be deemed to
have been made in the Engineer‟s presence and he shall
forthwith forward to the Engineer in charge duly certified copies of the tests in
duplicate.

In all cases where the contract provide for tests whether at the premises or works
of the contractor or of any sub contractor, the contractor shall provide, free of charge such
labour, materials, electricity, fuel, water, stores, apparatus and instruments as may
reasonably be demanded to carry out sufficiently such tests of the structure in
accordance with the contract and shall give facilities to the Engineer in charge or to this
authorized representative to accomplish such testing. In all cases where the contract
provides for tests on site, such tests as to plant, the contractor in accordance with the
contract shall efficiently carry out materials or workmanship.

The Engineer-in-charge shall, on giving 15 days' notice in writing to
contractor, setting out any grounds of objections which he may in respect of the
works, be at liberty to reject all or any materials, plant or workmanship which in his opinion,
are not in accordance with the contract or are in his opinion defective for any reasons
whatsoever. Unless specifically provided otherwise, all tests contractor‟s or sub-contractor's
premises or works the Engineer in charge shall issue a certificate to that effect and no
plant shall be supplied before such certificate has been issued. The satisfactory completion
of these tests or the issue of this certificate, shall not bind the Company to accept the
plant so passed for dispatch should it on further tests after erection be found not to
comply with the specification or is otherwise found defective. The work, so far as it is
carried out on the Company‟s premises shall be carried out at such time as the Engineer in
charge may approve, but the Company shall give the contractor all reasonable facilities for
carrying out the work.

31 Price Variation Clause: NA

(This clause shall be applicable only to the contracts for which time limit specified is
more than one year)

In view of varying labour conditions and also in view of varying prices of


manufactured goods as well as of fuel and other consumables used during transport, the
price variation clause has been incorporated under these special conditions of contract
fundamentally the price variation clause shall be applicable both upward and downward
depending upon the variation of prices. The above clause is based upon the Medal‟s
assumed percentages as regards break up of cost in the various components such as
materials (to be supplied by the company under schedule 'A' and to be arranged by the
Contractor) the labour, vehicular transport, over heads and lastly contingencies, profits
etc. The detailed price variation clause is elaborated in Annexure-B to this tender
specification. It may please be noted from the Annexure that all price variations will be
admissible with reference to the percentages as stated in Annexure 'B'. No
representation by any contractor as regards his actual percentages being different
from those stated in the Annexure 'B' shall be entertained and hence the
percentages as stated in the concerned Annexure 'B' shall be treated as final and
binding upon the contractor. The amount in respect of price variation clause shall not be
paid to the contractor during each running account bill.

32 Three shift working: If applicable-NA

It may be noted by the tenderness that the overall completion time shall be totally
binding upon the contractors and to that effect the element of maintaining
proportionate progress will be very vigilantly watched. In that context the Company would
insist on timely completion of some portions of work under the scope of the contract which
forms important linkage in relation to subsequent activities of progress by other
agencies in an expeditious manner to match the overall PERT (Program Evaluation
and Readjustment Technique) as is determined by the Company, from time to
time. In that case the Company would require the contractors to increase the
output either by augmentation of activities in the parent shift or by imposing of additional
1/2 shifts as required without any modification of rates whatsoever. Failure to present
the required results on notification to that effect by Engineer-in-charge by starting
more than one shift with at least 66% representative staff of each category working
during night shift, shall mean breach of contract and in that case it shall be rightful for
the Company to make any arrangements at risk and cost of the contractors, subject
however to Company's having given seven days notice, bringing out any particular
portion of work in question.

It should be clearly understood that the expected augmentation efforts, by way


of increasing the output either in the parent shift or double shifts as needed for attaining the
required matching progress on any of the activity urgently required should not under
any circumstances be at the cost of the progress required to be achieved by the
contractor on other activities, which must not cease to deviate from normal requirement of
routine progress. If it is noticed that the contractor is indulging in such tactic to the
determent of the routine progress elsewhere, then such affected works will also fall within
the purview of the notified work and it will attract the considerations applicable to non-
fulfillment of terms and conditions of the contract.

33 Explosives, Diesel & Petrol: NA

It will not be possible for the Company to arrange magazine and for issue of Gelatin
/ Detonators. Company shall give all assistance by way of recommendations after
contractor has approached proper authorities in writing, Company, however, does not
assume any responsibility for effectiveness of the recommendations made by it in any
connection whatsoever. In the event of Diesel and Petrol being brought under ration in by
the Government, necessary rationing card / permits shall be made available to the
contractor by the Company.

34 Tax:

Tax on completed works if levied by Government by fresh enactment or by ordinance on


delivery of entire work from the contractor's hand to MSEB HCL shall be paid by the
Company. Statutory variation will be in MSEB HCL account.

35 Force Majored Clause:

Below mentioned conditions only shall be construed to be applicable to this contract


as `Force Majored‟ conditions (1) Irresistible compulsion (2) Coercion diplomatically
recognized as irresistible (3) War (4) Strikes declared as illegal by Labour
Commissioner (5) Lock outs by contractor agreed to by Labour Commission (6) Act of
God. No other `force majored' conditions shall be treated as applicable to this contract.
The Company shall not accept any statement about any exigency outside Contractors‟
control if included in `Force Majored‟ the said change. If there are illegal strikes/ lock outs
of above nature in the works of Contractor's suppliers for manufactured materials covered
by pamphlets put forth for price variation clause the same shall be notified by the
Contractor to the Company, which may consider
the issue, and advise the contractor for change of agency in which case
corresponding time loss shall be covered by ` Force Majored ' clause. This
consideration shall, however, not be treated as applicable to local suppliers (for
materials such as sand, brick etc.) sub contractor for labour if any and the
transporting agencies (save for railways).

36 Damage to the other structures and plant:

The contractor shall be totally held responsible for any loss or damages,
caused by any act of the contractors labour or his sub contractors' labour including but
not limited to covered / open blasting to the existing structures and plant or any other
structures or plant that may be under construction / erection by any other agency at
this site, during the entire period covered by this contract along with time extension if any.
Any permission given by the Engineer to the contractor to carry out such work, such as
blasting etc. Shall not be construed to be waiver of the Contractor‟s responsibility. In
such case, the amount in respect of loss or damages as decided by the Company, which

shall be considered as final, and binding on the contractor shall stand recoverable from any
payments due to the contractor in this or any other contract between the Company and the
contractor. It shall also be considered rightful for the Company to attach any bank
guarantees, dues on this and other contracts and balance payments for enabling the
Company to recover full extent of such amount.
However, in the event of amount of such losses/damages being received by the
Company from the insurance company due to any of insurance company due to
any of insurance not declared under this contract the amount recovered from the contractor
shall be refunded to him to the extent of compensation received from Insurance
Agency, subject, however, to such refund being limited to the initial recovery /
recoveries made from the contractor's bills in respect of each of such exigencies taken
individually and in isolated manner.

37 Penalty Clause:

Following penalty clause will be applicable for this contract.

Penalty shall be applicable at the rate of half of one percent of the unfinished work per week
or part of week for delay, subject, however, to the total penalty being limited to the extent of
10 (ten) percent of the entire contract amount.
In the event of failure of the contractor to deliver the goods within the time limit, the
Company reserves the right to terminate the contract at any period during the currency of
the contract and get the work done by another agency of Company's choice-NA
Such removal of works from the contractor's hand, shall be applicable either to the
contract entirely or to a portion of work as is found necessary for execution by
M.S.E.D.C.LTD. On top priority basis. Further, above indication should not in any manner
be construed to limit the Company's right to issue seven day's notice to the contractor for
any portion of work and get it done at his risk and cost through any other agency as
stated in the tender specification.
The penalty clause shall be applicable if the delay, in completion and handing
over the work over the time bound, completion program set by the Engineer in
charge, hinders or effects program. The decision of the competent authority of
M.S.E.B.H.C.Lin this respect is final and binding upon the contractor.
37.1 The contractor shall carefully study the work to be carried out at different
locations and at different elevations and shall take into account all factors such as
shuttering, staging, shoring, de-watering, if any transport of materials to work site,
sequence of constructions as fixed by the Engineer from time to time etc. and
allow for all such exigencies in the percentage rate quoted by him.
37.2 The work shall be carried out as per the standard specifications of B&C
Department, Government of Maharashtra and as per the directives of Executive
Engineer (Civil). Work of sub standard nature shall be removed at the risk and
cost of the contractor. Unless otherwise specified the mode of measurement etc.
shall be as per B&C Department‟s Standard Specifications.
37.3 The quantities of work involved are shown in the schedule of quantities and it
shall be very clearly understood that the quantities are only approximate and are
meant for purpose of tender comparison only and the Company will entertain no
claim whatsoever if the quantity increases or decreases.

38 Quoted Rate Only (Q.R.O)

The contractor should quote reasonable rates for such items and shall give rate analysis
if required for verification by the company. The rates quoted by the contractor for
these items shall also be taken into consideration while finalizing the tender.

39 Action when whole of Security Deposit is forfeited
In any case in which under any clause or clauses of the contract the
contractor shall have rendered himself liable to pay compensation amounting to the
whole of his security deposit (whether paid in one sum or deducted by instalment)
or in the case of abandonment of the working owing to serious illness or death of
the contractor or any other clause the Executive Engineer (C) on behalf of the
Company shall have power to adopt any of the following courses as he may deem
best suited to the interests of Company.
a) To rescind the contract (of which rescission notice in writing to the contractor
under the hand of the Executive Engineer (C) shall be conclusive evidence)
and in that case the Security Deposit of the contractor shall stand forfeited
and be absolutely at the disposal of the Company.

b) To carry out the work or any part of the work departmentally debiting the contractor
with the cost of the work, expenditure incurred on tools and plant and charges
on additional supervisory staff including the cost of work charged establishment
employed for getting the unexecuted part of the work completed and crediting him
with the value of work done departmentally in all respects in the same
manner and at the same rates as if it had been carried out by the contractor
under the terms of his contractor. The certificate of the Executive Engineer (C)
as to the costs and other allied expenses so incurred and as to the value of
the work so done departmentally shall be final and conclusive against the
contractor.

c) To order that the work of the contractor be measured up and to take such
part thereof as shall be unexecuted out of his hands and to give it to another
contractor to complete, in which case the expenses incurred on advertisement for
fixing a new contracting agency, additional supervisory staff including the cost of
work charged establishment and cost of the work executed by the new contract
agency will be debited to the contractor and the value of work done or executed
through the new contractor shall be credited to the contractor in all respect and in
the same manner and at the same rates as if it had been carried out by the
contractor under the terms of his contract. The certificate of Executive Engineer
(C) as to all the cost of the work and other expenses incurred as aforesaid for or
in getting the unexecuted work done by the new contractor and as to the value of
the work so done shall be final and conclusive against the contractor. In
case the contract shall be rescinded under Clause (a) above, the contractor
shall not be entitled to recover or paid any sum for any work thereof actually
performed by him under this contract unless and until the Executive Engineer
shall have certified in writing the performance of the such work and the amount
payable to him in respect thereof and he shall only be entitled to be paid the
amount so certified. In the event of either of the courses referred to in clauses (b)
or (c) being adopted and the cost of the work executed departmentally or
through a new contractor and other allied expenses exceeding the value of such
work credited to the contractors, the amount of excess shall be deducted from
any money due to the contractor by Company under the contract or otherwise
howsoever from his security deposit or the sale proceeds thereof provided,
however, that the contractor shall have no claim against Company even if the
certified value of the work done departmentally or through a new contractor
exceeds the certified costs of such work and allied expenses, provided always
that whichever of the three courses mentioned in clauses (a) (b) or (c) is adopted
by the Executive Engineer (C), the contractor shall have no claim to compensation
for any loss sustained by him by reason of his having purchased or procured
materials or entered into any engagements or made any advances on
account of or with a view to the execution of the work or the

performance of the contract.

40 Mode of measurement: if applicable

The mode of measurement shall be as per the as per decision of engineer in charge

41. Arbitration clause:


a) The matters to be determine by the Chief Engineer:

All disputes and differences of any kind whatsoever arising out of or in connection
with the contract, whether during the progress of the work or after its completion and
whether before or after the determination of the contract, shall be referred by the
contractor to the C. E. and the C. E. shall (within 120 days) after receipt of the
contractor‟s representation make and notify decisions of all matters referred to by the
contractor in writing.
b. Demand for Arbitration:
(i) In the event of any dispute or difference between the parties hereto as to
the construction or operation of this contract, or the respective rights
and liabilities of the parties on any matter in question, the dispute or
difference on any account or as to the withholding by M.S.E.D.C.LTD.
Of any certificate to which the contractor may claim to be entitled to or if
the C. E. Fails to make a decision (within 120 days). Then and in any
such case, the contractor (after 120 days) but within (180 days) of his
presenting his final claim on disputed matters, shall demand in writing that
the dispute or difference to be referred to arbitration.

(ii) The demand for arbitration shall specify the matters which are in
question,
Or subject of the dispute or difference as also the amount of claim item
wise. Only such dispute(s) or difference (s) in respect of which the
demand has been made, together with counter claims or set off, shall be
referred to arbitration and other matters shall not be included in the
reference.

(a) The arbitration proceedings shall be assumed to have


commenced from the day, the Company receives a written and valid
demand for arbitration.

(b) The claimant shall submit his claim stating the facts supporting the
claims along with all relevant documents and the relief or remedy
sought against each claim within a period of 30 days from the date
of appointment of the Arbitral Tribunal.

(c) The Company shall submit its defense statement and counter
claim(s), if any, within a period of 60 days of receipt of copy of claims
from the Tribunal thereafter unless otherwise extension has been
granted by the Tribunal.

(iii) Either party shall add no new claim during the proceedings. However a party
may amend or supplement the original claim or defense thereof
during the course of arbitration proceedings subject to acceptance by
Tribunal having due regard to the delay in making it.

(iv) If the contractor(s) does/do not prefer his/their specific and final claims in
writing, within a period of 90 days of receiving the intimation from the
Company, that the final bill is ready for payment, he/they will be deemed to
have waived his/their claim(s) and the Company shall be discharged and
released of all liabilities under the contract in respect of these claims.

c. Obligation during tendency of Arbitration:

Work under the contract shall, unless otherwise directed by the Engineer,
continue during the arbitration proceedings, and no payment due or payable by the
Company shall be withheld on account of such proceedings, provided, however, it
shall be open for Arbitral Tribunal to consider and decide whether or not such work
should be continued during arbitration proceedings.

(i) In cases where the total value of all claims in question added together does
not exceed Rs. 1,00,00,000/- (Rs. One Core) the Arbitrate Tribunal
shall consist of a Sole Arbitrator who shall be either the C. E. Of the
Company or serving or retired officer of the Company/Government not
below the grade of C. E. or equivalent nominated by the Chairman of
the Company in that behalf. The Sole Arbitrator shall be appointed
within 60 days from the day when the Company receives a written and
valid demand for arbitration.

(ii) In cases the value of the claim exceeds Rs. 1,00,00,000/- (Rs. One Core) as
above, the Arbitral Tribunal shall consist of panel of 3 serving or retired
officers of M.S.E.D.C.LTD. /Govt. not below the grade of C. E. / C.A.O.
as the Arbitrators. For this purpose, the Company will send a panel of
more than 3 names of arbitrators of one or more department of the
Company/Govt. to the contractor who will be asked to suggest to the
Chairman at least 2 names for appointment as contractor‟s nominee. The
Chairman shall appoint at least one of them as the contractor‟s
nominee and will also appoint the balance number of arbitrators either
from the panel or from outside the panel, duly indicating the presiding
arbitrator from amongst the three (3) arbitrators so appointed. While
nominating arbitrators, it will be necessary to ensure that one of them is
or has worked in Accounts department.

(iii) If one or more arbitrators appointed as above refuses to act as


arbitrator, withdraws from his office as arbitrator or vacates
his/their office/offices or is/are unable or unwilling to perform his
functions as arbitrator for any reason whatsoever or dies or in the opinion
of the Chairman fails to act without undue delay. The Chairman shall
appoint new arbitrator s to act in his their place in the same manner in
which the earlier arbitrator/s had been appointed. Such reconstituted
Tribunal, May, as its discretion proceeds with the reference from the
stage at which the previous arbitrator(s) left it.

(iv) The Tribunal shall have powers to call for such evidence by way of
affidavits or otherwise as the Arbitral Tribunal shall think proper, and it
shall be the duty of the parties hereto to do or cause to be done all such
things as may be necessary to enable the Arbitral Tribunal to make the
award without any delay.

(v) While appointing arbitrator(s) as above, due care shall be taken that he/they
is/are not the one/those who had an opportunity to deal with the
matters to which the contract relates or who in the course of his/their
duties as Company‟s servant(s) expressed views on all or any of the
matters under dispute or differences. The proceedings or the
Arbitral Tribunal or the award made by such Tribunal will, however,
not be invalid merely for the reason that one or more arbitrator had, in
the course of his service, opportunity to deal with the matters to which the
contract relates or who in the course of his/their duties expressed
views on all or any of the matters under dispute.

(vi) Arbitral award shall state item wise, the sum and reasons upon which
it is based.

(vii) A party may apply for corrections of any computational errors, any
typographical or clerical errors or any other error of similar nature
occurring in the award and interpretation of specific point of award to
tribunal within 30 days of receipt of the award.

(viii) A party may apply to Tribunal within 30 days of receipt of award to make
an additional award as to claims presented in the arbitral
proceedings, but omitted from the arbitral award.

(ix) In case of the Tribunal, comprising of three members any ruling or


award shall be made by a majority of Members of Tribunal. In the
absence of such a majority, the views of the Presiding Arbitrator shall
prevail.

(x) Where the arbitral award is for payment of money, no interest shall be
payable on whole or any part of the money for any period till the date
on which the award is made.

(xi) The cost of the arbitration shall be borne equally by the respective
parties. The cost shall inter-alias include fees of the arbitrators as per
the rates fixed by the Company from time to time. Provided that the
fees payable per arbitrator for claims up to Rs. One Core shall not
exceed Rs. 2000/- per sitting subject to a maximum of Rs. 25,000/-
and the fees payable per arbitrator for claims over Rs. One Core
shall not exceed Rs. 2000/- per sitting subject to a maximum of Rs.
50,000/-. Provided further that the arbitrators who are in service of
Govt./M.S.E.D.C.LTD. Shall draw fees at half of the rates mentioned
above.

(xii) Company shall maintain a list of arbitrators. The Chairman shall have
full powers to delete or add the name of the arbitrators in the list or to
make amendments to the said list as per his discretion.

(xiii) The arbitral proceedings should be completed and the award are finalized
within one year from the date of appointment of arbitrators.

(xiv) Subject to the provisions as aforesaid, Arbitration & Conciliation Act,


1996 and the rules thereunder, and any statutory notification thereof shall
apply to the arbitration proceedings under this clause.

1.2 The scope of proposed work shall be as per the Schedule of quantities & specifications
given in this tender document. Some of the major items of works covered are listed
below (in brief):

New Works
i. Planning for the entire work, designing and finalizing the quantities as per site
survey, seeking approval for the items covered in the bid before procurement.

ii. Supply of all the required materials in line with the schedule of quantities.

iii. Installation, testing and commissioning of the entire system.


iv. Preparing drawings as per actual work at site.

v. Completing the documentation, including manual etc.

vi. Imparting Training to the concerned officials of the MSEB HCL.

vii. Handing over of the system to the MSEB HCL

viii. To deploy the technical resource on site for minimum 30 days after entire
commissioning for observations or till date system operation get stabilized.

ix. To submit all certificates of products implemented.

x. To submit PERT/BAR chart for the execution

xi. LAN CAT 6E cabling for IP phones should be laid in PVC conduit.

xii. List of spares to be kept in stock by tenderer at site.

B) Dismantling and removal

1.3 It is not the intent to specify completely herein all details of the works covered under
this tender. Scope of work may also include such other related works as indicated in the
schedule of quantities although they may not be specifically mentioned in the above
paragraphs and all such incidental items of works not specified but reasonably implied and
necessary for completion of the job as a whole, as directed by the Engineer-in-Charge and
as directed hereunder. All works shall conform in all respects to high standards of
engineering, design and workmanship and shall fulfill the anticipated performance during
the expected life of the system. I/We hereby declare that I/we have read and understood
the above information.

1.4 Upon successful completion of trial operation, MSEB HCL shall issue installation
certificate for the equipment. Warranty shall start from the date of issuance of the
certificate. Such certificate shall not relieve the bidder of any of his obligations which
otherwise survive, by the terms and conditions of the contract after issuance of this
certificate.

Scope of Work during Defect Liability Period (DLP) and Comprehensive Annual
Maintenance Contract Period

1) The equipment supplied shall be warrantied against all types of defects for
a period of one year from the date of handing over of the all EPABX
Systems at Prakashgad. Upon successful completion of defect liability
period of one year- the system will be put under Comprehensive Annual
Maintenance Contract for five years.

2) Any defect(s) in the system/sub-assemblies, found within the warrantee


period and the annual maintenance contract period shall be rectified /
replaced by the tenderer without any additional cost including replacement,
all spare and labour involved etc. the rates quoted should include all such
factors.

3) During Warrantee and AMC period the system will be inspected and
checked by deputing a competent, trained service engineer on monthly
basis.

4) The selected Bidder shall provide preventive maintenance of all newly


installed EPABX systems at least quarterly and relevant dully singed by
engineer in charge and to be submitted to MSEB HCL for information,
records during DLP as well as AMC period

5) The system shall be maintained by the bidder for a minimum period of 10


years from the date of handing over at the rate quoted and terms and
conditions of the tender.

6) 24x7 support should be made available by the bidder for EPABX system.

7) The contractor shall keep the sufficient stock of the spares at site as well as
at their service centre as required for proper functioning of the system. Non
availability of spares/standby units/components will not be accepted as a
reason for waiving of penalty towards delay in rendering prompt service.

8) The scope of maintenance in addition to preventive maintenance will also


include attending to any number of breakdown calls

9) Software upgrades and Renewal of Licences to be provided


The tenderer shall have to provide all software updates, releases, Version
upgrades, New Versions etc. of all the Application Software and Custom
Software included in the Products including renewal of all licences provided
without any extra cost during DLP period & AMC period. The tenderer
will also undertake to carry out implementation / operationalization /
customisation of such software updates, releases, Version upgrades, New
Versions etc. The maintenance contract shall also require that the tenderer
to maintain all supplied documentation in such a state as to correctly reflect
the state of the Products at any point in time. Accordingly the tenderer
should include in his quoted cost the following:
a. The rate shall include for providing required software upgrades
released by the OEM and the same should be provided.
b. The rate shall include the cost of renewal of licenses, if any, for all the
software provided by the tenderer for the entire system and for all the

users and such renewal should be done well in time.

10 Routine maintenance
a) Routine maintenance shall also be carried out during the DLP and
AMC in accordance with the requirements. All performance checks
should be undertaken and recorded in the system log book.

As a minimum, the following performance checks must be undertaken


on each maintenance visit.

b) Remove dust and dirt from the exterior of the EPABX system (Inside
& outside) using a soft brush or a lint cloth. A solvent which is
harmless to the finishes of metal and plastic may be applied to more
stubborn stains.
c) Examine the exterior of the enclosure for any signs of damage or
loose cable glands and rectify any faults found.
d) Remove any dust or dirt form the interior of the EPABX equipment
using a soft brush or a vacuum cleaner.
Examine the printed circuit boards for signs of over-heating, dry
joints and/or damaged tracks

Service Level Agreement

i) The bidder shall attend to complaints within 4 hours after registration


of the complaint and shall carry out corrective actions within 24 hours
for the entire period of warranty.

ii) In case of equipment failure, the bidder shall rectify the same within
24 hours by repair or supplying standby equipment for time gap
arrangement Bidder shall rectify the original equipment within
stipulated time.

iii) The bidder shall be required to carry out at least one visit per quarter
as preventive / service maintenance of the complete system. In the
preventive maintenance the system shall be properly checked and
shall be cleaned. If there is any fault observed in the preventive
maintenance the vendor has to take corrective actions and inform the
Engineer in Charge.

iv) Maintenance of repair / outdoor cables, printers, PCs and all other
items beyond the supply are not included.

v) Bidder has to ensure 99% uptime during the warranty and CMS
period. In case the uptime is below the 99% then NFL reserves the
right to review the contract and if the uptime is below 95% then NFL
EiC has the right to terminate the contract as per the provision.

SAFETY TERMS AND CONDITIONS:
Contractor shall provide required safety appliances/equipments to their workers like
goggles welding screen, safety belts, hand gloves etc. Depending upon the working
condition and nature of job /work in hand. The appliances/equipments shall be arranged
by you at your cost. or shall provide required safety appliances/equipments to their
workers
2) As per factories Act – 1948, contractor should take following safety precautions while
working at a height of more than 3 meters from the working floor
I) Proper temporary scaffolding / platform
arrangement shall be made.
II) Healthy ladder as per requirement shall be used and the ladder should be fixed firmly
and safety belt must be used.
III) Safety belt must be used by all persons working at height.
IV) While working on fragile/A.C.or acrylicsheet roof, duck ladders or crawling boards shall
be used. If required, safetynet must be used.
V) Tool bag should be used by workmen working at height.
VI) All persons involved in working at height must wear the helmet.
VII) WORKING AT HEIGHT” stamp should be put on permit issued for working at height.

I) Every portable electrical tools to be used with thre pin plug and three wire system only
to avoid electric shock while at work, proper earthing should be checked both at supply
end at tool end before commencement of the work.
II) Three wire sockets and properly insulated portable insulated portable electrical boards
with fuses are to be used by contractor by ON/OFF switch should be connected in the live
wire and not in neutral wire.
iii) Colour codign of three wire system should be as below:

4) The ropes & slings and any other lifting tools & tackles to be used for the works should
be duly certified by statutory authority. Section head will verify the certificates before
commencement of work.

I) The contractor will have to keep ready two buckets of water while carryiing out the
welding work. One bucket is to be used for quenching fire if occurred Last bit of electrodes

should be dropped in the second bucket with water to ensure red-hotelectrode may not
cause any fire.
II) Cover/curtain the hazardous area, so that the hot spatters (Molten metal) do not cause

elevation on grills etc.
III) Single piece cable (without joint) to be used during welding work to avoid the fire
through cable joint.
6) Only 24 Volt hand lamps to be used at confined spaces like Turbine, Boil Coal Mills,
Grills, and Structures etc.
7) The Contractor should keep First Aid Box ready at site.
8) All types of scraps to be removed immediately form work spot for maintaing cleanness.
9) In case of injury of person, arrangement for shifting of the injured person for medical
treatment is to be made immediately by the contractor.
10) Adequate no. of supervisors to be appointed by the contractor to ensure all safety
provisions and use of personnel protective equipment by contractual workers.
11) Safety of your workers and staff is your sole responsibility. You shall undertake to pay
compensation to your workers/staff in case they meet with an accident and under no
circumstances, M will be responsible and liable to pay any
compensation as per Workman Compensation Act. If any of our Officer/Supervisor finds
that, you are not following the safety rules & regulations including use of personnel
protective equipments at site, he is authorized to stop your work immediately. In case of
violation of safely rules, you shall be liable to pay penalty up to Rs.100/- for first violation
and up to Rs.3,00/- for second violation. For third violation of rules the order may be
terminated or you may be declared debarred for the further contract up to period of one
year. For Violation of Clause No.(3)-I,ii, iii, the contractor will not be given further contract
initially for three months.
