Introduction of the company:

Name of the company: Bosch Limited

Founded: 15 November 1886; 133 years ago

Headquarters: Gerlingen, Germany

Bosch, is a German multinational engineering and technology company. The company was
founded by Robert Bosch in Stuttgart in 1886.The headquarters of the company is located in
Gerlingen, Germany.

The company’s core operating areas are divided into four business sectors mobility (hardware
and software), consumer goods (including household appliances and power tools), industrial
technology (including drive and control) and energy and building technology.

Today The Bosch is a leading global supplier of technology and services. It employs roughly
400,000 associates worldwide (as of December 31, 2019). As a leading IoT (Internet of Things)
provider, Bosch offers innovative solutions for smart homes, Industry 4.0, and connected
mobility.

The vision of the company is to pursue mobility that is sustainable, safe, and exciting. It uses
its expertise in sensor technology, software, and services, as well as its own IoT cloud, to offer
its customers connected, cross-domain solutions from a single source.

The strategic objective of the Company is to accelerate connected living with products and
solutions that either contain artificial intelligence (AI) or have been developed or manufactured
with its help. The company tends to improves quality of life worldwide with products and
services that are innovative and spark keenness. In short, Bosch creates technology that is
“Invented for life.”

Research Methodology

Research methodology is the procedures or techniques used to identify, select, process, and
analyze information about a topic. The methodology section allows us to critically evaluate the
overall validity and reliability. It answers two main questions: How was the data collected (primary
or secondary)? How was it analyzed?

Primary data is data that is collected by a researcher from first-hand sources, using methods like
surveys, interviews, or experiments. It is collected with the research project in mind, directly from
primary sources.

Secondary data research is a method that involves using already existing data. The data is
summarized and collated to increase the overall effectiveness of research. It is fast and easy as
compared to primary data research. It aims at gaining a broader understanding of subject matter.
Most information is secondary research is readily available. There are many sources from which
relevant data can be collected and used, unlike primary research, where data needs to collect from
scratch.

I have used secondary data research method to collect the information about the Bosch Code of
Conduct & CSR activities.

Code of Business Conduct of BOSCH
Bosch observes the principle of legality and practices business responsibly and fairly have always
been paramount. Indeed, they have central Bosch values. Numerous guidelines and directives
govern their actions. They familiarize themselves with them and comply with them. To facilitate
this compliance, the essential aspects of these company rules are summarized in simplified form
in this Code of Business Conduct.

1. Basic principles on the basis of the following:


 Lawful, regulation-compliant, responsible, and fair conduct: Bosch follows the
principles of legality in all its dealings, actions and other activities of the Bosch group.
Following the principle of legality also includes payment of applicable taxes and customs
duties, compliance with competition and antitrust laws, a strict prohibition of corruption
and money laundering, application of state of the art technology, procurement of the
required official licenses, agreement with export control laws, and respect for the legal
rights of third parties.

All these basic principles are not operated solely by consideration of the severe
consequences of violations and the harm that can be done to the company as result of
prosecution, fines and claims for damages. Instead the company support the principle of
legality by neglecting, whether the company will get benefits from it or not. Hence, legality
and Bosch values take priority over customer requests and other business interests.

 Cooperation with authorities: In case of dealing with the authorities, Bosch follows a
cooperative approach. The associates and supervisors of the Bosch, fully cooperate when
any lawful investigations are conducted by Bosch or the authorities. This does not affect
legal entitlement, the right to retain information, and any other proceeding rights.

 Supervisors’ responsibility: The Company’s responsibility as supervisors is to ensure that


there are no violations of legal regulations, which can be prevented or delayed through
appropriate controls.

The Company also act as role models for their associates, to inform them about the rules
included in this Code of Business Conduct, discuss these rules with them, according to the
agreement of organization and the legal department-make themselves available as a contact
partner.

 Social responsibility: The Company acts responsibly, by taking into account of their
impact on society and the environment. They reject any violation of human rights (for
instance, forced or child labor), also on the part of their business partners. When performing
tasks, they keep the reputation of the Bosch Group in mind. They strictly follow the
principle of legality and sustain the basic principles of responsible and fair action.

2. Avoiding conflicts of interest (To protect relationships based on trust):

 In order to avoid any conflict of interest, the company considers only secondary
employment with the prior interest of the company’s employer, only if the secondary
employment does not compromise any justified interest of the company.
 In case any potential conflict of interest rises, when company is involve in the awarding or
settlement of orders, they only engage with a business partner of Bosch for private purposes
after obtaining the advance written consent of the executive management responsible.

3. Dealing with information:


 Written documents: All internal or external records and reports of the Company, must
be accurate and truthful. They observe generally applicable accounting principles, which

require only that data and other records that are always be complete, correct, up-to-date,
and system compliant. They may only use confidential company information to create
records, files, and the information which immediately serves the interest of Bosch.
 Data protection and information security: The Company ensures that all its privacy is
safeguarded, personal data is protected, and all business information is kept secure in all
its business activities. To protect the information against any unauthorized access and loss,
they apply an appropriate standard that reflects the state of the art and takes account of the
associated risks.
 Insider information: The Company doesn’t uses its insider information to purchase or sell
any securities. The insider information is treated strictly confidential by the company. They
also never make such information available to third parties; this also applies to passwords
that allow access to electronically stored insider information. They only make insider
information available to fellow associates or consultants from outside the company if any
of the recipient needs the information to perform their tasks.

4. Conduct toward business partners and third parties:


 Supplier and customer relationships: The agreements the company make with
customers and suppliers are complete, definite, and documented, including any future
changes and additions. This also applies to arrangements such as bonus payments and cost
subsidies for advertising and sales promotion. The Company select suppliers solely on
competitive merit, after comparing the price, quality, performance, and suitability of the
product or service offered.
 Corruption: The Company doesn’t tolerate corruption in any form. Corrupt behavior of
associates or business partners is liable to prosecution in the Bosch. They nor even give or
accept any gratitude from public officials.
 In the course of business, and especially in company’s dealings with customers and
suppliers, they also withhold from any form of corruption or other unfair attempt to
influence business decisions. This applies in particular to agreements concerning the

brokering, award, delivery, settlement, and payment of orders, which are intended to serve
as bribes

5. Standards for Company’s products and services


 Prominent quality is the strength of the Company. They deliver safe products of the highest
quality and reliability. In this way, they satisfy customers’ requirements and expectations.
When developing and manufacturing products and providing services, they follow the
principle of legality and their “Invented for life” ethos. If any conflicts arises while
developing and manufacturing any new products, they bring the conflict in open and tries
to resolve them under the principle of legality, the principles of responsible and fair
business practice, and the other Bosch values.

6. Intellectual property of third parties


 The intellectual property of third parties contains both the protected commercial rights
(such as patents, trademarks, registered designs) and the copyrighted items (such as
software, image rights) of third parties.
 The company respect the intellectual property of third parties and, as a matter of principle,
may only use it if granted the right to do so. They only use and distribute third party
proficiency that does not have protected commercial rights or copyright protection if such
use and distribution is not prohibited by other statutory regulations.

7. Occupational safety, health, fire prevention and environmental protection


 Company believes that its duty to keep people and the environment away from harm, to
minimize their impact on the environment, and to use resources moderately. They make
sure that all environmental, heath, fire safety protections under company’s principle of
legality.

Corporate Social Responsibility


In Bosch the responsibility towards the society has been considered as a valuable tradition. The
Social Responsibility of the company not only includes the fair treatment of their employees but
also includes acknowledgment of human rights, equal opportunities, integration of handicapped
people, free choice of jobs, rights of children, fair working conditions, relation with associates &
their institutes, environment and worldwide standards in occupational health and safety.

Bosch believes that social responsibility of the company is the most honest and fair approach for
the company, to operate business profitably in long run.

BRIDGE (Bosch’s Response to India’s Development and Growth through Employability


Enhancement)

BRIDGE is short term program, ensuring the employability of unprivileged school dropout youth.
It is Bosch CSR program that helps fulfilling the growing need for skilled manpower across sectors
in India

Under this program BOSCH reaches out to school dropout youth from underprivileged
backgrounds who are between the ages of 18 and 25, and are not in education, employment or
training and provide them employability training for 3-months. The students gets training of all
key elements which are needed for gainful employment in organized or semi organized sectors.

BRIDGE includes the following key elements training

 Soft skills (for 5 weeks)


 Industry-specific and Job skills (for 2 weeks)
 Social Skills (for 1 week)
 On-the-Job Training (for 4 weeks)

After completion of the BRIDGE program, Bosch provides 100% job placement assistance to the
candidates in finding job in semi-organized or organized sectors. As of July 2016, more than 4,500
students (school dropout youth) have been trained and placed. Most of them are first-generation
employees to get into the formal job sector, where the remuneration and working conditions are
far more organized and reasonable. Thus, BRIDGE offers a foundation for the young school
dropouts to enter into decent jobs and build their life and career from thereon.

Unique Features of BRIDGE


Training the Trainers (TTT): As there is the biggest challenge in India to have skilled trainers,
to provide vocational training. To avoid this gap Bosch has designed an exclusive ‘Train the
Trainer (TTT)’ program, which covers:

 Student Mobilsation
 BRIDGE Modules Delivery

 Counseling Skills
 Placement Process
 Bosch Qualification for Trainers

More than 200 trainers have been already trained.

Public Private Partnership (PPP):

 Bosch has developed a successful PPP model through the Program. Three State
Governments have merged with Bosch to support the BRIDGE Program, namely the
Governments of Karnataka, Maharashtra and Rajasthan.
 As per the MoUs signed with them by Bosch, 88 Government I.T.I.s serve as BRIDGE
Centers where the program is conducted.
 In return, Bosch upgrades these I.T.I.s to make their curriculum more industry-relevant,
train their vocational trainers, and provide industry exposure to select students, besides
setting up a Bosch Technical Lab in each of these I.T.I.s.

Learnings and observations

In accordance to code of business conduct, Bosch follows all its code of business fairly and
honestly by following its principle of legality. They make sure all their activities come under the
company’s rules and regulations. The company gives more importance to its customers rather than
the interest of the company, it also believes to make the prominent reputation of the company in
the society.

The company effectively plays the role of guider to its employees in guiding them regarding fair
business practices and ethos of the company. The company does not uses the confidential
information of its customers or suppliers for its interest, thus the it’s maintains the trust of its
partners and authorities associated with them. It believes in versatility, and satisfies the needs of
customer in innovative manner with immediate response. The company ensures that its new
development activities are ecofriendly even though, the benefit of the company is low.

The company considers its corporate social responsibility as valuable tradition, it believes in
contributing valuable efforts for the benefit of society. The company performs its social
responsibility in all aspects like benefits to human (individually), society and the environment. The
company doesn’t restrict themselves by following only one corporate social responsibility, but
takes and runs many programs according needs and benefits of the people.
