MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is made and entered into by and between:

FATIMA ROSIE B. GUIAPAR-DOWELL, Filipino, of legal age and a resident of

Ramos St., Brgy. Sta. Cruz, Koronadal City, hereinafter referred to as PARTY OF THE FIRST
PART and JIMBO FAROK B. GUIAPAR, Filipino, of legal age and a resident of Blk. 8, Lot
5, Goldland Subd., Bago Gallera, Davao City, hereinafter referred to as PARTY OF THE
SECOND PART.

WITNESSETH:

WHEREAS, the PARTY OF THE SECOND PART recognizes the contribution of the
PARTY OF THE FIRST PART in the payment for the purchase of real property in Bago,
Davao City, which is more particularly described as follows:

Transfer Certificate of Title No. T-355924

"A parcel of land (Lot 5, Block 8, Pcs-11-001952, being a portion of Lot 9-1 (LRC) Psd-
127491, 11-A (LRC) Psd-127492 and 11, Pcs-11-000138) situated in the Barangay of
Bago, City of Davao, Island of Mindanao. Bounded on the NW along lines 3-4 by Road
Lot 7, of the subd. Plan; on the NE., along line 4-5 by lot 7, Block 8 of the subdivision
plan; on the SE., along line 5-1 by Lot 6, Block 8, along line 1-2 by Lot 4, block 8 of the
subd. Plan; on the SW., along lines 2-3 by Lot 3, Block 8, of the subd. Plan xxx xxx xxx
Containing an area of ONE HUNDRED TWENTY (120) SQUARE METERS, more or
less. Xxx xxx xxx”

WHEREAS, the PARTY OF THE FIRST PART offered to the PARTY OF THE
SECOND PART the assignment of her rights over the said property for a consideration of ONE
HUNDRED FIFTY THOUSAND PESOS (P150,000.00) of which the PARTY OF THE
SECOND PART accepted the said offer.

NOW, THEREFORE, for and in consideration of the foregoing premises and the mutual
covenants, stipulations, and agreements, the Parties have agreed, as they do hereby agree, and
contracted as follows:

1. The PARTY OF THE SECOND PART shall reimburse the PARTY OF THE
FIRST PART the amount of ONE HUNDRED FIFTY THOUSAND PESOS
(P150,000.00);

2. The PARTY OF THE FIRST PART, by virtue of this reimbursement, shall assign
all her rights over the said property to the PARTY OF THE SECOND PART;

3. This Agreement shall take effect immediately.
