THIS SUB-LICENCE AGREEMENT made in duplicate and effective the 19th of March,

BETWEEN:

Eric Yu, an individual residing at 280 Simcoe Street, #501,

Toronto, Ontario M5T 2Y5 Canada (hereinafter called “Yu”)
- and -

MUHAMMAD ASIM MINHAS (hereinafter called the sub-

licensee), an individual residing at / a corporation located at
COLLEGE OF E&ME, NATIONAL UNIVERSITY OF
SCEIENCE & TECHNOLOGY NUST PAKISTAN

WHEREAS the sub-licensee wishes to acquire the right to use the OME software (more fully
defined in Appendix A hereto) for non-commercial use only;

AND WHEREAS the OME software includes a no-source version of the software known as the
Techné Repository (the “Software” as more fully defined in Appendix B hereto), which is owned
by Techné Knowledge Systems Inc., a corporation incorporated under the law of Ontario and
having offices atSuite 2406, 1 Yonge Street, Toronto, Ontario M4W 1E6 (hereinafter called
“Techné”);

AND WHEREAS Yu has acquired the right to use the Techné Repository and to distribute same
in association with his OME software, for non-commercial use only;

NOW THEREFORE the parties agree as follows:

1. SUB-LICENCE
1.1 Subject to the following terms and conditions and in consideration for the sum of $1,
the receipt of which is hereby acknowledged, Yu hereby grants the sub-licensee a non-
exclusive, royalty free sub-licence to use the Software;

1.2 Sub-licensee will not reverse engineer the Software.

1.3 Sub-licensee will not transfer or further sub-licence the Software.

2. NO COMMERCIAL USE
1.1 Sub-licensee will make no commercial use whatsoever of the Software without the prior
written consent of Techné.

3. NO WARRANTY

 3.1 Sub-licensee acknowledges that the Software is provided “as is” and is not warranted
fit for any purpose whatsoever.

3.2 Neither Yu nor Techné is responsible for any loss or damage arising from the use of the
Software, however caused.

APPENDIX A
OME SOFTWARE

The OME Software is a tool to support the i* modelling framework for modelling, analyzing,
and designing strategic actor relationships. The i* modelling framework (including the Strategic
Dependency and Strategic Rationale models) was developed by Eric Yu in his doctoral
dissertation “Modelling Strategic Relationships for Process Reengineering,” Department of
Computer Science, University of Toronto, Copyright Eric Yu, 1995. The OME Software is
owned by the University of Toronto.

APPENDIX B
TECHNÉ REPOSITORY

The Techné Repository is an extensible object-oriented information repository, based on the

conceptual modeling language Telos, which was designed at the University of Toronto. The
architecture of the system is extensible based on the notion of an object server and
communication protocols that facilitate integration of additional tools. The use of a rich and
dynamically extensible modeling language provides a novel methodology for integrating
heterogeneous systems and for creating customized applications from a generic system.
