SERVICE CONTRACT

This SERVICE CONTRACT (this “Agreement”) effective as of 25th March 2021 is made and entered into
by and between iGATE Technologies, a company organized and existing in Pakistan, with office
located at 155 Service Road N I-9/3 Islamabad (hereinafter the “Client”), and Mr. Ali Usman holding
cnic# 38403-3915455-7, with a registered address located at H#55 Gali #3, Imtiazabad colony
Sargodha, Pakistan (hereinafter the “Consultant”).

With regards to the use by the Client of all services which the Consultant has promised to provide in
consideration of the mutual promises, terms and conditions set forth on this Contract.

1. TERM

The Contract term shall be for one year from singing date unless earlier terminated in
accordance with the provisions hereof (The "Contract Period”).

2. SCHEDULE
The Consultant will be required to work for the Client for three days per week, namely
Wednesday, Thursday and Friday. The consultant shall be required to work for four hours
every working day, from 11.00am to 15.00PM.

3. COMPENSTAION
It is hereby agreed that the compensation for the Contract shall be 100,000 PKR which shall
be paid monthly to the Consultants bank account which details are given below.

The compensation defined in this clause is non-inclusive of VAT.

4. DEFAULT: A. If either party at any time during the Contract Period: (i) fail to make any
payment of any sum of money specified in this Agreement to be made; or (ii) fail to observe
or perform any of the covenants, agreements or obligations under this Agreement (other
than the payment of money), the non-defaulting party may terminate this Agreement.

5. RIGHTS OF TERMINATION: Without prejudice to any other rights Client may have hereunder
or otherwise, Client shall have the right to terminate this Contract immediately upon written
notice to Consultant if Consultant breaches any material term of this Contract.

6. GOVERNING LAW; ARBITRATION: This Agreement shall be governed by, and its provisions
enforced in accordance with, the laws of Pakistan without regard to its principles of conflicts
of laws.
7. NO JOINT VENTURE: This Agreement does not constitute and shall not be construed as
constituting an association, partnership, joint venture or relationship of principal and agent,
or employer and employee, between Client and Consultant. Neither party shall have any right
to obligate or bind the other party in any manner whatsoever, nor, except as expressly set
forth in this Agreement, nothing contained in this Agreement shall give, or is intended to
give, any rights of any kind to any person.

8. ENTIRE AGREEMENT: This writing constitutes the entire agreement between the parties to
this Agreement and may not be changed or modified except by a writing signed by the party
or parties to be charged by such change or modification.

The parties have executed this Agreement in Pakistan on the day and year first set forth
above.

IN WITNESS WHEREOF, the parties have executed this Contract as of the date
indicated below.
