FOOTBALL GAME AGREEMENT

This AGREEMENT entered into this Bth day of December, 2020 by the University of Connecticut, with a principal
place of business at 2095 Hillside Rd., Storrs, CT 06268 {hereinafter designated as UConn) and the Trustees of the
College of Holy Cross with n principal place of business at 1 College Street Worcester, MA
01610 (hereinnfterdesib'llated as Ho(v Cross).

WHEREAS, UConn and Holy Cross entered into that certain letter agreement, dated May I, 2016, ("2016 Letter'')
pursuant to which the parties agreed, among other things, to play a football game on Thursday, September 2, 2021 on
tcnns set forth in an agreement to be ge nerated by UConn;

WHEREAS, this is the agreement anticipated by the 2016 Letter, however the parties now desire lo play the football
game on September 4, 2021, instead of September 2, 2021;

NOW THEREFORE, in consideration of the mutual promises and covenants contained herein and other good and
valuable consideration, the partits intending to be legally bound, agree as follows:
I
1. Purpose; The purpose of this Agreement is to confinn the arrangements and conditions for playing a football
game between UConn and Holy Fross.

2. � Each party shall cause its varsity football team to participate in football game (hereinafter designated ns
G,m,e) in accordance with the tenns of this Agreement. The Gume shall be played on the dates and al the locations
ns sel forth below:

References below to the Home Team shall refer to UConn for the Game played in East 1-lartford, CT and references
below to the Visi1il1g Teem, shall refer to Holy Cross for the Game played in East Hartford, CT. Game time to-be­
detcnnined (TBD) based upon television considerations. In the absence of television, the Home Team shall maintain
the right to set the game time.

3. Ru.11:ii. The Gume shall be governed by the rules of the National Collegiate Athletic Association (NCAA), and the
institutional rules of the Home and the 1'i.ri1i11g Teams .is in effect at the time of the Gt1me.

4. Elhdhj)jty of Tcom Members; The eligibility of each team member to participate in the Game shall be governed
by the rules and rc1:,rulations of its institution, the rules of its athletic conference (if any), and the rules and
regulations of the NCAA, as in effect at the time of the Game.

5. Offirja)s; The officials for the Game shall be a crew assigned by the Home Teem,�� conference or the Home Team•.,·
official assigner.

6. Compcpsatjop The Home Team agrees to pay the Vi,\·iting Team, as full and complete compensation for
par1icipating in the Gmne, the guaranteed sum of $425,000 (the ••Guaranteed Amounf') .

7. Tickets and Parkiue;

a. Ticket prices will be established by the Home Team. The Home Team will retain all revenue from ticket sales.
b. The Visiting Teum shall be allowed 350 complimentary tickets.
IN WITNESS WHEREOF, the parties hereto by their respective officers duly authorized, have caused this agreement
