Necessary working tools. Our working hours are Ten (10) hours per day, six days a week at onshore location. Food, accommodations and transportation for our personnel. Required equipment’s to carry out the work EXCLUSION FROM THE PRICE The following is excluded from our price: to be provided free of cost by Client: 1) Crane/Forklift required for loading, offloading, handling of materials & equipment's during mobilization/demobilization and entire course of job. Training: Confined space, working at height, at, Permit Receiver and any project specific special training Arrangement of work permits. Provision of necessary gas masks and toxi-clips for our personnel Any Third-party inspection/certfications, Safe work access to execute the work. Proper lighting and ventilation at work place. First aid / Ambulance facility. Fall Retrieval and Rescue facility. Necessary assistance for gate passes for our men and vehicles, work permits and safety training induction if required. Power, light, ablution facilities for our workforce. Office, Rest Shelter, Mess room for personnel working at site Any mechanical, civil, welding works, supply and application heat tracing Provision of skip near our work location for debris and disposal of the same to a designated area at site, if required Facilities for the material storage at site. MANPOWER: Manpower will be mobilized within 7-8 weeks after receipt from Cape's receipt and acceptance of a valid order. It will be varied as per the availability of work- fronts, Page 3 of 9 . (CAPE REF ELIQTIRRIT7300] ATTACHMENT 3 i TECHNICAL CLARIFICATIONS 1. Hours lost in waiting or for work executed outside of the normal working day due to circumstances beyond the control of CAPE EAST, as well as hours for additional work beyond the original scope will be charged extra as per attached day work rates. 2. Minimum Ten hour will be considered once manpower is taken on day work basis for work. 3. Our manpower rates are based on 10 hrs/day and 6 days/week; beyond which ‘overtime shall be applicable. TECHNICAL CLARIFICATIONS/ QUALIFICATIONS ~ INSULATION 1. Our quotation is priced on the basis of work releases on continuous insulation runs and not leaving weld joints and on the assumption that continuity of work will be made available to employ our operatives in the most efficient and economic manner. [EOT] 2. The price offered is based on the quantities offered in the price schedule. In case of variations #10% in the quantities provided, there we reserve the right to revise the unit rates. If the project schedule changes we reserve the right to revise the unit rates. 3. Pre-commissioning assistance will be on day work rate basis (cost reimbursable basis) 4. Insulation: Delivery of materials at site will commence from 12" week from the date of receipt of your technically clear and approved MAR. 5. Hours lost in waiting or for work executed outside of the normal working day due to circumstances beyond the control of CAPE, as well as hours for additional work beyond the original scope will be charged extra as per attached day work rates 6. All pipes fittings and valve insulation work shall be measured as per as per actual based on attached MOM. Insulation area shall be measured over the insulation. 7. We have not considered any supply and application of heat tracing cement for the steam traced lines. 8. We have considered the following insulation material with in our offer. * PIR Pipe section. Thickness: 1.2 mm * 0.36 mil, AL Foil Tape, 50 LM * 19x 1mm SS 316 Cladding Bands * 19x 1mm SS 316 - Cladding Seals * Aluminized sheet ASTM A463 Type Il. - 0.6 mm * Aluminized sheet ASTM A463 Type II. - 1.0 mm © Pop Rivet Al 4mm Dia. x 13mm + Toggle Clips - SS 316 - 1.5 mm thick * Metal Joint Sealant - Foster 95-44, Tube 330 ml Page 4 of 9 Insulation Works CAPE REF ELIQTIRRII7300] 22 23 24 28 ATTACHMENT 4 \ COMMERCIAL CLARIFICATIONS & QUALIFICATIONS Contract Schedule, Mobilization, Working Week and Work Procedure Our proposal is based on the following schedule: We shall require a lead time of 7-8 weeks to arrange our manpower and materials from the date of receiving a commercially and technically clear order at Contract award. This proposal is based on a working week of 60 hours (Saturday to Thursday), 10 hours per day. Cape's price is on the basis that work fronts will be made available by the Client continuously from initial mobilization to allow Cape's operatives to work in an efficient and economic manner. In the case of non-availability of work fronts for reasons which are beyond Cape's control, standby hours shall be applicable for the affected operatives and plant and equipment. A minimum of 10 standby hours per day will be applicable, in the case of non-availability of work fronts for a whole day. Payment shall be made to Cape by the Client for standby hours. Should Cape's manpower and/or plant and equipment have to be demobilized due to non- availability of work fronts or for any other reason not attributable to Cape, subsequent mobilization and demobilization costs shall be reimbursed to Cape by the Client The price is based upon the proposed contract period. In the case of the contract extending beyond the proposed contract period, Cape shall be entitled to apply price escalation for direct and indirect costs. ‘Should completion of the works be delayed for reasons outside of its control, Cape shall be entitled to the grant of an extension of time by the Client and to reimbursement of the associated delay costs. Payment Terms Cape's price is based on the following payment terms: All the work done (Unit Rate / Modification / Day-work I hire charge) will be invoiced 100% every month. 100% of amount shall be paid in advance by 30 days PDC or irrevocable Letter of Credit (LC) at sight for the lumpsum amount. There shall be no back-to-back payment provisions, Invoices shall be submitted by Cape at the end of every month and shall be certified within 7 days and paid by the Client within 30 days. Late payment of an invoice shall entitle Cape to charge financing at the rate of 12% per annum, Cape shall be entitled to suspend work if the Client delays making payment by 30 days or more from when payment is due. Any costs incurred by Cape in taking this, action shall be reimbursed by the Client. Page § of 9 Inaulation Works CAPE REF. ELIQTIRR/17300] 26 34 44 5.4 14 84 Cape shall be entitled to terminate the contract if the Client delays making payment by 90 days or more from when payment is due. Any costs incurred by Cape in taking this action shall be reimbursed by the Client. Taxes and Customs Cape's price is based upon taxes, custom duties and the like as at the date of this budgetary proposal. Any subsequent amendments or introduction of new taxes, custom duties and the like which results in increased cost to Cape shall be reimbursed by the Client. Health and Safety Regulations This budgetary proposal is based on the health and safety legislation and regulations at the date of this proposal. Any subsequent amendments or introduction of new health and safety legislation or regulations which results in increased cost to Cape shall be reimbursed by the Client. Insurances Cape have the following insurance cover in place: () Workmen's compensation insurance for Cape's operatives (USD 2 Million) (i) Plant and equipment insurance for plant and equipment owned by Cape (iii) Motor vehicle insurance for vehicles owned by Cape (iv) General third-party liability insurance (QAR 5 Million) All other necessary insurance cover including Contractor's All Risk Policy shall be provided by the Client. Method of Measurement Cape's price has been derived using the bill of quantities contained in the enquiry documents. In case of reduction in quantities by more than 10% Cape reserves the right to review the rates. Liquidated Damages Should the subcontract suffer a delay for reasons which are solely attributable to Cape, then Cape shall be liable for liquidated damages (and not as a penalty) at the rate of 0.1% per day of complete delay to a maximum of 5% of the final determined subcontract price. Consequential Loss Notwithstanding anything stated to the contrary in any document, agreement and their like, neither party shall be liable to the other party for any special, indirect or consequential costs, loss or damages, loss of use, loss of profit, loss or production or loss of sales contract and their like which may be suffered by the other party arising for any matter whatsoever in respect of any awarded or executed contract jon of Liability Cape's maximum liability in respect of any breach and/or for any other reason of the awarded subcontract and/or at law shall be limited to the value of the executed Page 6 of 9 10. 1. 12. 12.4 1 CAPE REF. ELIQTIRR/17300] works determined on the basis of the schedule of rates and/or oY. to z, lump sum price as the case maybe. ‘Suspension / Termination Client default If the Client delays making payment by 60 days or more from when payment is due then Cape shall have the right to suspend the services by giving 7 days’ prior notice to the Client and any costs incurred by the Cape in taking this action including financing charges at the rate of 12% per year towards late payment shall be reimbursed by the Client. Client termination for convenience If the Client terminates the contract at its convenience, the Cape shall be entitled to reimbursement of value of all work carried out, work in progress and any auditable additional costs incurred in anticipation of completing the Works. Force Majeure If a party is or will be prevented from performing any of its obligations under the subcontract by force majeure (including, but not limited to, war, hostilties, invasion, act of foreign enemies, rebellion, terrorism, revolution, military or usurped power, civil war, riot, commotion, disorder, strike or lockout, munitions of war, explosive materials, radiation, or natural disasters such as earthquake, hurricane, typhoon or volcanic activity) then it shall give notice to the other party of the event and circumstances constituting the force majeure and shall specify the obligations, the performance of which is or will be prevented, The party shall, having given notice, be excused from performance of such obligations for so long as such force majeure prevents it from performing them. ‘Should the force majeure event continue for more than 90 days either party may opt to terminate the sub-contract. Notwithstanding any other provision of this clause, force majeure shall not apply to obligations of either party to make payments to the other party under this supply agreement ‘Should the force majeure event cause need for demobilization and remobilization, the costs for this shall be borne by the Client. Change of Legislation ‘Any change in the law or regulations or the like, or any new law or regulation or the like introduced after the subcontract is awarded which has adverse financial Page 7 of 9 LUnsutation CAPE REF. Should any provision in this budgetary proposal be found to be void or unenforceable then all the other provisions shall remain in place and fully enforceable. 14, Governing Law 14.1 This agreement shall be governed by the laws of Qatar and shall be subject to the exclusive jurisdiction by the courts of Qatar. 15, Other Commercial Issues 15.1. All other commercial issues to be discussed and agreed upon in the event of a subcontract being awarded. 16. Validity 16.1 The prices quoted shall remain fixed for 30 days from the date of this quotation 17. Performance Bond 17.1 Not Applicable. 18. Retention Bond / Amount 18.1 Not Applicable. 19. Warranty 19.1 Not Applicable. 20. Parent Company Guarantee 20.1 Not Applicable. 21. Acceptance 21.1 Itis understood that no contract shall arise from this offer unless and until the Client's order has been officially accepted in writing by Cape. Insulation Manpower Day Rates 1 Supervisors — Qrs. 45.00/- per man-hour. 2, Insulator/Fitter — Qrs. 24.00/- per man-hour. Notes on Price: 1. Our manpower rates are based on minimum 10hrs/day and 6 days/week; beyond which overtime will be applicable as below: a. Normal OT ~ 1.25 x Man-hour rate b. On Fridays and holidays ~ 1.5 x Man-hour rate 2. Minimum 10 hours per day shall be charged for any manpower on supply.
