1. a) You want to form a partnership firm. Is it necessary that there should be express 5.0
provisions for duration or determination of a partnership firm?

b) You as a partner of a firm have brought some of my personal assets to the firm as 5.0
your contribution. Have you lost your exclusive rights to the said assets?

c) You want to admit your brother who is 15 years old to the profits of the partnership 5.0
firm, which is managed by you with other partners. Can minors have share in the
property of the firm?

d) After dissolution of the firm, of which you were one of the partners, another 5.0
partner of the said firm has commenced a similar business in the name of the
previous firm. Can you restrain that partner from carrying on the said business?

e) What are the harmful effects of not registering a partnership business? 5.0

2. a) Write the whole procedures of registering partnership with RJSC. 10

b) You are going to start a partnership business with three partners. Now write a 15
details partnership deed for it.

3. a) Write the whole procedures of registering a public limited company and private 10
limited company with RJSC.

b) Prepare a demo memorandum of association for your company. 7.5

c) Describe the distinction between Private and Public companies in line with 7.5
company act 1994.

4. a) Discuss the appointment methods of the Directors. 7.5

b) Discuss the disqualification of directors. 5.0

c) What are categories of the authority of a Partner? 5.0

d) Are there any restrictions on foreign investment (including authorizations required 7.5
by central or local government) in Bangladesh?
