WITNESSETH: THAT –

WHEREAS, SELLER is the absolute and lawful owner of a certain motor

vehicle, particularly described as follows:

Referred to herein as the “Motor Vehicle”.

WHEREAS, SELLER offers to sell, and BUYER agrees to buy, the Motor
Vehicle under the terms and conditions herein specified.

FOR AND IN CONSIDERATION of the sum of THREE HUNDRED

FIFTY THOUSAND PESOS (P350,000.00), Philippine Currency, receipt whereof
is acknowledged by the SELLER as full satisfaction of the purchase price of the
Motor Vehicle.

WHEREFOR, SELLER do hereby SELL, CEDE, TRANSFER and CONVEY

absolutely and unconditionally unto the BUYER, his heirs, successors and assigns,
the Motor Vehicle free from all liens and encumbrances.

IN WITNESS WHEREOF, the parties have hereunto set their hands on this
