OREGON STATE SOCIETY FOR THE 2021 STATE CONFERENCE

This serves as notice of the proposed amendments to be considered by the delegates to the OSSDAR State
Conference, May 14–15, 2021.

AMENDMENT 1: AUTHORIZE ELECTRONIC (VIRTUAL) MEETINGS, VOTING, AND COMMUNICATION

Amend OSSDAR Bylaws by striking out Article XV – Communications and substituting a new article titled
Electronic Meetings, Voting, and Communications and insert the new article after Article XVI – Districts and
rearrange remaining articles in order.

Unless members indicate otherwise to the state
regent or the state recording secretary, in writing,
all communication required in these bylaws,
including meeting notices and proposed bylaws,
amendments, may be sent electronically.
Article XV- Electronic Meetings, Voting, and
Communications
Section 1. Meetings. The state conference, board of
management, districts, regions, areas, executive
board, all committees, standing or otherwise, and
any other division of the state society is authorized
to meet through internet meeting services that
support visible displays identifying those
participating and those seeking recognition, so long
as all members can simultaneously hear each other
during the meeting.
Section 2. Voting. Any method for voting suitable for
the type of meeting, including unanimous consent,
may be utilized, except when a ballot vote is
required. An online voting software or service may
be utilized when voting secrecy is required or when
otherwise desired.
Section 3. Communications. Unless members
indicate otherwise to the regent or recording
secretary, all communications required in these
bylaws, including meeting notices and proposed
bylaws amendments, may be sent electronically.

Rationale: The pandemic has shown us that there are times when we are unable to meet in person. In order to
conduct the business of the state society, we need to have a means to meet.
Bylaws Committee Recommendation: Amendment BE adopted.

AMENDMENT 2A: REMOVES NAMING SPECIFIC AWARDS AND AMOUNTS

Amend Article XI—Endowment Funds, Section 1 State Endowment Fund, by striking out subsections (c) and (d)
and inserting a new subsection (c).

the State Board of Management, subject to the
balance in the annual State Endowment Fund
interest account.

Rationale: NSDAR contests have been revised and renamed. Annual income from $20,000 is currently
insufficient to pay the total designated amounts.

CONFORMING AMENDMENT #2B:
Amend Article XII—Standing Committees, Section 5 Finance Committee, by inserting after the word
“Management”, the sentence, “The budget will include awards as recommended by NSDAR for patriotic,
educational, and historic preservation programs.”

CURRENT WORDING IF ADOPTED, WILL READ

The Finance Committee, composed of the state
treasurer, state recording secretary, the state curator,
and four members appointed by the state regent,
shall prepare an annual budget which the treasurer
shall submit at the March State Board of
Management. The action taken thereon by the State
Conference shall be binding for the ensuing year.

Rationale: NSDAR contests have been revised and renamed. Listing this as a requirement for the Finance
Committee when preparing the annual budget ensures continuity in supporting these programs. This
amendment would only be necessary if the amendment to Article XI, Section 1 is approved.

AMENDMENT 3: INCREASE ANNUAL DUES AND CHANGE WHEN PAYMENT IS DUE

Amend Article IV – Fees and Dues, Section 2 by striking out “$16.00” and inserting “$25.00,” and further
amend by striking out “January” and inserting “December.”

The annual state dues of each member of a chapter
shall be $16.00, which may be used at the discretion
of the State Society, except that 20% shall be equally
divided between the two museum complexes owned
by OSSDAR, namely, Caples House Complex and
Newell Pioneer Village. These dues shall be sent by
each chapter treasurer to the state treasurer on or
before January 1st of each year. State dues shall
become delinquent after February 1st.
The annual state dues of each member of a chapter
shall be $25.00, which may be used at the discretion
of the State Society, except that 20% shall be equally
divided between the two museum complexes owned
by OSSDAR, namely, Caples House Complex and
Newell Pioneer Village. These dues shall be sent by
each chapter treasurer to the state treasurer on or
before December 1st of each year. State dues shall
become delinquent after February 1st.

Rationale: Dues have not been raised since 2008. In that time expenses have steadily increased and
membership has decreased. At this point, the state society has depleted our reserves. The change of the due
date is to align with NSDAR’s due date for the submission of dues. This will simplify the process for chapter
treasurers.

AMENDMENT 4: REVIEW DUES EVERY THIRD YEAR
Amend Article IV – Fees and Dues by inserting a new Section 3 “In the first year of every NSDAR administration
the state conference shall vote upon the adjustment of the dues to the nearest dollar by the amount of the
cumulative change in the Consumer Price Index (CPI) over the prior three years. The state conference may
authorize a dues adjustment above the CPI if warranted.” and renumber the remaining section.
