DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

        WE, TOMAS BONGO JR., of legal age, married to Merlyn Caipilan,
with residence and postal address at Tawala, Panglao, Bohol, hereinafter
referred to as the “SELLER”;

And

LEJJ CORPORATION, a corporation duly organized under the laws of


the Republic of the Philippines, with business address at RM 501 FUBC 413
Buiding Escolta Street, Brgy 291 Zone 027, Binondo Manila, hereinafter
referred to as the "BUYER” and hereby represented by its President, JOEY
CHUA, Filipino, of legal age and with residence at 515 BUSTOS ST. STA
CRUZ, as evidenced by Board Resolution attached hereto as Annex “A”, do
hereby agree as follows:

A. General Provisions

1. SELLER is the registered owner of a parcel of land with


improvements located at Barrio of Tawala, Municipality of Panglao, Bohol
and covered by Transfer Certificate of Title No. 35485 containing a total
area of TWO THOUSAND SIX HUNDRED EIGHTY FIVE SQUARE METERS
(2,685sq.m) , more or less, and more particularly described as follows:

2. And out of the said area of TWO THOUSAND SIX HUNDRED


EIGHTY FIVE SQUARE METERS (2,685sq.m.), the SELLER is willing to sell and
the buyer is willing to buy ONE THOUSAND TWO HUNDRED SQUARE
METERS (1200 sq.m.), hereinafter referred to as the “SUBJECT AREA”,
identified as LOT 4905-A- 1 in the area map attached hereto as Annex “B”
and made an integral part hereof;

3. Said SUBJECT AREA is particularly described as follows:

A parcel of land (LOT-4905-A-1 of the subdivision plan being
a portion of LOT-4905-A, psd-07-066462), situated in the
Barangay of Tawala, Municipality of Panglao, Province of
Bohol, Island of Panglao, Bounded on the NE., along line 1-2
by Lot-4905-B,Psd07-066462, on the SE., along line 2-3 by
Lot-4905-A-3(Road lot), along line 3-4 by Lot-4905-A-2, both
of the subdivision plan, on the SW, along line 4-5 by Lot
4915, Cad 705-D on the NW, along lines 5-6-7 by Lot-4901,
Cad 705-D, along line 7-1 by LOT -4904, Cad 705-D
containing an area of ONE THOUSAND TWO HUNDRED
(1,200) square meters more or less.

B. Consideration and Mode of Payment

1. The SUBJECT AREA will be paid by the BUYER for a total selling
price of FOUR MILLION FIVE HUNDRED THOUSAND PESOS
(Php4,500,000.00) without need of demand or notice as follows:

2. And said amount of FOUR MILLION FIVE HUNDRED THOUSAND


PESOS (Php4,500,000.00) shall be paid in CASH upon the signing of this
DEED OF ABSOLUTE SALE .

C. Registration of the DEED OF ABSOLUTE SALE


and transfer of the SUBJECT AREA

1. This Deed of Absolute Sale shall be registered in form and


substance and accompanied by all the necessary documents to effect
transfer of the title under the name of the BUYER.

2. The payment of Real Property Tax up to and for the year 2018
including all Pending Utility Bills shall be paid by the SELLERS.

3. The payment of Capital Gains Tax shall be divided equally


between the SELLERS and the BUYER.

4. While all Transfer Taxes EXCEPT Estate Taxes, Registration Fees,


Documentary Stamp Tax and Notarial Expenses shall be at the expense of
the BUYER. 

D. Warranties and Conditions

1. The SELLER warrants that she is the ABSOLUTE OWNER of the
above-mentioned real property covered by Transfer Certificate of Title No.
35485 which includes the SUBJECT AREA described in the preceding
paragraphs.

2. The SELLER warrants that the property mentioned in the


immediately preceding paragraph is free from any adverse claim,
encumbrance or similar defects.

E. Right of Way

1. The SELLER agrees to give the BUYER a Right of Way specifically


describe as follows:

ROAD LOT TECHNICAL DESCRIPTION

A parcel of land (Lot-4905-3 of the subdivision plan, being a


portion of Lot 4905-A, Psd-07-066462), situated in the
Barangay of Tawala, Municipality of Panglao, Province
Bohol, Island of Panglao. Bounded on the NE., along line 1-2
by Lot-4905-B, Psd-07-0066462; on the SE,. along line 2-3 By
Barangay Road; on the SW., along line 3-4 by Lot-4905-A-2;
on the NW., along line 4-1 by Lot-4905-A-1, both of the
subdivision plan. Containing and area of TWO HUNDRED
FORTY NINE(249) square meters or less

2. The right of way shall be used permanently by the buyer as


ingress, egress and regress.

3. The SELLER gives the said Right of Way without any


consideration.

F. Buyer’s Option to Buy Additional Lot from the SELLER

1. The BUYER is hereby given the option to buy any or all of


remaining land area of One Thousand Four Hundred Sixty Eight Square
Meters (1,468 sq.m.) covered by Transfer Certificate of Title No. 35485.

2. Said option to buy shall be exercised by the BUYER within FIVE


(5) months from signing of this Deed of Absolute Sale.

3. The BUYER shall exercise its Option to Purchase the Additional
Area by sending a written notice to the SELLERS.

4. Should the BUYER fail to exercise its option to purchase within


Five months, the option shall be considered waived, unless both parties
agree for the extension of said option in writing.

G. Miscellaneous Provisions

1. It is understood that all documents attached hereto or


incorporated actually or by way of reference are made an integral part of
this Contract. BUYER and SELLERS hereby manifest that they have read this
Contract in its entirety and that they understand the same.

2. Should any of the parties resort to the court of justice to protect


their rights against the other, the aggrieved party shall be entitled to collect
from the other party the cost and expenses of such action as proven and
awarded by the proper court.

3. Contract shall constitute the entire agreement between the


parties. SELLERS are not bound by any stipulating representations,
agreements or promises made by any unauthorized person. In order to be
valid, any representation, agreement or promises made by SELLERS not
contained in this Contract must be in writing duly signed by the SELLERS or
their authorized representative.

IN WITNESS WHEREOF, the parties hereby affixed their signatures


this ____ day of July 2018 in the City of Tagbilaran, Philippines.
