CONTRACT OF SERVICES

Know All Men By These Presents:

This Contract of Service is made and entered into this ___ November 2020 at
Valenzuela City by and between:

CITY GOVERNMENT OF VALENZUELA, a local government

unit, created and existing under Philippine laws, with office
address located at The City Hall, MacArthur Highway, Brgy.
Karuhatan, Valenzuela City, Metro Manila, represented herein by
its City Mayor, REXLON T. GATCHALIAN, herein referred to as
the “FIRST PARTY”,

-AND-

E-SECURE TECHNOLOGIE INC., a business entity duly

organized and existing under the laws of the Republic of the
Philippines, with office address located at #239 Banawe St.,
Quezon City represented by Joana Marie N. Hubilla hereinafter
referred to as the “SECOND PARTY”;

WITNESSETH THAT:

Whereas, the FIRST PARTY through the Information & Communication

Technology Office is in need of a subscription of Global Positioning System
(GPS) for the Valenzuela City Police Station’s mobile patrol cars;

Whereas, under Section 53 of RA 9184 and in relation to Section 53.9 of

the Revised Implementing Rules and Regulations of said law, Negotiated
Alternative Mode of Procurement (thru Small Value Procurement) may be
resorted to in the procurement of goods, infrastructure projects and consulting
services, whereby the procuring entity may directly negotiate a contract with a
technically, legally and financially capable supplier, contractor or consultant;

Whereas, accordingly, where the procurement does not fall under

Shopping as set forth in Section 52 of RA 9184 and its IRR and the amount
involved does not exceed One Million Pesos (Php 1,000,000.00) as prescribed in
said IRR, the procuring entity may avail Negotiated Alternative Mode of
Procurement (thru Small Value Procurement) by drawing up a list of at least three
(3) suppliers, contractors or consultants of known qualifications which will be
invited to submit proposals, in the case of goods and infrastructure projects;

Whereas, among all those who submitted price quotations, the SECOND
PARTY offered the lowest quotation in the total amount of Three Hundred Forty
Four Thousand and Fifty Two and 80/100 cents (Php 344,052.80), inclusive of
taxes for the services; and

Whereas, the above offer is the more advantageous terms to the FIRST
PARTY and had accepted the same, subject to the terms and conditions set forth
herein.

NOW THEREFORE, for and in consideration of the mutual covenants and
stipulations hereinafter set forth, parties agree as follows:

1. The SECOND PARTY commits to provide the FIRST PARTY the services
needed, as described above;

2. The FIRST PARTY shall pay the SECOND PARTY for the above-
mentioned services the contract price of Three Hundred Forty Four
Thousand and Fifty Two and 80/100 cents (Php 344,052.80), Philippine
Currency, inclusive of all taxes for the deliveries on March1- November
2020 and December 1-31, 2020;

3. The payment of the amount of due and payable under this contract shall
be made upon presentation by the SECOND PARTY to the FIRST
PARTY of the corresponding statement of account covering the services
and provisions actually finished, subject to the usual accounting and
auditing rules and regulations;

4. It is hereby agreed and understood that “no employer-employee”

relationship exists between the FIRST PARTY and SECOND PARTY, as
well as the parties’ respective employees or staffs;

5. The SECOND PARTY shall comply with all reasonable rules and safety
regulations which may be promulgated from time to time by the FIRST
PARTY and with all the rules, regulations, ordinances, and laws by the
City or national government arising from or regarding the use of
equipment, and to pay the pertinent fees as be required;

6. The SECOND PARTY binds itself to protect and render immune or hold
harmless the FIRST PARTY from suits or liabilities resulting from claims
of any and all nature, whether for death, injuries or damages that may be
suffered by the SECOND PARTY’S worker/ staff or third parties, arising
from or in connection with the performance of the subject service;

7. In case of any contingency in the performance of this contract, the

SECOND PARTY shall hold the FIRST PARTY free and harmless from
any responsibility; and

8. Both parties shall, by virtue of this covenant mutually and faithfully

observe the terms and conditions above stated and further undertake to
perform their obligation without mental reservation or purpose of evasion.

IN WITNESS WHEREOF, the parties have set their hands this __ day of
November 2020, in Valenzuela City, Philippines.
