Contract Manpower Services Agreement


Agreement Number SA-CM-2021-NERA-001v1
This document outlines the terms and conditions under which Nera Telecommunications Ltd ROC 197802690R (hereinafter jointly referred to as ‘the Client’),
appoints Xcellink Pte Ltd ROC 199500562M (hereinafter referred to as ‘the Company’) to source, screen and recruit qualified subcontractors from the Information &
Technology industry to be contracted to the Client.

1. SERVICE PROVISIONS

1.1 The Company undertakes to screen and interview potential candidates before short-listing them for Client’s review.

1.2 The Company shall arrange with the Client to interview short-listed candidates and conduct background checks on the candidates whenever necessary and
feasible.

1.3 Each successful candidate selected by the Client shall be hired under the employment and payroll of the Company, and shall be assigned as a Subcontractor to
the Client via Contract Manpower Service Quotation cum Schedule (see Annex-A)

1.4 The Company shall provide its own medical reimbursement/subsidy insurance schemes, insurance and any other benefits to the assigned Subcontractor/s as
deemed suitable and necessary.

1.5 The Services and Pricing provisioned in this Terms & Conditions are subject to a minimum Monthly Contract Costs value as stated in the Contract Manpower
Service Quotation cum Schedule (see Annex-A) for each individual Subcontractor (please refer to paragraph 2.2).

2. SERVICE FEE

2.1 The monthly service price chargeable to the Client for each assigned Subcontractor shall be derived from the total sum of the following components:

(i) Monthly Contract Costs (please refer to paragraph 2.2)


(ii) Xcellink Service Premium (please refer to paragraph 2.3)

2.2 The Monthly Contract Costs component shall comprise of all monthly-rated service costs related to the employment of the Subcontractor, and shall include the
following items wherever applicable (but not limited to):

Item 1 : Basic Salary of Subcontractor


Item 2 : The Company Employer’s CPF Contribution (at prevailing % rate)
Item 3 : The Company Employer’s SDF Contribution (at prevailing % rate)
Item 4 : Shift and other work allowances including overtime salary, IF ANY
Item 5 : Government stipulated manpower levies, IF ANY
Item 6 : Any other direct or indirect manpower related costs, IF ANY

2.3 The Xcellink Service Premium shall be computed from a fixed percentage of the Basic Salary and according to the range table as follows:
a) >12 months contract - 18% of loaded Monthly Contract Costs component
b) >6 months <12 months contract - 25% of loaded Monthly Contract Costs component

2.4 For each Subcontractor to be assigned to the Client, the Monthly Service Price amount, period of assignment, working hours and any other related terms shall
be indicated in the schedule : Contract Manpower Service Quotation cum Schedule in the format attached hereto as Annex-A. Each schedule shall be jointly
executed by the Company and the Client, and shall be incorporated to form an integral part of this Terms and Conditions Agreement.

2.5 The Company shall bill the agreed Monthly Service Price amount to the Client upon commencement of services by the assigned Subcontractor, and at the start
of every calendar month thereafter for the entire duration of the contract.

2.6 For those Subcontractors of non-Singaporean nationalities, the Company shall recover from the Client
2.6.1.any lump-sum Employment Pass application fees incurred and as stipulated by the relevant Singapore government authorities/agencies
2.6.2 any medical claims that exceeded the insurance coverage limit of the Subcontractor. Please refer to MOM website for Employer Medical Obligations for
foreign manpower

2.7 In the event that a Subcontractor receives National Service call-up, the Company shall rebate the Service Fees attributable for the affected period to the Client
as follows:

* Please note Saturdays and Sundays are not considered as working days.

3. CONVERSION FEE

3.1 The Client shall have the option to convert the Company’s Subcontractor to be under the Client’s direct employment, in which case the conversion fee shall be
computed according to the applicable monthly gross salary range and conversion schedule as follows:

Conversion Fee = 120 % of Monthly Gross Salary

3.2 Monthly Gross Salary as indicated above is based on basic salary with any other fixed allowances. For monthly rated Subcontractor, the Monthly Gross Salary
shall be based on the Subcontractor’s last drawn gross salary.

3.3 At all times, any conversion of the Company’s Subcontractor to the Client’s non-direct employment such as, but not limited to, transfer of employment to another
vendor, with the continuation of service or work performance to the Client, shall warrant the above conversion fee from the intended employer or the Client.

3.4 The above fees stated for conversion within 1st year of contract, shall also be applicable in the event that a Subcontractor is hired by the Client within 6 months
upon the expiry of a contract duration that is less than 2 years.

4. TERMS AND TERMINATION


4.1 This agreement shall commence on______________________ and shall continue to be in full force until either party serves termination notice.

4.2 Either party may terminate this agreement by providing the other party at least One (1) months’ written notice to the other party of its intention. In the event of
expiration or termination, any monies due for Services shall become due and payable immediately.

4.3 The Company shall compute and bill the Client for the terminated Subcontractor’s work done, either on pro-rated monthly salary rate basis or total number of
hours worked basis.

4.4 With the exception of circumstances and conditions described under paragraph 3. above, the Company shall compensate to the Client a “Contract Non-
Completion Refund for subcontractors who either resign or are terminated by the Company before the agreed contract expiry date and based on the following
computation:

[(One Month Basic Salary Cost) ÷ (12) × (1.145)* × (Nr. of Contract Months Served)]

* Subject to change and based on prevailing government stipulated Employer’s CPF Contribution Rate

5. TERMS OF PAYMENT

5.1 The Company shall immediately invoice the client for a deposit equivalent to 1 (One) month of Total Service Fee once the assigned Subcontractor commences
work with the Client, and to be paid immediately by the Client.

5.2 The Company shall invoice the client once the assigned Subcontractor commences work with the Client, and with 30 days credit terms.

5.3 The Good & Services Tax (GST) charge shall be added to the total invoice value (as according to the prevailing rate as per Singapore Law).

5.4 The Client agrees to bear any other related hiring costs including work pass application fees for non-Singaporean candidates.

5.5 All payments to be made under this Service Contract Agreement shall be in Singapore Dollars. The payment shall be in cleared funds, without any deduction or
set-off and free and clear of and without deduction for or on account of any taxes, levies, imports, duties, charges, fees, remittance and withholdings of any nature
now or hereafter imposed by any governmental, fiscal or other authority save as required by law.

6. DEFERRED HIRING

6.1 Any candidate introduced by the Company to the Client remains a candidate of the Company for a period of 6 months from the date of introduction. If a
recommended candidate is employed within this time by the Client, the Client shall pay the Company one month’s contract fee as placement fee.

7. RELATED PARTY HIRING

7.1 If a candidate introduced by the Company is employed by a related party of the Client as result of being introduced to that related party, whether directly or
indirectly by the Client within 6 months of introduction, the client shall pay the Company one month’s contract fee as placement fee.

8. INDEMNITY

8.1 The Company shall make reasonable effort to ensure that the candidate has the necessary skills, integrity and reliability.

8.2 The Company shall not be held liable for any loss, expenses, and damages arising from the Company’s failure to recruit a suitable candidate for the Client in
time.

8.3 The Company shall also not be held responsible for any dishonesty, misconduct or lack of skill or any other act of omission or negligence committed by the
candidate.

9. ACCEPTANCE OF TERMS

9.1 The company shall commence recruitment exercise upon receipt of a duly signed copy of this Terms and Conditions by an authorized representative of the
Client.

9.2 This shall act as a written permission for the Company to reveal relevant non-confidential information about the Client to short listed candidates.

9.3 In the event that the Client interviews a candidate from the Company prior to sending the signed Terms and Conditions to the Company, it shall be deemed that
the Client accepts the Terms and Conditions in full.
