Standard Services Agreement This Independent Contractor Agreement between individual client and freelancer ("Smart Fridge design development”) is effective from 28” Nov 2014 Between Ashish Singh as individual client. Address 40 Beechwood court , Still Orgaon road , 18 Dublin. ireland, {In consideration of the mutual covenants made herein, the parties agree as follows: Design Development: This include development to architecture communication system between, hardware specifications, modification of design as per requirement, process and design documentation as per pre agreed format. ‘Change Management: Specification of product are subject to change are per client required and any change in requirement should be share in advance with contractor. Any change in product, ‘requirement must be based on mutual consensus bet contractor and client. Change in specification will allow to contractor to renegotiate working hour and contract rate. Delivery time and mode: This project would last for one year and mile stone for delivery will be based on project hase and mutual agreement of both parties. No two mile stone will have 15 days gap. Work progress report will be updated every midnight. Report will be shared in common folder of dropbox shared by client in advance. Price: “Contractor will charge client as per hour rate of €17/hour. Payment 1. The client agrees to pay the Price to the contractor on 25th of every month. 2, The contractor shall invoice the client through common agreement sheet for the services that it has provided to the client weekly/monthly 3. The method of payment of the Price by the Buyer to the Service Provider shall be by bank transfer. 4. Any charges payable under this Agreement are exclusive of any applicable taxes,tariff surcharges or other like amounts assessed by any governmental entity arising as a result of the provision of the Services by the Service Provider to the Buyer under this Agreement and such shall be payable by the Buyer to the Service Provider in addition to all other charges payable hereunder. Training and consulting Contractor will provide enough basic knowledge and consulting about complete product {design , contractor is responsible to explain complete architecture and functioning. Client will pay for mentorship as per hours. ‘Agree to circumstances for termination of the contract. In the event of a breach of the contract, either party has the right to terminate this contract within 14 days of notice of the breach by the non-breaching party. Client may also terminate ‘the contract immediately in its sole discretion in the event Contractor breaches the Confidentiality Clause. Client can close this project as per his own easiness and will inform contractor in 20 advance, else client will be liable to pay for extra 30 hour pay. (Ownership of product All documents produced by Contractor, including but not limited to memorandum, research notes, correspondence, e-mails, pleadings, and reports in the course of his work for Client, shall be the property of Client and Contractor shall retain no ownership, interest or rights therein, Confidentiality clause: Contractor acknowledges that he may be furnished with information relating to Client's products, vendor lists, creative works, pending projects, and other confidential information. Contractor agrees not to disclose this confidential information unless required by law or court order. This duty to maintain confidentiality shall continue throughout the life of the contract. Unless require by law, contractor will not use reference of this contract work in future for professional or personal reason, otherwise it will be considered as breach of agreement. ‘Complete design and documentation will be only store at client server location and contractor will nt be allow to save or possess any documentation work under his local machine. He will make sure to destroy all information of design development from local ‘machine or hard copy. Contractor will not share any information regarding this project with employer of cient or any other institute or organization during and after project period, unless require by law.Governing Law ‘This Agreement shall be governed in all respects by the Irish laws and by the laws of the Dublin city council. If any part, term or provision of this Agreement is held to be illegal or unenforceable neither the validity nor enforceability of the remainder of this. ‘Agreement shall be affected. : Neither Party shall assign or transfer all or any part of its rights under this, ‘Agreement without the consent of the other Party. This Agreement may not be amended for any other reason without the prior ‘written agreement of both Parties. Neither Party shall be liable for failure to perform or delay in performing any obligation under this Agreement ifthe failure or delay is caused by any circumstances beyond its reasonable control, including but not limited to acts of god, war, civil commotion or industrial dispute. If such delay or failure continues for at least 7 days, the Party not affected by such delay or failure shall be entitled to terminate this Agreement by notice in writing to the other. = This Agreement shall be governed by the laws of the jurisdiction in which the Buyer is located (or ifthe Buyer is based in more than one country, the country in which its headquarters are located) (the "Territory") and the parties agree to submit disputes arising out of or in connection with this, ‘Agreement to the non-exclusive of the courts in the Territory.
