COLLABORATION AGREEMENT
This Agreement (“Agreement”) is made on June 4th 2021, by and between: DONCHEN PTE. LTD.
(“DONCHEN”), a company incorporated in the 71 UBI ROAD 1#10-42 OXLEY BIZHUB
SINGAPORE(408732) and Atlanta Management with ID 1023957 (herein after referred to as "Anchor") and
bank account details as below:

SCOPE OF AGREEMENT

1. The Anchor shall broadcast in the platform of Kiwii Live for daily basis. Wherein, the Anchor shall

a) Each daily broadcast must fulfill at least 3 hour per day.

b) During the broadcast, the Anchor shall not speak vulgar words regarding politics, religion, violence
and etc.

c) During the broadcast, the Anchor shall not perform any sexual activities.

2. Effective day: If the Anchor broadcasts more than 180 minutes within 1 day on Kiwii, this day
shall be counted as an Effective day. In case that the Anchor broadcasts across two days, then the
broadcast time in the first day shall be counted in the first day. And the broadcast time in the
second day shall be counted in the second day. The day time zone is based on UTC+7. In one day,
there is up to 1 Effective day.

For example, the Anchor broadcasts from 23:30pm in Day 1 to 0:30am in Day 2. Then 23.30pm-
23.59pm will be counted into Day 1. And 00.00am-00.30am in Day 2 will be counted into Day 2.

3. Effective time: Kiwii Live platform counts the time that the Anchor broadcasts. In case of the
counting difference between the Anchor and Kiwii Live, both parties agree on the statistical data in
Kiwii Live.

4. DONCHEN shall pay the Anchors according to Table-1.

a. Anchors’ remuneration includes basic salary, the revenue share of the received gifts and the
activity bonus.
b. The level of the Anchor shall be graded according to Table-1.

i. For example, within 1 month, if the Anchor A receives the gifts worth 100,000
diamonds, the Anchor is graded as Level 5.

ii. For example, within 1 month, if the Anchor B receives the gifts worth 660,000
diamonds, the Anchor is graded as Level 9.

c. In case that the Anchor can only be graded as level 1 in two consecutive months according to
the received the gifts, Donchen shall be entitled to cancel this collaboration with the Anchor.

d. Remuneration:

i. In case of Level-1 Anchor with enough Effective days and Effective time according to
Table-1, the Anchor shall be paid only basic salary without the gift sharing.

For example, if the Anchor C receives the gifts worth only 10,000 diamonds with
22 Effective days and 65 hours Effective time, 30US$ will be paid to the Anchor C.

ii. In case of the Anchor level higher than 1 with enough Effective days and enough
Effective time according to Table, the basic salary and the gift sharing shall be paid to the
Anchor.

For example, if the Anchor D receives the gifts worth 251,000 diamonds with 21 Effective
days and 61 hours Effective time, the Anchor is graded as Level 6. Thus the basic salary is
130US$ and the gift sharing is 251000/200x60% US$, i.e. 753US$. Collectively,
Donchen shall pay 130+753, i.e. 883US$, to Anchor D.

iii.In case of the Level-1 Anchor without enough Effective days or Effective time, the Anchor
will be paid according to their validday 30usd:20 validdays.

iv. In case of the Level-2 or above Anchor without enough Effective days but with

enough Effective time, the Anchor’s basic salary shall be calculated in proportion
to the Effective days. Up to 100% basic salary can be deducted.

For example, a Level-5 Anchor E gets 15 Effective days and 63 hours Effective time, then
only 15/20x110 US$ will be paid to Anchor E as the basic salary.

v. In case of the Level-2 or above Anchor without enough Effective nor enough Effective
time, the Anchor’s basic salary shall be calculated in proportion to the Effective days. Up to
100% basic salary can be deducted.

For example, a Level-5 Anchor E gets 15 Effective days and 55 hours Effective time,
then only 15/20x110 US$ will be paid to Anchor E as the basic salary.

vi. Activity bonus: In case that the Kiwii Live holds activities, the Anchors shall be entitled
to attend. The Bonus shall be paid by DONCHEN according the activity announcements.
 5. DONCHEN shall pay the salary and gift sharing on monthly basis. The payment shall be
made within 1 week of the beginning of every month.

6. Either party can terminate this Agreement by sending email/SMS/ Whatsapp notice in 3
days advance to the other party.
