DEED OF ABSOLUTE SALE

Know All Men by These Presents:

This AGREEMENT is entered into by and between:

_______________, of legal age, married to ____________, and a

resident of Davao City, Philippines, hereinafter referred to as VENDOR;

and

_______________, of legal age, married to ____________, and a

resident of Davao City, Philippines, hereinafter referred to as VENDEE;

WITNESSETH:

WHEREAS, the VENDOR is the registered owner of the following certain

real properties, both situated at the Barrio of Matina, Davao City, Philippines and
embraced under Transfer Certificates of Title No. ___________, of the Registry of
Deeds for Davao City which are more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE No. T-401151

A parcel of land (Lot _____, Psd-_________) being a portion of

_________________, situated in the Barrio of Matina, City of Davao;
Island of Mindanao..containing an area of TWO HUNDRED NINETY
FIVE (295) SQUARE METERS, more or less.

WHEREAS, the VENDOR has agreed to sell the above-described property

to the VENDEE and, in turn, the VENDEE has agreed to buy the same from the
VENDOR under the terms and conditions hereinafter set forth and contained.

WHEREAS, for and in consideration of the amount of FIVE MILLION

NINE HUNDRED THOUSAND PESOS (P5,900,000.00), the receipt of which
in full is hereby acknowledged by the VENDOR from the VENDEE, the VENDOR
hereby sells, transfers and conveys, in a manner absolute and unconditional unto
the VENDEE, its successors-in-interest and assigns, the above-described
properties together with all the improvements existing thereon, free from any and
all liens and encumbrances whatsoever;

IN WITNESS WHEREOF, the parties have hereunto set their hands this
______________________ at Davao City, Philippines.

ACKNOWLEDGMENT

BEFORE ME, a Notary Public for and in the City of Davao, Philippines, this
_________________________, personally appeared the VENDOR and the
Authorized Representative of the VENDEE, exhibiting competent evidence of
identity indicated below their respective names who represented to me to be the
same persons who executed the foregoing DEED OF ABSOLUTE SALE of certain
real properties situated at Barrio of Matina, Davao City, Philippines embraced
under Transfer Certificate of Title No. _____________, consisting of two (2) pages
including the page on which this acknowledgment is written, signed by the parties
and their witnesses, and they acknowledged before me that the same is their free
and voluntary act and deed.
