CIVIL COMPANY AGREEMENT

Concluded on 15 of May 2021 in Wejherowo between:


1) Anna Lewidowska, residing in Gdynia at ul. 5/1 approvals,
2) Stefan Zieliński, residing in Sopot at ul. Armii Krajowej 19/5,
3) Zbigniew Cichocki, residing in Wejherowo at ul. Pomorska 35,
4) Antoni Barański, residing in Gdynia at ul. Morska 10/15,
with the following content:

§ 1. The parties, hereinafter referred to as the Shareholders, declare that they establish a
Company to conduct business activity.

§ 2. The Company shall run a business under the name: Fabryka Mebli Kuchennych "Styl".
Partnership. Anna Lewidowska, Stefan Zieliński, Zbigniew Cichocki, Antoni Barański.

§ 3. The headquarter of the Company is the city of Wejherowo.


§ 4. The duration of the Company is unlimited.
§ 5.1. The company operates in the territory of the Republic of Poland and abroad.
2. The company may establish branches and representative offices in Poland and abroad.
§ 6. The subject of the Company's enterprise is:
1) production of various kitchen furniture (36.13 EKD),
2) production of chairs and seats (36.11 EKD),
3) production of various office and shop furniture (36.12 EKD),
4) production of other furniture (EKD 36.14)

§ 7. The partners undertake to make the following contributions:


1) Anna Lewidowska - makes a cash contribution in the amount of PLN 25,000 (twenty five
thousand),
2) Stefan Zieliński - makes a cash contribution in the amount of PLN 50,000 (fifty thousand),
3) Zbigniew Cichocki - makes an in-kind contribution in the form of a lease right
until 31 of December 2035, of a property with an area of 2500 m2 located in Wejherowo at ul.
Tartaczna 7, intended for industrial purposes, developed with a building with a usable area of
1,000 (thousand) m2, with a value of PLN 100,000 (one hundred thousand),

4) Antoni Barański shall make a cash contribution in the amount of PLN 25,000 (twenty five
thousand).
§ 8. The persons authorized to represent the Company are independently:
1) Stefan Zieliński,
2) Zbigniew Cichocki,
3) Antoni Barański.

§ 9.1. The partners participate in the profit of the Company as follows:


1) Anna Lewidowska - 12.5%,
2) Stefan Zieliński - 25%,
3) Zbigniew Cichocki - 50%,
4) Antoni Barański – 12.5%.

2. The following are exempt from participation in losses:


1) Anna Lewidowska,
2) Antoni Barański.

3. Other Partners in losses participate in equal shares.


§ 10.1. In the event of the death of the Partner, his heirs shall replace him.
2. The heirs of the deceased Partner are not entitled to represent the Company, even if the
deceased Partner had them.

§ 11. The calendar year will be the accounting year.


§ 12. A shareholder may withdraw from the Company by terminating his participation two
months in advance at the end of the accounting year.
§ 13. In matters not covered by this agreement, the provisions of the Civil Code shall apply.
§ 14. Any amendment to this contract shall be made in writing under pain of nullity.
§ 15. The costs of concluding this agreement shall be borne by all Partners in equal parts.
§ 16. The contract has been drawn up in four identical counterparts, one for each party.

1) Jan Nowak, residing in 111 Chaengwatthana Road Laksi, Bangkok 10210-0299, Thailand
approvals,
2) Michał Kowalski aresiding in 23/6 Moo 8, Rachaprarop Road, Bangkok, 10800 Thailand,
3) Aldona Ciesielska, residing in Wrocław at ul. Pomorska 55,
with the following content:

§ 1. The parties, hereinafter referred to as the Shareholders, declare that they establish a
Company to conduct business activity.

§ 2. The Company shall run a business under the name: Asian Dream-Come-True Partnership. Jan
Nowak, Michał Kowalski and Aldona Ciesielska.

§ 3. The headquarter of the Company is the city of Wrocław.


§ 4. The duration of the Company is unlimited.
§ 5.1. The company operates in the territory of the Republic of Poland and Kingdom of Thailand.
2. The company may establish branches and representative offices in Poland and abroad.
§ 6. The subject of the Company's enterprise is:
1) organizing stag parties in Bangkok for Polish VIP customers (36.13 EKD),
2) production of chairs and seats (36.11 EKD),
3) production of various office and shop furniture (36.12 EKD),
4) production of other furniture (EKD 36.14)

§ 7. The partners undertake to make the following contributions:


1) Jan Nowak- makes a cash contribution in the amount of PLN 7,500 (seven thousand five
hundred),
2) Michał Kowalski- makes a cash contribution in the amount of PLN 7,500 (seven thousand five
hundred),
3) Aldona Ciesielska - makes a cash contribution in the amount of PLN 5000 (five thousand)

§ 8. The persons authorized to represent the Company are independently:


1) Jan Nowak,
2) Michał Kowalski,
3) Aldona Ciesielska,

§ 9.1. The partners participate in the profit of the Company as follows:


1) Jan Nowak – 33,3%,
2) Michał Kowalski – 33,3%,
3) Aldona Ciesielska – 33,4%,

2. The following are exempt from participation in losses:


1) Aldona Ciesielska
