Termination

In contrast to situations where a contract is rescinded or voided because it was entered into on the
strength of a misinterpretation, a party can terminate a contract:

 pursuant to an express contractual power to do so; or


 by exercising its common law right to bring the contract to an end upon a repudiatory breach by
the other party.

This section explores contractual termination clauses and typical situations in which issues of
repudiatory breach may arise.

About the contributor

James Thompson was called to the Bar in 2005 and became a member of Keating
Chambers in 2006 following completion of his pupillage. He is developing a practice covering
construction and engineering, professional negligence and related commercial disputes. James has
experience in a wide variety of work in the construction sphere and commercial law generally,
drafting statements of case, applications, witness statements, skeleton arguments and advising both
orally and in writing. James is an experienced advocate and regularly appears in both the County
Court and the High Court. In addition to litigation he has considerable experience of alternative
dispute resolution, having acted in numerous adjudication proceedings and arbitrations of wide-
ranging value. He is also experienced in the mediation process.
