IRREVOCABLE GENERAL POWER OF ATTORNEY


THIS DEED OF CANCELLATION AND REVOCATION OF
IRREVOCABLE GENERAL POWER OF ATTORNEY IS EXECUTED ON

Begum, of Village– Baghulpur, P.S.- Sujanagor, District- Pabna, vide Power

Gulshan Sub Registry Office, Dhaka; hereinafter referred to as the
“PRINCIPAL” (which expression shall, where the context so admits, mean
and include their successors-in-interest, legal representatives, executors,
administrators and assigns) of the SECOND PART.

PRIME BANK LIMITED, a scheduled bank incorporated under the


Companies Act, 1994 and governed by the Banking Companies Act, 1991,

carrying out its banking business having its Head Office at Adamjee Court
Annex Building- 2, 119-120 Motijheel Commercial Area, Dhaka-1000,
along with one of its branch offices namely "Banani Branch", House # 62,
Block # E, Kemal Ataturk Avenue, Banani, Dhaka-1213; hereinafter
referred to as the ‘MORTGAGEE BANK’ (which expression shall unless
excluded by or repugnant to the context mean and include its successors-in-
interest, legal representatives, administrators and assignees) of the ONE
PART.

AND WHEREAS the said PRINCIPAL appointed PRIME BANK LIMITED,


"Banani Branch", having Office Address at House # 62, Block # E, Kemal
Ataturk Avenue, Banani, Dhaka-1213, to be their true and lawful Attorney
by way of executing a Deed of Power of Attorney being No. 2502 dated
04.04.2012, registered with Gulshan Sub-Registry Office, Dhaka, to do,
execute and perform all acts, deeds and things set forth therein in their
name and on their behalf relating to the property fully described in the
schedule below;

AND WHEREAS it has now become necessary and/or expedient for the
PRINCIPAL(s) to revoke the powers conferred therein to the
MORTGAGEE BANK.

NOW KNOW ALL MEN BY THESE PRESENTS that the PRINCIPAL


hereby cancels the said Power of Attorney absolutely and completely
revoke all powers or authority thereby and there under given to the said
MORTGAGEE BANK either expressly or impliedly, to all intends and
purposes, provided that nothing herein contained shall render invalid or
ineffective any act, deed or thing lawfully and bona fide done or caused to
be done by the said MORTGAGEE BANK under any virtue of power given
to it before the revocation thereof by these presents.

01 (One) Flat on the 6th floor, bearing No. A-6, each flat measuring more or
less 1450 (One Thousand Four Hundred Fifty) Sft i.e. Total 03 (Three) Flats
measuring more or less 4350 (Four Thousand Three Hundred Fifty) Sft and
50% of Total Car-Parking space on the ground floor, along with undivided
and un-demarcated proportionate 50% share of total land i.e. 1.50 (One
Point Five Zero) Kathas, and all other common facilities of the said
Building, Located at Plot No. 302, Road No. 1, Block-F, Bashundhara R/A
Dhaka.

LIMITED, do hereby solemnly affirm and state as follows:

1. That the Immovable Property of this Deed of Cancellation and Revocation of


Irrevocable General Power of Attorney, is not attached under the Bangladesh
Collaborators (Special Tribunal) Order, 1972 (P.O. No. 08 of 1972).
2. That the Immovable Property of this Deed of Cancellation and Revocation of
Irrevocable General Power of Attorney, is not abandoned property within the
meaning of the Bangladesh Abandoned Property (Control, Management and
Disposal Order, 1972 (P.O. No. 16 of 1972).
3. That the Immovable Property of this Deed of Cancellation and Revocation of
Irrevocable General Power of Attorney is not vested upon Government any
other manner and/or forfeited upon Government in any manner whatsoever
under any law for the time being in force.
4. That the immovable property, subject matter of this Deed of Cancellation and
Revocation of Irrevocable General Power of Attorney does not contravene any
provision of any other law for the time being in force.
5. That the Immovable Property is not liable to be void under Article 5A of the
Bangladesh Land Holding (Limitation) Order, 1972 (P.O. No. 98 of 1972).

6. That the immovable property of this Deed of Cancellation and Revocation of
Irrevocable General Power of Attorney has been correctly described and has
not been undervalued and Benchmark Builder Limited has a good and
transferable right in such property.

I/WE HEREBY ALSO AFFIRM THAT BENCHMARK BUILDER LIMITED HAS


ABSOLUTE OWNERSHIP OVER THE IMMOVABLE PROPERTY UNDER
TRANSFER REFERRED TO HERE-ABOVE AND NO AGREEMENT FOR SALE
HAS BEEN SIGNED WITH OTHER PARTIES, OR HAS NOT BEEN SOLD
ELSEWHERE OR IS NOT MORTGAGED TO ANY OTHER PARTIES ON THE
SAID PROPERTY.

THAT BENCHMARK BUILDER LIMITED HAS LEGAL TITLE, RIGHT AND


PEACEFUL POSSESSION UPON THE IMMOVABLE PROPERTY OF THIS DEED
OF CANCELLATION AND REVOCATION OF IRREVOCABLE POWER OF
ATTORNEY AND THE STATEMENTS MADE ABOVE ARE TRUE TO MY/OUR
KNOWLEDGE AND BELIEF AND IN VERIFICATION WHEREOF, I/WE
