CONTRACT OF WORK
KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT made and entered into this 7th day of May 2020 by and between:

MINT Center for Language Acquisition Inc., a corporate entity duly existing and
operating under the laws of the Republic of the Philippines and with address at #6 Benitez Court,
Lower Magsaysay Avenue, Baguio City, herein represented by Diane E. Ringor, of legal age,
Filipino, with business address as stated above and hereinafter known as the FIRST PARTY;

-and-

RICHARD VILLAPEÑA VIÑAS (SECOND PARTY / CONTRACTOR /

FREELANCER) of legal age, Filipino citizen and with address at 315 Menes Compound, Barangay
Parada, Valenzuela City.

WITNESSETH

WHEREAS, the FIRST PARTY is engaged in the business of distance language education
call center whose policy is to employ highly qualified individuals;

WHEREAS, the FIRST PARTY is looking for competent individuals to undertake

freelance layouts.

WHEREAS, the PROJECT is Lesson Layout which is with a projected completion period
expected to finish by July 20, 2020 or until further notice.

WHEREAS, the SECOND PARTY has expressed his/her willingness to do the works
contained in the project.

WHEREAS, the SECOND PARTY has agreed to be paid on a results-based basis and
outside the scope of an employer-employee relationship.

NOW, THEREFORE, for and in consideration of the above premises, covenants and other
stipulations herein contained, the parties hereto by these presents have agreed on the following
terms and conditions:

1) TERM OF PROJECT:
a. a. April 20 – July 20, 2020

a. Layout of lessons;
b. Adhere to professional work ethics;
c. Submit regular reports on status of project and timeline;

3) WORK SCHEDULE:
a. Work schedule is at the time and pace of the contractor/freelancer so long as
the project is finished at the date due.

4) COMPENSATION:
a. P200.00 per lesson;
b. Payment is every 15th day and 30th day of the month after due accounting of the
finished projects;
c. The CONTRACTOR/FREELANCER has full control of his/her work schedule
thus there should be no payment of holiday pays, government fees, overtime
pays and other benefits available to an employee under the Labor Code;

5) CONFIDENTIALITY
a. The CONTRACTOR/FREELANCER shall observe the strictest confidentiality
as to all records, data, documents and information pertaining to the business,
and the affairs of the FIRST PARTY, and any of his clients made available to
the CONTRACTOR/FREELANCER during his/her tenure;
b. The CONTRACTOR/FREELANCER shall be held liable for any disclosures
made by him/her to third (3rd) person/s and/or entity/ies regarding the above-
mentioned information at any time during and/or after the CONTRACT.
c. The books/products outputs of the CONTRACTOR/FREELANCER shall be
for the sole benefit of the FIRST PARTY. The
CONTRACTOR/FREELANCER shall never let any third party use the same
without the consent of the FIRST PARTY.

6) PRE-TERMINATION
This Contract may be terminated at the instance of any party hereto, under the following
terms:
a. In case of termination of this contract by the CONTRACTOR/FREELANCER
for any reason, he/she shall inform the FIRST PARTY at least two (2) weeks
before his schedule stoppage of the work.
b. The FIRST PARTY may terminate the contract on the following grounds:
i. Repeated missed deadlines;
ii. Number of lessons submitted is regularly less than the agreed amount;
iii. Quality of lesson slowly decreases and continually does not meet FIRST
PARTY standards.

c. This contract may nevertheless be terminated on the other causes as may be

provided for by law, for which the parties should be sufficiently notified and
afforded their right to due process.

IN WITNESS WHEREOF, the parties have caused this instrument to be executed and
signed on this 7th day of May, 2020 at Baguio City, Philippines.

This employment contract consisting of four (4) pages, including the page on which this
