DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF SALE made and entered into, by and between:

FERNAN L. OGALESCO, Filipino, of legal age, single and with address at

70C Victory Avenue Tatalon, Quezon City, herein referred to as the SELLER;

and

SPOUSES LEONOR T. CARANZA and LEONILO A. CARANZA Filipino,

of legal age, and with address at Blk 9 Donnaville Compound Kamias St.,
Nagpayong Barangay Pinagbuhatan Pasig City, herein referred to as the BUYER;

WITNESSETH: That

WHEREAS, the SELLER is registered and sole owner of a parcel of land situated
in Blk 14 Lot 16 Kenneth Road Stop, SAKDNAI Lupang Arenda Barangay Santa Ana
Taytay Rizal, Province of Rizal, consisting of 40 square meters more or less;

WHEREAS, the SELLER desires to permanently and in perpetuity transfer, sell

to the BUYER, and the BUYER herein accepts from the SELLER, together with all the
rights of the SELLER as registered owner of the property.

NOW, THEREFORE, for and in consideration of the foregoing and the terms and
conditions hereinafter set forth, the parties hereby agrees as follows:

1. Assignment of Property

For and in consideration of the amount of Three Hundred Fifty Thousand

PESOS (Php350,000.00), receipt of which is hereby acknowledged by the
SELLER from the BUYER, the SELLER have SOLD, TRANSFERRED and
CONVEYED and by these presents hereby SELL, TRANSFER and CONVEY
unto the BUYER, his heirs, successors and/or assigns.

2. Representation and Warranty of SELLER

The SELLER hereby represents and warrants unto the BUYER that it is the
owner of the said lot, that the property is free and clear of all claims, liens and
encumbrances whatsoever.
