SALE AGREEMENT
THIS SALE AGREEMENT is made this 6th day of January 2016.
BETWEEN
LILIAN, ATUHURA ANAMARY and KAHUNDE SUZAN of Kasingo
LC1, Busiisi Division, Hoima Municipality (hereinafter referred to as the
VENDORS which expression shall be used where the context so admits
includes their agents nominees, assigns and successors in title) of the one
part;
AND
Mrs. NSUNGWA ANNET and TUSIIME SAMUEL of Isaka Kijungu LC1,
Kahoora Division, Hoima Municipality (hereinafter referred to as the
PURCHASERS which expression shall where the context so admits
includes their nominees, assigns and successors in title of the other part;
AND
WHEREAS the VENDORS are the owners of a plot of land measuring
67ft x 106ft with a commercial house (4 doors) located at Kasingo LC1,
Busiisi Division, Hoima Municipality and sharing boundaries with vendors
in the south and west, a road (Hoima –Fort portal Road) in the north and
the family of late Kirikarama in the east and the vendors are ready and
willing to sell the said land to a willing purchaser.
AND
WHEREAS PURCHASERS are willing to purchase the said property
which is the subject of this agreement;
NOW THIS AGREEMENT WITNESSETH AS FOLLOWS;
1. CONSIDERATION
In consideration of the total sum of UGX. 45,000,000/= (Uganda shillings
forty five million only) the VENDORS agree to sell and hereby sell and the
PURCHASERS agree to buy and hereby buy the plot of land from the
VENDORS.

3. PROPERTY DESCRIPTION.
The plot of land the subject of this agreement measures approximately
67ft x 106ft with a commercial house (4 doors) located at Kasingo LC1,
Busiisi Division,Hoima Municipality and sharing boundaries with the
vendors in the south and west, a road (Hoima-Fort Portal Road) in the
north and the family of late Kirikarama in the east.
4. DUTIES OF THE VENDORS UNDER THIS AGREEMENT.
a. That they have the authority to sell the plot of land herein sold and is
not precluded from doing so by any person or authority.
b. That the plot of land herein is sold as is, free from any encumbrances
and third party claims whatsoever PROVIDED that if there shall
arise any claim or anything that shall prevent the purchaser from
acquiring good title to the plot of land herein sold, the vendor shall
fully indemnify the purchaser against any loss and damage suffered,
by refunding the full purchase price herein paid plus other monies
spent under this agreement and other expense incurred or arising
from this agreement.
c. To deliver vacant possession of the plot of land immediately upon
the parties signing this agreement. For avoidance of doubt, the
purchaser is already doing construction works on the plot of land
that is the subject of this agreement.
d. To furnish all documents relating to the plot of land (including the
vendor’s original purchase agreement) to the purchaser to enable the
purchaser upon the parties signing this agreement.
e. To introduce the buyer to the area L.C Executives as the new owner
of the land herein sold and the buyer shall be responsible for any
dues required by or payable to the said L.C Executives.
5. DUTIES OF THE PURCHASER
By this agreement the purchaser undertakes as follows;
To pay the full purchase price to the vendor as agreed herein.
