SUB: Compensation Revision and Performance Bonus

FY 2019 has been a challenging year for us.

Although we have delivered a Y-o-Y growth and have closed the year with a decent Order Book, we have been unable to meet our budgeted
targets for Revenue and Profitability and the Order Intake has been subdued. Further, increase in time taken for converting the Order Book into
Revenue, has resulted in Revenue shortfalls and pressure on Margins.

Although, on a positive note, our Non-T & D businesses have recorded a growth, but the Margins have been lower than expected.

With the above Achievement, we have fallen short of meeting our Outperformance Targets for the year which is reflective in our Company
Performance and Individual Performance and accordingly will have a cascading impact on the Performance Rewards for the FY 2019.

Nevertheless, going forward, I am confident that we will garner our efforts and strive to achieve the targets set for FY 2020 and deliver a stellar
performance like we have done in the near past.

Performance & Bonus FY 2018-19:

Your Performance Rating for the financial year 2018–19 is 4.

In line with the above changes in the compensation framework and based on your individual performance, you will be paid a
Performance Bonus of INR  36870/- for the financial year 2018-19.

Increment & Revised Compensation effective 1 July, 2019:

Your revised Compensation is attached in Annexure A.

Please note that your compensation and the changes thereto are subject to income and other taxes as applicable including such
amounts to be withheld as per applicable statutes.

You will continue to abide and comply with the provisions of the RPG Code of Corporate Governance and Ethics (Version 4) 2018
which is applicable to all employees of RPG Group.
In line with the terms of your appointment and the RPG Code of Corporate Governance and Ethics, you are obligated not to divulge
your compensation to anyone unless required to do so by law.

All other terms and conditions of your employment remain unchanged.
