MEMORANDUM OF AGREEMENT

KNOW ALL BY MEN BY THESE PRESENTS:

This Agreement made and entered into this ________ day of __________________, in
_____________________________________, by and between:

______________, of legal age, Filipino Citizen with residence and postal address
at ______________, hereinafter referred to as “VENDOR”
-and-

______________, of legal age, Filipino Citizen, with residence and postal address
at ______________, hereinafter referred to as “VENDEE”

WITNESSETH:

WHEREAS, the Parties agree to enter into a Contract to Sell for the purchase of a parcel
of land located at ______________covered by TCT No. ______________
containing of FOUR HUNDRED AND FIFTY (450) SQUARE METERS (hereinafter referred
to as Property).

WHEREAS, further to the Contract to Sell, Parties agree to the terms of conditions in
this Agreement as follows:

1. Simultaneous with the full payment of the purchase price, the parties shall execute a
Deed of Sale.

2. Simultaneous with the full payment of the purchase price and execution of the Deed
of Sale, the VENDEE shall occupy the Property.

3. The VENDOR and his successors, agents, tenants, representatives and all persons
occupying the Property under, in behalf of, and for the VENDOR shall move out in
order for the VENDEE to fully occupy the property subject to the provision in
Section 4.

4. The standing crops/fruits in the Property shall be owned by VENDOR or his tenants.
Provided that the trees and plants shall be owned by the VENDEE upon execution of
the Deed of Sale.

5. At the sole option of the VENDEE, the VENDEE may buy the crops/fruits from the
VENDOR or his tenants at market value. Market value shall be defined as the
prevailing price in the nearest market.
