DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale (the “Deed”), made and entered into this ______ day of ___________ in
the City of _________________, by and between:

_________________, of legal age, Filipino, with residence address at


____________________, hereinafter referred to as the “Seller”;

____________________, of legal age, Filipino, with address at


______________________, Metro Manila, hereinafter referred to as the “Buyer”;

Each a “Party” and collectively, the “Parties”;

WITNESSETH: THAT—

WHEREAS, Seller is the absolute and registered owner of that residential condominium unit with
balcony, drying area, and parking area, (collectively the “Property”) including all rights, title and
interest of Seller in and to that Property located at _________________________, and more
particularly described as follows:

covered by Transfer Certificate of Title No. __________, issued by the Registry of Deeds for the City
of _____________;

WHEREAS, Seller has offered to sell the Property to Buyer, and Buyer has agreed to purchase the
Property from Seller, under the terms and conditions hereinafter set forth;

NOW, THEREFORE, for and in consideration of the foregoing premises, this Deed is entered into
under the following terms and conditions:

1. Purchase Price. In consideration of the payment of the purchase price for the Property in
the amount of ________________________, Philippine Currency, (the “Purchase Price”)
receipt in full of which is hereby acknowledged by Seller, and pursuant to the terms and
conditions hereof, Seller does hereby unconditionally and irrevocably SELL, CEDE, TRANSFER
AND CONVEY to Buyer, and Buyer hereby purchases and accepts from Seller, the Property,
including all rights, title and interest of Seller in and to the Property, free and clear of any
and all claims, liens and encumbrances, except those provided for by law and the deed of
restrictions for Danube Building at Riverfront Residences.

2. Taxes. Any taxes, duties, fees, charges or other dues, including surcharges, interest, and
penalties, imposed or charged by the government, its instrumentalities or subdivisions in
connection with or as a result of the execution, delivery and performance of this Deed shall
be borne and paid for by Seller.

Without limiting the foregoing paragraph, the realty taxes which have accrued prior to the
delivery of the possession of the Property or the execution of this Deed (whichever comes
first) shall be exclusively borne by Seller.

3. Transfer of Title. Seller shall be responsible for and undertakes to facilitate the transfer of
title over the Property from Seller to Buyer’s name. For this purpose, Buyer shall cooperate
with Seller and execute such other documents and instruments as may be necessary to assist
Seller in the transfer of the title over the Property.

4. Warranty by Seller. Seller hereby warrants valid title to and peaceful possession of the
Property herein sold, ceded, transferred, and conveyed to Buyer, and further declares that
the same is free and clear of all liens and encumbrances of any kind whatsoever.
