CONSTITUTION AND BY LAWS

PREAMBLE

We, the DWCB TODA ( DWCB a Tricycle Operators and Drivers Association of
DWCB Zone 6 Bangued,Abra, seeking the Divine Assistance in order to establish
an association that shall embody our ideals, assist in our great task and
responsibility to protect the interest of all members, to promote mutual help and
understanding to inculcate civic consciousness among us and foster love of our
country, do hereby ordain and promulgate this Constitution and By-Laws.

ARTICLE I
Name and Office

Sec. 1. This organization shall be known as DWCB Tricycle Operators and


Drivers Association.

Sec. 2. The organization shall non-sectarian, non-political but cultural and socio-
civic in nature. It shall exist only solely for the purpose of helping the community
and for the benefits of its members.

Sec. 3. The permanent address of this organization is located at DWCB.

ARTICLE II
Membership and Fees

Sec. 1. All Tricycle Drivers and Operators are all welcome to this organization.

Sec. 2. Members will be asked to make a membership of Php 100.00 upon


registration and pay a monthly dues of Php 50.00. The recommended amount of
annual membership fee is Php 100 and 50 monthly dues by a majority of the
Members and Officers. Increases in the recommended amount of dues shall be
subject to a majority vote of the membership and if passed, shall take effect the
following year; the recommended sum shall remain in effect until change.

ARTICLE III
Objectives

Sec. 1. All members shall support the implementation of the DWCB TODA’s
programs and policies.

Sec. 2. Promote harmonious relations among its officers and members.

Sec. 3. Assist and develop and physical, intellectual social and moral being of the
members.

Sec. 4. To protect and upholds the individual and collective rights of all the
members.

Sec. 5. To promote the enlightenment of all the members in regard to their rights
and obligations as members.
ARTICLE IV
Rights of Members

Sec. 1. The members of the DWCB TODA shall have the right to be respected by
his fellow member.
a. Be informed of the activities concerning the organization
b. Avail the existing benefits of the organization as provided for the members
of the organization.
c. Amend the Constitution and By-Laws as needed
d. Participate in the electoral process as provided for the guidelines
e. Not to be stripped-off his membership without due process
f. Be heard and express one’s self.

ARTICLE V
Organization Structure

Sec. 1. The DWCB TODA shall governed by


a. The General Assembly and manage by the officers of this organization

Sec. 2. The General Assembly shall:


a. Be composed of the regular members
b. Be the highest policy making body
c. Formulate, revise and approve general policies and program of action the
DWCB TODA, meets for its regular meetings every first week and last week
of the month. The President has the authority to call for special meetings as
the need arises.

Sec. 3. The officers of the DWCB TODA shall:


a. Be Composed of the President, Vice-President, Secretary, Treasurer,
Auditor, Business Manager, P.R.O and 2 Advisers.
b. Coordinate and implement the general program of action approved by the
General Assembly
c. Formulate policies, adopt resolutions and decisions for the organization in
case of emergency
d. Create such special committees as may be deemed necessary and
e. Meet for its regular meeting every first week and last week of the month.

ARTICLE VI
Powers, duties and functions of Officers

Sec. 1. The power, duties and functions of officers are:


a. The President shall preside over all meetings of the general assembly and of
the officers, approve all vouchers, requisitions and all papers calling for
payments and/or expenditures from the funds of the organizations. Sign all
documents requiring his signature. Enforce the Constitution and By-Laws
and all other measures passed and approved by the General Assembly
and/or of officers performed such other duties and functions assigned to him
by the Organization.

b. The Vice-President shall take over all duties and functions of the office of
the President in the event of the latter’s absence, disability, resignation or
death, shall act such only during the remaining unexpired term of his
predecessor or until his successor shall have been duly elected and qualified
and perform such other duties and functions delegated to him by the
Organization.

c. The Secretary shall be custodian of all records and minutes of all meetings
of the Organization. Shall inform all concerned at least three (3) days before
the designated date of a regular or special meeting and shall perform such
other duties and functions as maybe assigned to him by the Organization.

d. The Treasurer shall be the custodian of all records, book of accounts, cash
and properties owned or held in trust by the organization, collect or cause to
be collected all dues and payables to the organization and issue official
receipt there for he shall render a complete report to the General Assembly
during, its meeting of the DWCB TODA.

e. The Auditor shall have the power to examine and audit in accordance with
the existing policies/rules and guidelines adopted by the Organization all
accounts pertaining to the revenues and receipts of any expenditures and
uses of funds and properties owned or held in trust of the organization, shall
prepare and keep general accounts of the DWCB TODA and preserve the
vouchers there to; shall recommend measures for the prevention of irregular,
excessive, extravagant or unnecessary expenses.

f. The Public Relation Officer shall be in-charge of all publications, press and
radio releases regarding the activities of the organization, shall prepare and
keep general accounts of the DWCB TODA.

g. The Business Manager shall direct, supervise and manage the affairs and
activities of the organization.

Sec. 2. There shall be an Advisers who shall be recommended by the Officers


and approved by the General Assembly.

ARTICLE VII
Election, Tenure of Office and Succession

Sec. 1. All Officers of the DWCB TODA shall be elected by the members subject
to such provisions as provided for section 2 Article II of this constitution, notice of
elections shall be sent at least three(3) days in advance.

Sec. 2. Tenure of Office: The officers of the organizations shall hold office for
term of one (1) year until their successors shall have been duty elected and
qualified until the organization shall provide otherwise, the term of the officers
shall commence upon taking the oaths of office not later the five (5) days after
their election.

Sec. 3. Succession of filling of vacancies. Any vacant position can be filled in


through a special election as set forth by the organization’s officers and approved
by the General Assembly.
ARTICLE VIII
Sources and Uses of Funds

Sec. 1. The source funds of the association shall be derived from the following:
a. Membership fee as approved by the officers and members of the association
in the amount of One Hundred Pesos ( Php 100.00) and may be subject to
increase by officers and members as the case may be.
b. Monthly Dues as approved by the officers and members of the association in
the amount of Fifty Pesos ( Php 50.00) and may be subject to increase by
officers and members as the case may be.

Sec. 2. The funds of the association shall be use in the following Manner:
a. Funds of the association shall be utilized in general purpose and not inure for
benefits of any members/officers of the association. And as needed by the
associations operational cost of and general benefit of the association. And
should be approved by the President and other officers who are signatories
of the association should be subject with pertaining/support documents for
the record and auditing purposes.
This Constitution and By-Laws may be amended by a majority vote of the
members present in the General Assembly, provided a quorum present, or a special
assembly of all elected Parent Officers duly called for the purpose. In the case of
the amendment by a special assembly, this will take effect upon ratification in
writing by a majority of the members. The Administrator of DWCB shall approve
any proposed amendment before it takes effect.

ARTICLE IX
Legal Action

Sec. 1. Any member who will fully violates the provision of this constitution
commits misdemeanor and disregard duties shall be liable for suspension or
membership termination from office.

Sec. 2. Any officer/members who transgresses the association Constitution and


By-Laws and / or any rules, regulations or measures passed by the officers and
approved by the General Membership, commits misconduct and neglects of his/her
duties shall be liable for suspension or termination from office.

ARTICLE X
General Assembly

Sec. 1. The name of the organization shall not be used for unjust, unlawful or
immoral ends

Sec. 2. Any officer shall take oath of office to support and defend this Constitution
and By-Laws.

ARTICLE XI
Amendments

Sec. 1. The Constitution and By-Laws maybe amended, repealed or change by the
Affirmative vote of 75% of the General Assembly at any regular or special
meetings.
Sec. 2. The text of any proposed amendment to this constitution and By-Laws
shall be submitted to the secretary in writing at least seven (7) days prior to the
date of organization’s meeting at which the amendment maybe consider.

ARTICLE XII
Effectivity

Sec. 1. This Constitution and By-Laws shall take effect immediately upon iys
ratification by a twenty-five (25%) of total membership assembly in plebiscite
called for such purpose by the incumbent officers and shall supplement all other
existing Laws and Regulations by this organization.
