Freight Forwarding Contract
Shodesh Shipping & Logistic Company (SSLC) a legal entity under the laws of Republic of
Bangladesh hereinafter referred to as the “Executor” acting on the basis of the Director Md.
Shakhawat Hossan Sumon, acting in accordance with the company’s statutes, on the other hand,
Green Road International LOGISTIC a legal entity under the laws of the People's
Republic of China hereinafter referred to as the "Customer", represented by the Mr. Jani Hefei
acting on the basis of the Charter, have entered into this agreement as follows:
1. SUBJECT OF AGREEMENT:
1.1 The Customer shall assign and the Executor shall accept obligations to provide freight
forwarding services to the Customer’s goods.
1.2 Upon the Customer’s request the Forwarder shall arrange handling and transportation of the
Customer’s export and import cargoes and render the following freight forwarding services.

2.7 The Executor shall Immediately inform the Customer about all arising issues in the process
of loading, including the facts of tonnage overload, the facts of cargo reloading from one vehicle
to another, the facts of redirecting the cargo and the expected placement in convoy escort.
2.8 The Executor shall immediately inform the Customer about forced vehicle delays on the way,
accidents and other incidents that hinder the timely delivery of the cargo or threaten its safety.
2.9 The Executor has the right to start carrying out the duties provided for in this Agreement
until the Customer provides the necessary documents, as well as information about the cargo
properties, conditions of its transportation and other information necessary for the Executor to
fulfill his duties under this Agreement.
2.10 Th Executor has the right to change the type of transport, the route of cargo transportation,
the sequence of cargo transportation by different transport means, based on the Customer’s
interests, subject to prior notification of the Customer and receipt of written consent to make
changes in accordance with this paragraph of the Agreement.
2.11 The Executor has the right to retain the cargo at his disposal until the Customer has paid the
cost of transportation and reimbursed for other expenses incurred by the Executor to the interests
of the Customer. In this case, the Customer also pays the costs associated with retaining the
cargo due to his/her fault.
2.12 In order to perform the obligations under this Agreement the Executor has the right to
involve third parties at its own discretion.
2.13 Here All the deport charges are given in quotation on approximate basis and actual cost will
be given and informed to you as per deport recitable cost.
3. CUSTOMER’S RIGHTS & OBLIGATIONS
3.1 The Customer sends the Instruction to the Executor in writing (by e-mail, fax or WhatsApp)
not later than 72 hours before the start of service, the name of the cargo being transported,
weight and dimensions of the cargo, date and place of delivery.
3.2 The Customer shall provide the Executor with the necessary documents, as well as reliable
information on the cargo properties, conditions of its transportation and other information
necessary for the Executor to perform his duties under this agreement.
3.3 The Customer shall guarantee the reliability of the transmitted information.
3.4 The Customer shall send the original document to Executor within 5 (five) days from the
date of its execution.

3.5 Before the arrival of vehicles at the place of loading, the Customer shall prepare the cargo
for shipment, ensure proper packing and securing of the cargo to the loading according to the
rules and regulations that guarantee the cargo safety during its transportation.
3.6 The Customer shall inform the Executor immediately in case of need to reroute the cargo and
reimburse the additional costs associated with such rerouting.
3.7 The Customer shall be responsible for any port/shipping line storage//demurrage/detention,
trailer detention if applicable or any kind of penalty from Customs in case of any
delay/negligence/document discrepancy/ misdeclaration of cargo or weight or package on
part of Customer. All these charges shall be actual in local currency as per receipts to be
provided by Executor.
5. SETTLEMENT OF INVOICE
5.1 Invoices should be issued 100% payment before Vessel arrived at Tianjin.
5.2 Additional costs shall be reimbursed by the Customer within 15 (Fifteen) calendar days from
the moment the Executor sends the relevant claim to the Customer with attached copies of
supporting documents.

6. FORCE MAJEURE
6.1 The Parties are discharged of responsibility for non-fulfilment or improper fulfilment of
obligations under the Agreement due to force majeure, i.e. extraordinary circumstances
unavoidable under the given conditions, which include government bans, civil commotion,
epidemics, blockade, embargo, earthquake, flood, fire or other natural disasters.
6.2 Notwithstanding such event, both parties will use their best endeavors to fulfill their
obligations under this agreement as affected by the event.
6.3 The provisions of this agreement shall remain in force with regard to all other obligations
under this agreement which are not affected by such event; and
6.4 Both parties will resume their full obligations under this agreement upon the cessation of
such event.

7.5 If in the event of Customer’s negligence in fulfilling his obligations under the Agreement or
in the case of Customer’s instructions the Executor suffers any losses (connected with cargo
storage, tally, surveying, absence of shipping documents, tare, non-delivery of the cargo for
transportation etc.), these losses shall be included into the sum of the final payment. The
losses that Executor suffers in the event of Customer instructions’ fulfillment must be
documentary proved.
7.6 The Executor shall not be Liable for any damage whatsoever, unless damage has been caused
by fault or negligence on part of the Executor.
8. DISPUTE RESOULTION
8.1 The parties will seek to resolve all possible disputes and disagreements that may arise under
the Agreement or in connection with it, through negotiations.
8.2 Disputes not settled by negotiations are referred to the court in the procedure stipulated by
the current legislation.
8.3 In all other matters not regulated by this Agreement, the Parties are guided by the provisions
of the current legislation.
9. DURATION/TERMINATION
9.1 The Agreement comes into force from the moment of its signing by the Parties and is valid
until terminated by either party hereto on a 90 days prior notice in writing by registered mail
to the other or by mutual agreements.
9.2 In the event of termination each party shall fulfill its obligations and be obligated to settle
outstanding accounts within 30 days credit time of the date of termination.
9.3 Each party shall have the right to recover contractual money from the other after termination
of this agreement, for work done during the continuance of the agreement.

the purpose of mutual business development by each other. Such information, data shall not
be disclosed to anyone without consent by both parties.
