sole discre on, be en tled to cancel my admission for the Course and/or forfeit the payment made by me towards

PART-C

TERMS AND CONDITIONS OF ADMISSION

1. The rules men oned herein below pertain only to admission in the Course and are applicable in addi on to the
general rules and regula ons of Times Professional Learning a division of Benne , Coleman & Co., Ltd., (“TPL”),
with which the student is ought to be familiar. In case of any specific queries with respect to the same, the
student can direct his/her queries to the respec ve centre head of TPL in which he is admi ed for the Course.
2. The student shall adhere to all rules, regula ons of TPL and shall, at all mes, observe the provisions stated in the
‘code of conduct’ handbook, as handed over to the student with this Form. TPL reserves the right to change
these rules, regula ons and code of conduct, at any me, without any no ce to the students and the student is
required to keep abreast and in compliance with such updated rules. Any breach of any of the rules, as stated

herein or the general rules and regula ons or code of conduct of TPL can result in disciplinary and/or puni ve
and/or legal ac on or may lead to cancella on of admission from the Course, at the sole discre on of TPL.

3. The student agrees that he/she will not perform any act which is illegal or compromises the goodwill of TPL or
reflects badly on the brand name of TPL or any other Times Group en ty during the course or therea er.
4. The student undertakes to pay the installment(s) of the Course Fees to TPL on the respec ve due date(s) as
specified in Part A hereinabove and all taxes applicable to such payments shall be borne and paid by the student
at the extant rates.
5. The student undertakes that he/she is eligible to be admi ed into the Course, and meets the eligibility criteria, as
laid down for the Course by TPL and shall produce his/her mark sheets/ qualifica on cer ficates/ work-
experience cer ficate/ any other documents, as may be required by TPL from me to me.

6. TPL reserves the rights to change the Fee structure, loca on of the centre, facul es, content, schedule, mings,
batch commencement date and any other nice es pertaining to the Course for valid reasons, with reasonable
no ce to the student, wherever deemed appropriate by TPL.

7. TPL has the right to extend the commencement date of the batch for the Course at its sole discre on. In case TPL
fails to commence the Course due to unavoidable reasons on the commencement date or the extended
commencement date, as the case may be, TPL may offer the student an op on to enroll under some other similar
course and/or to enroll under a different batch of the same Course and/or to enroll with some other center of
TPL for the same Course. In the event the same is not acceptable to the student, TPL shall refund the Course Fees
or any part thereof, received from the student ll the date of in ma on of non-commencement of the batch to
the student (“Advance Fee”). In the event if the student avails the op on provided by TPL to enroll under some
other similar course and/or to enroll under a different batch of the same Course and/or to enroll with some other
center of TPL for the same Course the Advance Fee may also be adjusted against the fee for any other course
offered by TPL as per prevalent course-transfer policy of TPL.

8. Notwithstanding anything contained in this Terms and condi ons, if the student wishes to discon nue from the
Course on his/her own and not due to circumstances stated under Sec on 7 hereinabove, the student shall not
be en tled for refund of Course Fee or any part thereof paid by the student for such Course (“Non-Refundable
Fee”).
9. Before the commencement of the Course, the student may request TPL for transfer of his/her admission in some
other course offered by TPL. However, such transfer shall be subject to grant of approval by TPL in wri ng, in its
sole discre on. If the approval is granted by TPL, the student would be required to pay to TPL a transfer fee or
such other fees at such rate, as applicable on the date of such transfer. The Course Fee or any part thereof, which
is received from the student ll the date of approval of transfer (“Transferable Fee”) shall be adjusted against the
course fees for the other course which the student has opted for and any difference between the Transferable
Fee and the course fee of the other course in which the students’ transfer is approved, shall be paid by the
student to TPL or refunded by TPL to the student, as the case may be. Notwithstanding anything to the contrary
stated above, it is hereby clarified that transfer of admission to the other course is subject to the terms and
condi ons of that course and is subject to availability and TPL’s decision in this regard shall be final and binding.
10. In the event of refund by TPL to the student for the reasons as men oned in clause 7 herein, there shall be no
interest payable by TPL against any such Advance Fee and/or Non-Refundable Fee and/or Transferable Fee and/or
any other payments made by the student to TPL.

11. In the event the student is desirous of availing any changes to the schedule of the batch he has been admi ed for
and/or to defer his/her admission to a different batch of the same Course, he shall, before the commencement of
such batch of the Course, request for such deferment and TPL shall, at its sole discre on agree to such deferment
on such terms and condi ons as it may deem fit and the decision of TPL in this regard shall be final and binding
on the student. It is hereby clarified that incase TPL declines such request, the student shall be required to

con nue with the same batch and ming as ini ally commenced and shall con nue to be liable to pay Course Fee
as per original fee payment schedule, as stated under Part A of this Form.
12. Course Fees or any other amounts paid by the students are non-transferable to any other individual, unless
approved by TPL in wri ng.

13. On successful comple on of the Course, the student will be awarded with a cer ficate of comple on. During the
Course, TPL reserves the right to con nually monitor the student’s performance and suggest correc ve ac ons
throughout the Course, which the student will be obliged to undertake. In the event the student fails to clear the
assessments and evalua ons conducted by TPL, throughout the Course and at the final assessment necessary for
the conclusion of the Course, the student may be denied a cer ficate of comple on and/or placement assistance
and/or any refund of Course Fee and the student shall be declared as ‘Fail’. The student is free to undertake re-
admission in any other batch of the Course and/or enroll with TPL for a different course, subject to the terms and
condi ons and fee structure applicable to that batch of the same Course or the different course. Course Fee paid
hereunder will not be adjusted under any circumstances for such instances of re-admission covered hereunder.
14. If the student fails to honor his/her commitment pertaining to balance payment of Course Fee and/or minimum
a endance criteria as laid down by TPL and/or any other rules and regula ons or code of conduct, TPL, in its sole
discre on, reserves the right to terminate the student’s admission to the Course and/or impose any disciplinary
and/or puni ve ac ons, without any liability for refund of Course Fee.
15. Incase any payments are made by the student vide cheque(s), the same shall be subject to realiza on and in case
the cheque(s) is/are dishonored on presenta on, the issuer and/or the student will be subject to legal ac on, at
the sole discre on of TPL and shall be obliged to bear and pay the applicable charges. TPL, at its sole discre on,
shall have the right to cancel the admission of the student on occurrence of such event.
16. TPL may at mes, undertake courses, which are offered in affilia on with a third party. Such courses are with an
objec ve to assist students with employment opportuni es with the affiliated third party on successful
comple on of such course. However, any job offers made by the affiliated en ty, pursuant thereto is condi onal
and is based on various parameters like performance during course, results of assessments and examina ons,
a endance and policies of the prospec ve employer (affiliated en ty) and other factors. TPL levies no addi onal
charges for assis ng the students with placement and neither does it provide any employment
guarantee/assurance as the same is the pronouncement of the affiliated en ty and the course fee charged under
such calls is only for the course and the training provided by TPL. Such students who are admi ed by TPL for
mandated and third-party affiliated courses for employment opportuni es, shall not be provided with the regular
placement assistance as in case of any other courses of TPL as the student shall be earmarked for employment
with the affiliated en ty, subject to confirma on by such affiliated third party. Students op ng for such course
may accept the employment by the affiliated en ty for placements, if so selected, at their sole discre on and TPL
shall not be liable for the same in any manner whatsoever.
17. For all other courses not covered under Sec on (16), on successful comple on of the Course, TPL may, at its sole
discre on, provide a maximum of 5 (five) interviews as a part of its placement assistance in BFSI domain to
eligible students who have successfully completed the Course. In the event the student has failed to appear for
an interview when invited, it shall be counted towards one of the 5 (five) interviews specified hereunder. It is
further clarified that TPL shall only arrange for such interviews for the students and in case any student does not
like the job profile offered or salary offered by the interviewing en ty and/or any other aspects related to such
job offer and/or or the interviewing en ty itself, as the case may be, TPL shall not be required to provide
addi onal interviews beyond the aforemen oned 5 (five) interviews.

18. It is hereby clarified that if the student is offered any job opportuni es from any of the interviewing en ty, the
student shall not be allowed to appear for any further interviews, irrespec ve of the student accep ng or
declining such offer and TPL shall not be required to arrange for any further interviews for such candidates,
notwithstanding whether the student therea er chooses to joins such interviewing en ty or not. In the event the
results of the interviewing en ty are not announced, the student will be permi ed to a end the remaining

interviews, however, he shall be obligated to consider the job offer from only that interviewing en ty whose
result is declared first in me. In the event any two (2) or more interviewing en es declare their result on the
same day, the student can choose either of the job offers, if any, made to him/her by those interviewing en es.
19. Notwithstanding anything to the contrary stated herein, TPL shall not be responsible or liable for any decision
made by the student with respect to the placement assistance extended by TPL. If the student does not appear
for interviews or does not accept placement opportuni es made available to him/her by TPL, whether under
Sec on (16) (17) or (18), as the case may be, then in such a case TPL may, in its sole discre on, refrain from
sharing any further placement assistance as available under the Course opted by the student.
20. It is hereby clarified that TPL only provides placement assistance to eligible students who successfully clear the
Course and any such placement assistance provided/offered by TPL shall in no event be construed to be a
promise for placement and TPL shall not be liable to provide any employment guarantees hereunder.

21. Any selec on in such interviews and the offered salary/designa on/job role/place of pos ng or other criteria(s)
are solely dependent on the requirements of the interviewing en ty and is subject to the students’ performance
during the interview. TPL has no control on any such criteria(s) or on the final nature of job offered. The student
may reject such offer(s) in his/her sole discre on subject to the provisions of Sec on 18. However, if the student
has accepted the condi onal offer le er/appointment le er from any interviewing en ty, any further discussions,
nego a ons, delibera ons or disputes shall be between such interviewing en ty and the student; and TPL shall
be relieved of all its obliga ons hereunder.
22. The student hereby agrees to promptly in mate TPL about any change in his/her personal details including
his/her address, contact number or email-id. All communica ons made by TPL shall be addressed to the last
registered details of the student available with TPL, delivery of which shall be construed final.
23. The student hereby agrees to indemnify and hold harmless TPL and its group companies, its affiliates, its
associates and their directors, officers, councilors, employees and consultants (“Indemnified Par es”), against all
liabili es, claims, demands, ac ons, costs (including reasonable legal costs), awards, damages or loss arising
directly as a result of any breach or non-performance by the student of his/her obliga ons towards TPL or any
other interviewing en ty whose job offer has been accepted by the student as per the provisions stated
hereunder, any act or omission, any illegal or unlawful act, any loss, or damage to TPL’s property, breach of any
intellectual property rights of TPL or any third party. This clause shall survive the comple on of the Course by the
student.

24. The student agrees not to disclose or share the Course content and/or any other material provided to him/her
pursuant to his/her admission in the Course, whether during the subsistence of the Course or post its
comple on. Students are hereby strictly instructed to abstain from using the name/ brand/ logo of TPL or its
group en es in any media / social media pla orm for any purpose whatsoever, without prior wri en permission
from TPL during the course or therea er. Any viola on of this provisions, shall be strictly dealt with by TPL
25. This terms and condi ons associated to this Form and the Course may be supplemented, extended, modified or
amended from me to me by TPL, at its sole discre on.
26. This Form shall be interpreted in accordance with the laws in India. Any dispute with respect to this Form shall be
subject to the exclusive jurisdic on of the courts at Mumbai. The dispute shall be referred to an Arbitrator
mutually appointed by the student and TPL as per the Arbitra on and Concilia on Act.
27. TPL shall not be liable for failure to perform its obliga ons if such failure is a result of causes beyond the
reasonable control of TPL including but not limited to acts of God, fire, mischief, accident, riot, strike, slowdown,
labor stoppage of any kind, act of any government foreign or domes c, terrorism ("Force Majeure Event").
28. No failure or delay by TPL in exercising any right or remedy provided by law shall operate or be construed as a
waiver.
