SECTION 1: NOTICE INVITING TENDER

On behalf of the Government of Jharkhand, JAP-IT invites Online Bids for


empanelment of suitable agencies under Rate Contract for providing various
category of Manpower to various Departments/Organizations/Offices of the State
Government of Jharkhand.

The authority reserves the right to reject any or all the bid(s) received without
assigning any reason thereof.

JAP-IT reserve the right to cancel the tendering process at any stage without
assigning any reason thereof.

Note: Bidders are advised to familiarize themselves adequately with the Jharkhand
Government e-procurement systems, well in advance, to avoid last minute
technical glitches/errors preventing successful uploading of bid within
specified time frame.

SECTION 2: BACKGROUND & REQUIREMENTS

2.1. ABOUT THIS REQUEST FOR PROPOSAL (RFP)

JAP-IT invites technical and financial proposals from reputed agencies for Selection
under Rate Contract for Supply of Manpower against various post on Outsourcing
basis, as detailed in the Scope of Work in this RFP.

The bidders would be expected to provide manpower against various post for the
ongoing/new projects. This Manpower will be outsourced by any
Departments/Organizations/Offices under GoJ either for itself or on behalf of
other Departments/Organizations/Offices within the Jharkhand state. Such
support would be for a definite period and will not amount to any kind of
employment obligation on the part of Departments/Organizations/Offices.
Educational Qualifications & Experience of the Manpower to be outsourced is given
in Annexure 07.

Interested agencies may view and download the tender document containing the
detailed terms & conditions, free of cost from the website
https://jharkhandtenders.gov.in. The bids are to be submitted as per procedure
given in this document.

SECTION 3: SCOPE OF WORK

3.1 JAP-IT proposes to reputed agencies to provide Manpower for various works in
various Departments/Organizations/Offices of various category as per
Annexure-7

1. Educational Qualifications and Experience of the Manpower to be provided


by the Agency as per Annexure 07.
2. The selected bidders will be selected for a period of 2 (two) years, which
can be extended for maximum of two years on the same terms and
conditions depending upon the satisfactory performance of the Agency.
3. The Man Power being provided by the service provider under various post
will be deployed as per the details provided in work-order in respective
Departments/Organizations/Offices.
4. The performance and discipline of the manpower provided by the
empanelled agencies should be ensured.
5. The Project plan including scope of work, job requirements, timelines and
manpower requirements shall be finalized by the concerned
Departments/Organizations/Offices. These manpower shall be engaged
as per the requirements of the project.
6. Any Department/Organization/Office under GoJ can issue work-order for
Manpower directly to the agency empanelled under the Rate Contract.
Respective hiring authority will be responsible towards verification of hired
man-power, compliances of selected empanelled Agencies/hired
Manpower, payment etc. to the selected empanelled agency.

7. The hiring of Manpower shall be on man month basis to carry out the IT
related work such as s/w development, networking etc. work or other
responsibilities as per the requirement under various projects of different
Government Departments/ Organizations/ Offices.
8. The manpower will be hired as per the eligibility criteria given in Annexure-
07.
9. It is mandatory for Empanelled agencies to pay the deployed manpower
as per the Manpower Monthly Emolument (Which is commonly known as
CTC) given in the Annexure 07.

3.2 Responsibility of the empanelled agencies

1. Provide qualified, skilled and good conduct personnel.


2. Deploy manpower within four weeks of issuance of the work order or
as specified in the work order.
3. Provide the smart Identity Card as per Annexure-12 to all engaged
manpower
4. Timely Payment to engaged manpower. Only Online Payment (No Cash
payment) must be done.
5. Timely submission of invoice along with all mandatory supporting
documents such as Proof of payment of last month salary, Bank
Statement, proof of payment of EPF, ESI and any other Govt. liabilities (As
applicable). For the first month’s proof of EPF and ESI payments, a
declaration can be submitted by the agency with fact and relevant
documents. And from the next month proof of payments of EPF and ESI
and others must be submitted along with the invoice and Bank Statement
etc.
6. Maintaining department wise proper database of all employee along with
the updation of all details such as salary structure (including EPF/ESI
etc.), absentee report, payment status, identity card etc.
7. Mandatory regular and timely data entry/updation on software/portal
developed/enhanced by JAP-IT.
8. Establishment of a helpdesk support/call center in Ranchi for grievance
redressal with toll free/dedicated number. Minimum 2 Manpower will be
provisioned in Help desk support/call center during official timing. The
cost of the call center will be borne by the empanelled agencies. Call logs
for the same must be provided to JAP-IT by the selected agency as and
when required failing which contract may be terminated. Details of toll
free/dedicated number for support must be provided to JAP-IT and every
manpower.
9. For manpower selection, the empanelled agencies should provide details
of candidate in the ratio of 1:3 to the respective
Department/Organization/ Office.
10. Under selection process, candidate details should be provided with full
details of DOB, Marital Status, Education and Professional Qualification,
Experience, Address etc. along with resume and supporting documents.
11. Department/ Organization/ Office will finalize the selection process
(written/interview) and fix the date for the same. During the selection
process, authorized representative of concerned Empanelled agencies
should be present.

12. EPF and ESI should be deducted as per the applicable rules under
Employees Provident Funds and Miscellaneous Provisions Act 1952 &
Employees State Insurance Act 1948.
13. Liability of the empanelled agencies:
a. Should verify background, Educational Qualifications, Experience,
other required skill of candidate before submission of their resume to
any Department/Organization/Office.
b. Must ensure the verification of background, Educational
Qualifications, Experience, other required skill of existing candidate(s)
handed over to the empanelled agencies from previous agency be
completed within one (1) month of take over.
c. Should ensure to provide all necessary documents (joining letter,
EPF/ESI details/cards, Identity card etc.) and timely monthly
emolument payment (including EPF/ESI) to engaged manpower.
d. In case, the person employed by the empanelled agencies commits any
act of omission/commission that amounts to
misconduct/indiscipline/ incompetence, the empanelled agency will
be liable to take appropriate disciplinary action against such persons,
including their removal from the site of work / project and any other
necessary action as required by concerned Government Department/
Organization/ Offices and provisions of the legal framework of the
country.
e. The empanelled agencies are liable for damages on account of any
violation by the employees.
f. Empanelled agencies to indemnify for non-compliance with the
specifications given to create\update the software, for any intellectual
property infringement of any third party, for any employee-related
claims, for any personal injury or property damages, etc. It will be
deducted from the PBG at current market value of the loss after
calculating depreciation.
g. The professionals will be facilitated by Desktop/laptop etc. for doing
the project work by concerned Department/Organization/Office. For
this, Assets (like (Laptop/Mobile etc. will be handed over to the
selected Empanelled agencies. It will the responsibility of selected
Empanelled agencies to allot the concerned Assets to respective
manpower and getting it returned in working condition.

3.3 Responsibilities of the Department/ Organization/Offices


1. Departments/Organizations/Offices are not bounded by this Rate
Contract; they can hire manpower from any suitable agency on their own
contract.
2. If hiring on this rate contract, Departments/Organizations/Offices will be
sole responsible for hiring new manpower or existing manpower from any
of the empaneled agencies on their own choice and selection.
3. In case of hiring new manpower on this rate contract,
Departments/Organizations/Offices will be responsible to request for
suitable candidates from any/all empanelled agencies.
4. Departments/Organizations/Offices will be responsible for uploading of
manpower requirement letter, work order, absentee etc. on the online
portal developed for managing and monitoring of the project.

5. Issuance of work-order through the online portal to the empanelled
agency to take over existing manpower from previous outsourcing agency
or for new manpower.
6. Departments/Organizations/Offices should contact directly with the
empanelled agency for required manpower.
7. Finalize the selection process for required manpower (in case of new
requirement) along with Scrutiny of resume/documents and selection of
candidate via written test/interview.
8. Ensure that engaged manpower has received the joining letter, Identity
card, EPF/ESI details etc. by the selected empanelled agency.
9. Ensure to issue timely absentee report to the selected empanelled agency.
10. Ensure that engaged manpower has received the monthly emolument
(including EPF/ESI) and other government liability has been paid before
releasing payment to selected Empanelled agencies.
11. Pay to the selected Empanelled agency against the invoice after
verification of compliance done and required proof documents provided
by the selected Empanelled agency. JAP-IT doesn’t charge any cost.
12. To ensure timely payment to the deployed manpower, Department/
Organization/Offices will ensure timely monthly reimbursement to the
selected Empanelled agency to avoid the delay in payment.
13. It is the responsibility of Department/ Organization/Office and selected
Empanelled agencies to ensure timely payment to engaged manpower.
14. Department/Organization/Office has to select the appropriate manpower
and will place the order to the selected Empanelled agency through the
online portal.
15. Department/Organization/Office should nominate nodal officer for
entire process.
16. Department/Organization/Office will fix up a date for interview. During
interview authorized representative of selected Empanelled agency will be
present.
17. Department/Organization/Office has to resolve or take appropriate
action in case of non-compliance by the selected agency. JAP-IT has no
role against any dispute arise between Department/ Organization/Office
and selected agency.
18. Department/Organization/Office should process any invoice submitted
by the selected agency after verification of document/details as listed in
Annexure-11

3.4 Responsibilities of JAP-IT

JAP-IT is a facilitator and does not own any kind of responsibility except
penalizing the empanelled agencies for violation of the terms & conditions of
the agreement signed between JAP-IT and empanelled agencies on
recommendation of Department/Organization/Office.

SECTION 4: TERMS AND CONDITIONS OF CONTRACT

4.1 Terms of Engagement


The Empanelled agencies are required to agree with the terms and conditions
given below:
1. Manpower to be deployed will work for on-going/new projects. Such work will
be for a definite period and will not amount to any kind of employment
obligation on the part of Government Departments/ Organizations/Offices.
2. The manpower to be deployed should have educational qualification and
experiences as per Annexure 07.
3. Government Department/Organization/Office may ask the empanelled
agencies to submit the Emolument/EPF/ESI certificate/details of the
Manpower hired using this tender at any time to compare it with the actual
emolument being paid to the Manpower.
4. The emolument should be paid as per the timeline to the hired manpower by
the empanelled agencies after receiving absentee/attendance report.
5. Government Department/Organization/Office will not reimburse any amount
towards Provident fund, Employees Insurance or Bonus etc. These issues
must be settled between the empanelled agencies and the Manpower supplied
by them from time to time as per the government rules and regulations.
6. The Empanelled agencies would deploy one managerial staff for coordinating
administrative procedures for every 100 manpower deployed by the
empanelled agencies through various work orders issued under this contract.
The cost against these managerial staff will be borne by the empanelled
agencies itself.
7. In the event of the bidding company’s or the concerned division of the
company being taken over / brought over by another company, all the
obligations under the agreement with this contract, should be passed on for
compliance by the new company / new division in the negotiation for their
transfer.
8. The engaged manpower will be eligible for 5% annual increment on their
satisfactory performance to be judged by the competent authority of the
concerned Department/Organization/Office. However, no change in the
agency charge will be applicable against this increment. Decision of
concerned Department/ Organization/ Offices will be final in this regard.
9. The Empanelled agencies have to takeover existing manpower from previous
outsourcing agency throughout the Jharkahnd State. Approx. number of
existing manpower throughout the state is 1500.

4.2 Test of skills of manpower prior to engagement:


In order to ensure that the Manpower provided by the empanelled agencies
possess the required technical qualifications and skills, it shall be open to
take interview and/or written test by Department/Organization/Office. After
recommendation of concerned Department/Organization/Office, the
candidates forwarded by the service provider may be deployed to that
Department/Organization/Office. It will be the responsibility of concerned
Department/ Organization/ Office to conduct interview and/or written test
at their own level.

4.3 Panel of candidates –

Department/Organization/Office may ask for list of candidates in 1:3 ratio or
more (i.e. against one post list of three candidates will be provided) from
Empanelled agencies. Based on interview and/or written test,
Department/Organization/Office may prepare a panel list of candidates valid
for at least 06 months from such interview. Based on the panel list of
candidates and requirement Department/Organization/Office may issue the
work-order to the selected agency.

4.4 Working Hours/Leave of Engaged Manpower


Manpower will be entitled for Casual Leave only as per Govt. Rules. Deployed
manpower will be allowed to take leave with due approval from concerned
Department/Organization/Office.
However, they may have to work on weekly off day/holidays as per the
requirement for which Compensatory Leave can be sanctioned.
In case manpower avails leave more than the sanctioned leave, then payment
will be deducted accordingly.

4.5 Replacement/Cancellation of Engaged Manpower


The Empanelled agencies shall replace immediately any of its personnel who
are found unacceptable because of security risks, incompetence, conflict of
interest, improper conduct etc. upon receiving a notice from concerned
Department/Organization/Office.
In case Manpower is found unsuitable during its engagement period,
engagement of the manpower could be canceled with 15 days notice period
for knowledge transfer or replacement of the manpower should be made
available within a week.
In case manpower intends to avail long leave, then suitable replacement
should be done immediately. Replacement should be done at the cost of
agency.
In case manpower intends to resign, then he/she has to serve for two
months’ notice period with prior approval of the authority of the concerned
Department/Organization/Office. In this case, the empanelled agencies will
make sure that
i. the resigned manpower(s) should make appropriate knowledge transfer
to the officer/staff nominated by the concerned Department/
Organization/Office
ii. the replacement of the manpower(s) should also be done within this two
month notice period.

4.6 Performance Bank Guarantee (PBG) and Security Deposit


1. The selected agencies shall be required to submit PBG of Rupees 20 lakhs
(Rupees Twenty Lakhs Only) to JAP-IT within 15 days of receipt of LoI in
this regard. PBG will be in the form of Bank Guarantee (BG) of any
Nationalized / Scheduled bank drawn in the name of CEO, JAP-IT,
Ranchi, valid beyond six months (06) of the contract period i.e. valid for
30 months. In case of default by the empanelled agencies on non-
acceptance/compliance of the work orders as per terms & conditions of
contract, this PBG will be forfeited and contract will be cancelled. The
PBG will be released after the completion or execution of all pending Work
Orders.

2. In case of extension of contract, the validity of PBG should be extended
accordingly or a fresh PBG should be submitted.
3. Penalty imposed under this contract be recovered from the submitted
PBG.

4.7 Security Deposit against work-order –

1. The selected Empanelled agencies has to submit the security deposit @Rs.
5,000/- per deployed manpower against work-order to concerned
Department/Organization/Office within 15 (fifteen) days of acceptance of
Work Order. Security Deposit will be of any Nationalized / Scheduled
bank drawn in the name of work-order issuing authority for the period
beyond six month of Work-order period.
2. The Security Deposit could be kept in an account.
3. In case of renewal/extension of manpower security deposit should be
extended accordingly.
4. This PBG shall be returned to the selected empanelled agencies without
any interest after compliance of all obligations and deduction penalty (if
applicable) with regard to issued work-order.
5. Penalty imposed under the issued work-order will be recovered from the
submitted security deposit and could be forfeited in case of non-
compliance of tender terms and conditions

4.8 Confidentiality
1. The empanelled agencies and their deployed manpower will not, either during
the term or after expiration of this contract, use, sell, disclose any proprietary
or confidential information relating to the software, services, contract or
business or operations of the Department/Organization/Office or its clients
without the prior written consent of the Department/ Organization/Office.

4.9 PLACING OF WORK ORDER AND TIMELINE PENALTY


1. Department/Organization/Office should place the work orders to the
empanelled agencies for its own requirement or for its projects

2. The Work Order may encompass the complete scope of work or may require
few services. Depending on the requirement, the work order may be placed
to the empanelled agencies.
3. Departments/Organizations/Offices will be responsible for uploading of
manpower requirement letter, work order, absentee etc. on the online portal
developed for managing and monitoring of the project.
4. Objection, if any, to the Work Order must be reported to concerned
Department/ Organization/Office, by the selected Empanelled agencies
within three (3) working days, counted from the Date of receipt of Work Order
by selected Empanelled agency, otherwise it is assumed that the selected
Empanelled agency has accepted the Work Order in totality.

Note :-
1. The first submitted invoice against any work-order will be processed by
concerned Department/ Organization/ Offices only after submission of
security deposit against the work-order and declaration of providing all
details/documents like joining letter, EPF/ESI details/card, ID card
etc. to candidates
2. The payment against invoice will be normally within 15 working days if
everything is in order. However, in case payment against invoice is
delayed for three months, the selected Empanelled agencies may
request the concerned Departments/Organizations/Offices for
cancellation of work-order.
3. However, in case of any justifiable delay, the selected Empanelled
agencies may submit their request to the concerned
Departments/Organizations/Offices. Whereas decision of concerned
Departments/Organizations/Offices will be final.

4.11 PENALTY CALCULATION PROCESS

a) Penalty against work-order


Any delay in deployment/replacement of Manpower or any unjustified and
unacceptable delay in the payment/deliverables beyond the stipulated time
will invite penalty at the rate of 1% of the man month cost of delayed period.
The maximum delay is limited to 10 days.

If the delay period is more than 10 days for continuous three months,
Department/ Organization/Office will have the option to cancel the order
without any compensation to the selected Empanelled agencies which
delayed the completion of the work and get the work done from other
Empanelled agencies or any other source at the risk and cost of such
defaulting agency.

The defaulting Agency shall also ensure Knowledge transfer to new agency.
Knowledge transfer period will be decided by concerned
Departments/Organizations/Offices, maximum up-to 45 days.

b) Penalty against Rate Contract

1. In case of non-establishment of local office in Ranchi within a month


of issuance of LoI penalty @1% of PBG would be levied for maximum of
three months. Afterwards, the entire PBG could be forfeited with
cancellation of empanelment.
2. On receipt of any work-order from any Department/ Organization/
Offices, the empanelled agencies must ensure establishment of call-
center in Ranchi within a month. In case of non-establishment of call
center within a month penalty @1% of PBG would be levied for
maximum of three months. Afterwards, the entire PBG could be
forfeited with cancellation of empanelment.
3. In case of receipt of minimum of 05 verified complaints from Head of
Department/Organization/Office in a month, penalty @2% of PBG
amount could be levied. In case of receipt of more than 05 complaints
for continuous three months the empanelment of the respected agency
could be cancelled with forfeiture of entire PBG.
4. In case of penalized for more than 10% of PBG amount, the
empanelment of the respected agency could be cancelled with forfeiture
of entire PBG.

4.12 PAYMENT PROCESS

1. Invoice in the name of concerned Department/ Organization/Office, along


with following documents –
i) Absentee report dully singed by reporting Officer
ii) Work order copy
iii) Proof of payment of Last month monthly emolument payment - proof
(bank statement etc.) with proof of EPF and ESI (if applicable) payment
will have to be submitted for each of the hired Manpower as mentioned
in the work order issued to the selected Empanelled agencies.
2. Invoice will contain the items ordered under one Work order only. Invoice
shall not be combined for more than one work order.
3. Payments shall be subject to deductions of any amount for which the selected
Empanelled agencies is liable under the Selection or tender conditions.
Further, all payments shall be made subject to deduction of TDS (Tax
deduction at Source) as per the current Income-Tax Act and GST Act
4. TDS will be deducted U/s 194C of Income Tax Act & GST TDS U/s 51 of
CGST Act.

5. Invoice must be submitted as per the timeline.
6. Payment to candidate has to be made by first week of next month.
7. All payments will be made through cheque/online. For online payment bank
details is to be provided by the selected Empanelled agencies.
8. In case the submission of invoice to concerned department, along with the
necessary documents is delayed by the selected Empanelled agencies beyond
30 days from the date of issue of absentee report etc., the entire liability
towards payment of interest/penalty to the tax authorities would be on the
cost of respective selected empanelled agencies so that Department/
Organization/Office is not burdened unnecessarily with this amount. The
entire amount will be deducted from the payment due to respective selected
empanelled agency.

4.13 Limitation of Liability


Empanelled agencies or on part of any person or company acting on behalf
of the empanelled agencies in carrying out the services, the empanelled
agencies, with respect to damage caused by the empanelled agencies or
manpower to Department/ Organization/Office, shall be liable to concerned
Departments/Organizations/Offices.

i. notwithstanding any other provision of the Contract, in no event shall either


Party shall be liable to the other part for indirect, incidental, special, punitive
or consequential damages of any nature (collectively consequential damages),
including, but not limited to, loss of use, loss of revenue, or loss of income,
whether arising in contract, tort (including negligence) or other legal theory,
even if the possibility of such damages is known at the time of the execution
of the Contract.

ii. For any direct loss or damage only to the extent of

A. the total payments payable under this contract to the empanelled


agencies, or
B. the proceeds the empanelled agencies may be entitled to receive from any
insurance maintained by the empanelled agencies to cover such a
liability,
Whichever of (A) or (B) is higher.

This limitation of liability shall not affect the empanelled agencies liability, if
any, for damage to Third Parties caused by the empanelled agencies or any
person or firm / company acting on behalf of the empanelled agencies in
carrying out the work.

Any law applicable in India and Jharkhand in respect of liability will be


applicable.

4.14 Indemnity
The Empanelled agencies & their staff(s) shall indemnify the Department/
Organization/Office against all third party claims of infringement of patent,
trademark/copyright or industrial design rights arising from the use of the

supplied software/ hardware/manpower etc. and related services or any part
thereof.
i) Department/Organization/Office stands indemnified from any claims
that the hired Manpower / selected bidder’s Manpower may opt to have
towards the discharge of their duties in the fulfillment of the work orders.
ii) Department/Organization/Office also stand indemnified from any
compensation arising out of accidental loss of life or injury sustained by
the hired Manpower / selected bidder’s Manpower while discharging
their duty towards fulfillment of the work orders.

4.15 Labour Laws


i) The Empanelled agencies shall, and hereby agrees to, comply with all
the provisions of Indian Labour Laws in respect of the Manpower
employed thereof.
ii) The Empanelled agencies shall be solely responsible for the payment of
wages to the deployed Manpower and ensure its timely payment thereof.
iii) The Empanelled agencies shall duly maintain a register giving
particulars of the deployed Manpower, nature of work, rate of wages, etc.
iv) The Empanelled agencies shall also ensure compliance to the following
labour legislations:
a. Minimum Wages Act *
b. Employees Provident Fund Act *
c. Employees State Insurance Act *
d. Workmen’s Compensation Act, if the ESI Act does not apply *
*Applicable as in Jharkhand State

v) The Empanelled agencies and their staffs shall be solely responsible to


adhere to all the rules and regulations relating to labour practices and
service conditions of its workmen and at no time shall it be the
responsibility of Departments/Organizations/Offices.
vi) The Empanelled agencies and their staff shall indemnify
Departments/Organizations/Offices against any liability incurred by
Department/Organization/Office on account of any default by the
empanelled agencies or Manpower deployed by it.
vii) Neither the empanelled agencies nor his workmen can be treated as
employees of Department/Organization/Office for any purposes. They
are not entitled for any claim, right, preference, etc. over any job/regular
employment of Department/ Organization/Office. The Empanelled
agencies or its workmen shall not at any point of time have any claim
whatsoever against Department/ Organization/Office.

4.16 Termination for Insolvency


Department/ Organization/Office may at any time cancel the work order and
JAP-IT may terminate the contract by giving four weeks written notice to the
empanelled agencies, without any compensation to the empanelled agencies,
if the empanelled agencies becomes bankrupt or otherwise insolvent.

4.17 Force Majeure
If at any time, during the continuance of the selection, the performance in
whole or in part by either party of any obligation under the selection is
prevented or delayed by reasons of any war, hostility, acts of public enemy,
civil commotion, sabotage, fires, floods, explosions, epidemics quarantine
restrictions, strikes, lockouts or acts of God (hereinafter referred to as
"events"), provided notice of happenings of any such event is duly endorsed
by the appropriate authorities/chamber of commerce in the country of the
party giving notice, is given by party seeking concession to the other as soon
as practicable, but within 21 days from the date of occurrence and
termination thereof and satisfies the party adequately of the measures taken
by it, neither party shall, by reason of such event, be entitled to terminate the
selection/contract, nor shall either party have any claim for damages against
the other in respect of such nonperformance or delay in performance, and
deliveries under the selection/contract shall be resumed as soon as
practicable after such event has come to an end or ceased to exist and the
decision of the purchaser as to whether the deliveries have so resumed or not,
shall be final and conclusive, provided further, that if the performance in
whole or in part or any obligation under the selection is prevented or delayed
by reason of any such event for a period exceeding 60 days, the purchaser
may at his option, terminate the selection.
4.18 Termination for Default
Default is said to have occurred
a) If the empanelled agencies fails to accept/execute the Work Orders
b) If the empanelled agencies fails to deliver any or all of the services within
the time period(s) specified in the work order or during any extension
thereof granted by Department/ Organization/Office.
c) If the empanelled agencies fail to perform any other obligation(s) under
the contract
Penalty or termination on default -

1. In case agency is penalized more than 10 times on (a) & (c), its selection
with JAP-IT could be cancelled and the PBG submitted by the empanelled
agencies may be forfeited.
2. If the empanelled agencies defaults on (b) of above circumstances, penalty
as mentioned in the RFP will be levied.
3. If performance of Empanelled agencies is not as per the satisfaction, this
contract can be terminated by JAP-IT

4.19 Resolution of Disputes


1. JAP-IT and the empanelled agencies shall make every effort to resolve
amicably by direct informal negotiations any disagreement or disputes
arising between them under or in connection with the Contract.
2. If, after thirty days from the commencement of such direct informal
negotiations, the JAP-IT and the empanelled agencies have been unable to
resolve amicably a Contract dispute, either party may require that the
dispute be referred for resolution by arbitration.

3. A person of any nationality may be an Arbitrator, unless otherwise agreed
by the Parties. Subject to Subsection 6 of Section 11 of the Arbitration &
Conciliation Act of 1996, the Parties are free to agree on a procedure for
appointment of arbitrator or arbitrators. Failing an agreement for
appointment of arbitrator by the Parties, the dispute shall be referred to a
tribunal of three arbitrators, each Party appointing one arbitrator and the
appointed two arbitrators shall appoint the third arbitrator who shall act as
the presiding arbitrator.
4. The Arbitration and Conciliation Act 1996, the rules there under and any
statutory modification or reenactments thereof, shall apply to the arbitration
proceedings.
5. The venue of arbitration shall be Ranchi, Jharkhand.
6. In the event the Contract is not terminated otherwise, either Party may
terminate this contract by giving a written notice of termination of minimum
30 days to the other, if such other fails to comply with any decision
reached consequent upon arbitration proceedings.
7. Continuance of the Contract: Notwithstanding the fact that settlement of
dispute(s) (if any) under arbitration may be pending, the parties hereto
unless the Scope of Work is the subject matter of the arbitration or/and not
debarred by any authority to continue the Contract, shall continue to be
governed by and perform the work in accordance with the provisions under
the Scope of Work to ensure continuity of operations.
4.20 Exit Management

1. The Empanelled agencies will allow JAP-IT or its nominated agencies access
to the information reasonably required to define the current mode of
operation associated with the provision of the services to enable JAP-IT or
its nominated agencies to assess the existing services being delivered.
2. JAP-IT or its nominated agencies shall be entitled to copy all such
information comprising of details pertaining to the services rendered and
other performance data. The Empanelled agencies shall permit JAP-IT or its
nominated agencies and/ or any replacement operator to have reasonable
access to its employees and facilities as reasonably required by JAP-IT to
understand the methods of delivery of the services employed by the
empanelled agencies and to assist appropriate knowledge transfer.
3. As it is a running project, therefore, the existing manpower working in
different Department/Organizations/Offices will continue to work and will
automatically be taken over by the empanelled agencies through this tender.
4. The Empanelled agencies will be exclusively liable for payment of
Emolument, EPF and ESI liabilities of all the man powers from the date of
takeover of candidate from the previous agency
5. Ongoing contract of the Manpower with respective agency will be in force till
the expiry of the tenure. New rules, regulation and remuneration will be
applicable only from the date of expiry of the ongoing contract of the
individual Manpower.

4.21 Legal Jurisdiction


All legal disputes are subject to the jurisdiction of Ranchi courts only.

SECTION 5: GENERAL TERMS & CONDITIONS OF BID

5.1 Due Diligence


The Bidders are expected to and shall be deemed to have examined all
instructions, forms, terms and specifications and other information in this
Tender Document. The bid should be precise, complete and in the prescribed
format as per the requirement of the Tender Document. Failure to furnish
all information required by the Tender Document or submission of a bid not
responsive to the Tender Document in every respect will be at the Bidder’s
risk and may result in rejection of the bid. JAP-IT shall at its sole discretion
be entitled to determine the adequacy/ sufficiency of the information
provided by the Bidder.

5.2 Cost of Bidding


The Bidders will bear all costs associated with the preparation and
submission of its bid and JAP-IT will in no event or circumstance be held
responsible or liable for these costs, regardless of the conduct or outcome of
the bidding process.

5.3 Eligibility Criteria


1. Eligibility Criteria is given in the Annexure 04 and it must be filled up.
2. Relevant portions, in the documents submitted in pursuance of eligibility
criterion mentioned above, shall be highlighted.
3. Documentary evidence for compliance to each of the eligibility criteria must
be enclosed along with the bid together with the references as required in the
Annexure 04.
4. If the bids are not accompanied by all the requisite supporting documents,
the same would be rejected.
5. Undertaking for subsequent submission of any of the required document will
not be entertained under any circumstances. JAP-IT reserves the right to seek
clarifications on the already /submitted documents, however, no fresh
documents shall be accepted.

5.4 Tender Cost


1. Bidder are required to submit the tender cost of Rs. 10,000.00 (Rupees Ten
Thousand Only) in the form of a Demand Draft drawn from a Scheduled
Bank and in favour of the Chief Executive Officer, Jharkhand Agency for
Promotion of IT (JAP-IT) payable at Ranchi.
2. As per clause – 11.0 of the Resolution dated:- 16th October, 2014 of
Department of Industries, Govt. of Jharkhand, MSME registered in
Jharkhand State will be exempted from Tender Fee and EMD.
3. The tender cost is non-refundable.
4. The scanned copy of D.D. towards tender cost must be uploaded
electronically on http://jharkhandtenders.gov.in and submitted in original

as advised in Annexure 02.

5.5 Earnest Money Deposit


1. A Bidder is required to submit Earnest Money Deposit of Rs. 5,00,000/-
(Rupees Five Lakhs only) through a Bank Guarantee/DEMAND DRAFT of
any Nationalized/Scheduled Bank, drawn in favour of CEO, JAP-IT, Ranchi
at the office of JAP-IT as per Bank Format with validity of 180 days from the
last date of bid submission. In case of submission through DD, the validity
of the DEMAND DRAFT must be extended or New DEMAND DRAFT must be
submitted, minimum one week before the expiry of previous DEMAND
DRAFT, to ensure the continuous validity of 180 days. Otherwise the
DEMAND DRAFT may be forfeited and bid will be rejected by JAP-IT with
disqualification of the bidder, if required.
2. The EMD envelope should also contain a completely filled copy of the Bidder's
Detail as per Annexure 03.
3. A scanned copy of the Bank Guarantee for the EMD must also be uploaded
electronically on http://jharkhandtenders.gov.in and submitted in original
as advised in Annexure 02
4. The Earnest Money Deposit (EMD), without any interest accrued will be
refunded as follows:
a. In the case of those Bidders who fail to qualify the eligibility criteria,
and whose technical bids do not qualify, the Earnest Money Deposit
(EMD) will be refunded without any interest accrued within one month
of the acceptance of Tender Committee recommendations.
b. In the case of those Bidders who are not selected, the Earnest Money
Deposit (EMD) will be refunded without any interest accrued within one
month of the acceptance of Tender Committee recommendations.
c. EMD of successful bidder will be returned after signing off the
agreement with JAP-IT and submit PBG as specified above.
5. EMD of successful bidders could be forfeited in case of non-signing of
agreement and non-submission of PBG within the stipulated time.
6. In the case of non-submission of Tender Fee or EMD, bidders shall be
declared disqualified straightway except exempted bidders.

5.6 Pre-Bid Meeting

1. A Pre-Bid Meeting shall be scheduled by the JAP-IT as per the time


and venue given in the data sheet. In case of any change in date, time
and venue of the meeting, the same will be intimated through
corrigendum uploaded on the website.
2. JAP-IT shall hold a pre-bid meeting with the prospective bidders on
Date & time and Address mentioned in data Sheet of this document.

3. Keeping in view of social distancing (during Covid-19 effect) pre-bid
meeting may be called through Video Conferencing method, if
required.
4. Maximum of two (2) (one is preferred) authorized representative of
interested agency may attend pre-bid conference at their own cost.
5. The bidders will have to ensure that their queries for Pre-Bid meeting
should reach to JAP-IT by email (editable Excel File only) on or before
last date for sending pre-bid queries mentioned in Data Sheet of this
document through the e-mail of only authorized representative of the
bidder.
6. Request for clarifications shall be sent by them through email as per
the format given below (editable excel form):

5.7 Amendment of Tender Document


1. At any time prior to the last date for receipt of bids, JAP-IT, may for any
reason, whether at its own initiative or in response to a clarification
requested by a prospective agency, modify the Tender Document by an
amendment.
2. Such will be notified online as corrigendum on the website
www.jharkhandtenders.gov.in and shall be binding on all bidders to
consider the amendment for quoting.

3. Bidders are advised to regularly check up the portal for updation of any
such amendments and be sure before online submission of bids.
4. No bid may be modified subsequent to the last date for receipt of bids. No
bid may be withdrawn in the interval between the last date for receipt of
bids and the expiry of the bid validity period specified by the bidder in the
bid. Withdrawal of a bid during this interval may result in forfeiture of
Bidder's EMD.

5.8 BID SUBMISSION


1. Bids are to be submitted as per the Annexure 02.
2. Bidders have to submit their bids online in electronic format with digital
signature. Bids without digital signature will not be accepted. Hence,
bidder must ensure that all online uploaded documents are clearly
readable, otherwise the bid may not be evaluated.
3. The bidders are also required to submit the original Tender Cost and EMD
along with hard copy of (seal and signed) technical bid document latest
by the last date and time of submission of online bids. However, bid will
be evaluated on the basis of online uploaded documents i.e. in case of
any discrepancies in the submitted documents (hard copy), JAP-IT will
accept the online bid documents as authentic and final. In case of eligible
MSME, Certificate of MSME Registration must be submitted.
4. Tender bid must contain the name, office and addresses including
telephone number(s) of the person(s) who are authorized to submit the
bid with their signatures.
5. All pages of the bid being uploaded must be signed and sequentially
numbered by the bidder irrespective of the nature of content of the
documents.
6. Bids NOT submitted as per the specified format and nomenclature will be
out rightly rejected.
7. Ambiguous bids will be out rightly rejected.
8. JAP-IT will NOT be responsible for any delay on the part of the bidder in
obtaining the terms and conditions of the tender notice or submission of
the tender bids.
9. The bids submitted by fax/ E-mail etc. shall NOT be considered. No
correspondence will be entertained on this matter.
10. Any alteration / overwriting / cutting in the bid should be duly
countersigned else it will be out rightly rejected. Conditional tenders shall
NOT be accepted on any ground and shall be rejected straightway.
11. If any clarification is required, the same should be obtained before or
during pre-bid meeting only.
12. Tender process will be over after the issue of Selection letter(s) to the
selected vendor(s).

13. JAP-IT may at its own discretion extend the date for submission of bids.
In such a case all rights and obligations of JAP-IT and the Agency will be
applicable to the extended time frame.
14. Bids not quoted as per the format given by JAP-IT will be rejected
straightway.
15. No deviation from the tender specifications & terms and conditions will
be accepted.
16. For additional instructions, refer to the Sections “Technical Bid
Evaluation” and “Financial Bid Evaluation”.
17. Bid will be evaluated on the basis of online uploaded documents hence
must bidders must ensure that all online uploaded documents are clearly
readable otherwise bid may not be evaluated and rejected.
18. Language of bid documents must be in Hindi/English. If any document
of bid is in other language, then bidder must submit the translated
version in Hindi/English and duly notarized of the document along with
the original document. Same must be submitted along with online bid
also.
19. All the bid documents (both online uploaded and hard copy) submitted
must be properly indexed.

5.9 BID OPENING

1. The sealed covers having title/subject as (TENDER FEE & EMD)


containing EMD, tender cost and covering letter with details of DEMAND
DRAFT and BG against Tender cost and EMD respectively only will be
opened in the first instance in the presence of the Tender committee, even
in the absence of representatives of the bidders on the specified date &
time.
2. In the event of specified date is declared holiday, the bid shall be opened
on the next working day as per the declared time.
3. Eligibility Criteria and Technical bids of only those bidders, whose Tender
cost and EMD or eligible MSME certificate are found to be in order, will
be opened afterwards in the same bid opening session, in the presence of
the vendor’s representatives.
4. Financial bids of only those bidders, whose bids found technically
qualified, by the Technical Evaluation Committee, will be opened.
5. Financial and technical bids may be opened on same day.

5.10 BID EVALUATION
The evaluation will be made on the basis of quality cum cost based selection
(QCBS), with a weightage to quality of services and cost in the ratio of 60:40
respectively as mentioned in the sections below.
No enquiry shall be made by the bidder(s) during the course of evaluation of
the tender, after opening of bid, till final decision is conveyed to the successful
bidder(s). However, the Committee/its authorized representative and JAP-IT
can make any enquiry/seek clarification from the bidders, which the bidders
must furnish within the stipulated time else the bids of such defaulting
bidders will be rejected.

5.10.1 Technical Evaluation

1. The Bidders are requested to furnish documents to establish their eligibility


(indicating the page number in the bid) for each of the items given in
Annexure 04. Relevant portions in the documents should be highlighted. If a
bid is not accompanied with all necessary documents, it may be summarily
rejected.

2. Undertaking for subsequent submission of any of the eligibility documents


will not be entertained. However, JAP-IT reserves the right to seek fresh set
of documents or seek clarifications on the already submitted documents.
3. All documents should be submitted electronically in PDF format as
mentioned in Annexure 02. Upon verification, evaluation/assessment, if in
case any information furnished by the Bidder is found to be false / incorrect,
their bid will be summarily rejected and no correspondence on the same shall
be entertained. Submission of false/forged documents will lead to
disqualification of bidder.
4. A Bid that does not fulfill all the stipulated eligibility conditions/criteria will
not be considered. The Bids conforming to the eligibility criterion only will be
considered for further evaluation. If there is any lack of clarity in the
submitted eligibility documents, Tender Committee may ask concerned
bidder representative to be present physically to prove their eligibility.
5. The Tender Committee may inspect the premises to verify the manpower and
infrastructure given in the bid.

6. The Tender Committee will review the technical bids of the short-listed
Bidders to determine whether the technical bids are substantially responsive.
Bids that are not substantially responsive are liable to be disqualified.

7. Tender Committee will assign points (quality of services score) to the


technically qualified Bidders based on the technical evaluation criterion as
mentioned in the RFP document Annexure-14. The commercial bids for the
technically qualified Bidders will then be opened and reviewed to determine
whether the commercial bids are substantially responsive.

5.10.2 Financial Bid Evaluation AND Empanelment

1. The Financial Bid contains documents as mentioned in Annexure-2.


2. The financial bid of only the technically qualified bidders will be opened in
the presence of their representatives on a specified date and time to be
intimated to the respective Bidders by JAP-IT, and the same will be
evaluated by a duly constituted Committee.
3. The total amount payable to the selected bidders against a deployed

4. Tax % has to be considered above as per current tax slab. At the time of
actual payment, payable value will be calculated based on
applicable/prevailing taxes at that time. Non-claimed taxes in the price
bid will be borne by the bidder.
5. The bidders have to quote Agency charge only, which must not be less
than Rs. 300/- per person per month.
As per the terms of this tender bidder has to maintain one managerial staff
for coordinating administrative procedures for every 100 manpower and
Helpdesk/Call Center staff, hence to ensure good quality of service, this
minimum amount is fixed. It is calculated on basis of lowest salary, which
is 19,400/- of D.E.O. and approx.
6. The commercial scores will be calculated as:
Fn = Fmin / Fb * 100
Where:
Fn = Normalized financial score of the bidder under consideration
Fb = Evaluated cost for the bidder under consideration
Fmin = Minimum evaluated cost for any bidder
7. The bidder(s) who has obtained highest score (H1) through QCBS method
in the ratio of (60:40) Technical (60%) and Commercial (40%) will be
declared as L1. Subsequently H2 as L2 and so on.
8. LoI will be issued to the L1 bidder(s) on recommendation of Tender
Committee.

5.10.3 Final Bid Evaluation AND Empanelment

The overall score will be calculated as follows:

Bn = 0.60 * Tn + 0.40* Fn

Where:

Bn = overall score of bidder under consideration

Tn = Technical score for the bidder under consideration

Fn = Normalized financial score of the bidder under consideration

5.11 EMPANELMENT OF BIDDERS

1. All the bidders who is interested to be empaneled must have to match


lowest financial rate (Fmin among all qualified bidders) obtained from
the bids.
2. Preferences will be given to highest scorer (obtained through QCBS)
bidders first.
3. Maximum five bidders will be empanelled.
4. Any office of GoJ can hire manpower from any empanelled agency.
5. In case of cancellation/termination of any empanelled bidder the
manpower deployed by the bidder will be handed over to any other
empanelled bidder by the work order issuing
department/organization/office.
6. Tender Committee shall recommend for issuance of LoI to the
qualified bidder who has agreed for empanelment.

5.12 INSTRUCTION TO BIDDERS

1. Validity of the contract is given in the Annexure-1: Validity of bids, rates


etc.
2. In the event the bidder’s Company or the concerned division of the Company
is taken over / bought over by another company, all the liabilities, obligations
and execution responsibilities under the agreement with JAP-IT, should be
passed on for compliance by the new company.
3. The Empanelled agencies has to agree for honoring all tender conditions and
adherence to all aspects of fair trade practices in executing the purchase
orders placed by JAP-IT.
4. During the contract period if the agency’s name got changed due to
acquisition, amalgamation etc., and agency must inform JAP-IT with all
required documents within one month of its name change. Failing which the
contract will be cancelled and PBG may be forfeited.
5. In the case of Bidders whose tender bids are accepted for selection, shall be
required to give Performance Bank Guarantee (PBG) as mentioned in the RFP

and signoff the agreement along with acceptance of LoI, within 15 working
days. In case of delay in signing off the agreement or submission of PBG,
appropriate action will be taken.
6. The Empanelled agencies should not assign or sublet the contract or any part
of it to any other agency in any form. Failure to do so shall result in
termination of contract and forfeiture of PBG/EMD.
7. JAP-IT may, at any time, terminate the contract by giving written notice to
the selected vendor without any compensation, if the empanelled agencies
becomes bankrupt or otherwise insolvent, provided that such termination will
not prejudice or affect any right of action or remedy which has accrued or will
accrue thereafter to JAP-IT.
8. The Empanelled agencies will not demand any type of deposit or any type of
charges (in any form) from the selected candidate. If found at any point of
time appropriate action will be taken against Empanelled agencies. If
empanelled agency found to be involved in any illegal practice/activity, it
shall result in termination of contract and forfeiture of PBG/EMD
9. Any default or breach in discharging obligations under this tender by the
empanelled agencies while rendering services / supplies to JAP-IT, shall
invite all or any actions / sanctions, as the case may be, including forfeiture
of PBG stipulated in this tender document. The decision of JAP-IT arrived at
as above will be final and no representation of any kind will be entertained
on the above. Any attempt by bidder to bring pressure of any kind, may
disqualify the bidder from the present tender and the bidder may also be
liable to be debarred from bidding for JAP-IT tenders in future for a period of
at least three years.
10. JAP-IT reserves the right to modify and amend any of the stipulated
condition/criterion given in this tender, depending upon project priorities
vis-à-vis urgent commitments. JAP-IT also reserves the right to
accept/reject a bid, to cancel/abort tender process and/or reject all bids at
any time prior to award of contract, without thereby incurring any liability
to the affected agency on the grounds of such action taken by the JAP-IT.
11. The decision of JAP-IT arrived during the various stages of the evaluation of
the bids is final & binding on all vendors. Any representation towards these
shall not be entertained by JAP-IT. Reasons for rejecting a bid will be
disclosed only when an enquiry is made by the concerned bidder.
12. In case the empanelled agencies is found in-breach of any condition(s) of
tender or work order, at any stage during the currency of contract, the legal
action as per rules/laws will be taken.
13. Any attempt by bidder to bring pressure towards JAP-IT’s decision making
process, such bidders shall be disqualified for participation in the present
tender and those bidders may be liable to be debarred from bidding for JAP-
IT tenders in future for a period of three years.
14. Printed/written conditions mentioned in the tender bids submitted by
bidders will not be binding on JAP-IT.
15. Upon verification, evaluation/assessment, if in case any information
furnished by the bidder is found to be false/incorrect, their total bid shall
be summarily rejected and no correspondence on the same, shall be
entertained.
16. JAP-IT will not be responsible for any misinterpretation or wrong
assumption by the bidder, while responding to this tender.
