BETWEI [name of company], having its registered office at /Address of company/ which is the representative of [Manufacture] Hereinafter called the FIRST PARTY, w expression shall, unless excluded by or offensive to the context, mean and include its in-interest, executors, administrators, representative and assignees) of ONE AND [Hospital name] having its services at address], representative by [name and designation of authority}, Hereinafter called the SECOND PARTY, which expression shall, unless excluded by repugnant to the context, mean and include its suecessor-in-interest, executors, administrators, representative, and assignees of OTHER PART, WHEREAS, second party had installed (hereinafter referred to as MEDICAL EQUIPMENT) as supplied by first party at their hospital premises which requires regular maintenance and servicing facilities as per Anmexure-A, Now THIS DEED OF CONTRACT WITHESSTH as Follows: 1. Seope of work: a) The required routine and preventive maintenance facilities of the referred medical equipment shall be rendered by First party at the hospital premises of Second party as per Annexure-A. Dae 066.2019 b) That during the subsistence of this contract the Second party shall neither enter into sny other contract nor ask any other party to carry out any maintenance and service, repairs etc. of aforesaid medical equipment. ©) The second party has approached to the first party to provide all standard spare parts and accessories and related ancillary works that have been included in the Purchase agreement such as Air condition, UPS, AVS and so forth. CMC shall cover comprehensive maintenance which includes all sorts of preventive, corrective and breakdown maintenance with any kind of spare parts and labor to ensure safe functional condition. 4) Maintenance and service facilities of their aforesaid medical equipment on a regular basis. e) The first party has also agreed to render services 365 days per year as and when required by the second party with all spares and accessories. f) The first party also ensures 95% uptime (347 days in a_year of 365 days) service of all aforesaid medical equipment against this contract. However, time required for routine and preventive maintenance services must be insured. 2) Uptime & downtime caleulation will be based on regular coverage of working time. Loss of revenue to the hospital in lieu of the machine being down will be ‘compensated by extending the contract period by 02 (two) days for one day down time for which the system was completely down beyond 95%,(Completely down system means no patient scan was possible and hence). hh) Downtime will be certified by the concern engineer of the I party and Instrument care engineer and hospital authority of 2” party. (Down time means, equipment remains fully inoperative condition and unable to use for the patient) 2. General Terms & Conditions: (a) Under the contract, the first party shall carry out the preventive maintenance, periodic maintenance, corrective maintenance and repairing, performance evaluation test, calibration and safety test etc., of the equipment and shall be fully responsible for those services throughout the contract period. This contract shall constitute the entire contract binding upon both parties.(b) The second party shall allow the engineer(s) of first party to undertake their job at the site of the equipment on any mutually agreed date and time along with Instrument care taker/medical equipment concern. (©) The first party shall provide/appoint experienced! skilled Engineer/Technologist with standard repairing and testing tools that have been recommended by manufactures to undertake the maintenance and servicing, repairs ete (@) The first party shall not be held responsible for any physical damages due to mishandling ofthe machine or damage caused by water, fire and natural disaster (c) 1® party will depute their customer support engineer for breakdown call within reasonable time on receipt of call from Client. (9) I party service shall be provided during regular working hours from Saturday to ‘Thursday, excluding holidays. (g) CLIENT will give to 1% party customer support engineer full access to the equipment(s) to enable him provide maintenance service. CLIENT will provide to 1* party customer support engineer/technologist all necessary operating and service manual for the equipment(s) covered by this contract. Also assistance by CLIENT's staff working on the system familiar with the program will be extended to SUPPLIER engineer as and when required. (h) In case repairs are not possible at site, the equipment /subassemblies/field replacement units may be brought to 1* party’s workshop for repairs subject to permission of the elient (j) Parts will be supplied under exchange program; the defective part(s) will be retained by SUPPLIER for re-exporting, 3. Payment: Payment will be made as per following statement: Yearly bill shall be paid at the rate of [BDT 0000.00 (in words)] only including VAT, taxes and other legal charges of Government. 4, Duration of the contract: This contract shall be vatid for ( ) years and shall be deemed to have commenced from (dd/mm/year). Miscellaneous: With the signing of this agreement all previous Agreement(s) both oral as well as in writing shall stand cancelled.
