Employment Contract

Party A: Maxwell, represented by Trisha Su;

Party B: Pat William's Agent KC Hue

After the negotiation exercise, the parties have agreed on the following terms:

1. Party A shall pay USD 18,000.00 for the 2.5 days lecture to Party B in total;

2. Payment schedule: USD 9,000.00 1 weeks before the commencement of lecture and the balance
USD 9,000 on the 1st day of lecture. Payment can be made by way of direct transfer into a specific
account or by cheque;

3. Maxwell agreed on the following promotion activities: Maxwell's website t mentioned or have a
specific column to promote Pat Williams credentials; publication of articles to promote the lecture
series and Pat Williams; printing of Pat William credentials brochure to be given to the participants
together with their course materials;

4. Parties agrees that Maxwell can record the entire lecture series and the IP rights belongs to Pat
William and a copy of the recording will be given to Pat Williams, meanwhile, for usage of the
recording or its contents for any promotion purpose, Maxwell will have to obtain consents from Pat
Williams;

5. Maxwell will cover USD 1,000 as traveling cost (if necessary);

6. Maxwell will provide hotel accommodation for Pat Williams;

7. Agreement will also include undertaking and obligation on Pat Williams to complete the program,
unless unable to complete due to sickness, accident or default due to force majeure;

8. In the event of Party B’s breach of agreement, compensation shall not exceed USD 18,000.00
excluding cost and expenses incurred;

9. Standard operating clauses and provisions for engagement agreement are applicable;

10. In the event of dispute, parties agreed to mediate instead of litigating in court.
