Subject: Complaint regarding Meralco Mandaluyong Business Center’s


approval of Installment Payment Agreements over our
Corporate Accounts without our consent or even notice

Gentlemen:

We write to file a complaint regarding the approval process of Installment Payment


Agreements (IPA) by the Meralco Mandaluyong Business Center that is headed by Manager
Edgar S. Bautista.

When we opened the three corporate accounts with Service ID Nos: your company
required us to submit requirements to establish our corporate existence and authority to
open such accounts with you. We believe this is standard procedure with all companies that
deal with corporate entities such as ______ considering that every corporate act must be
authorized as evidenced by a Corporate Secretary’s certificate.

With this standard procedure for all transactions, we were surprised when we found out
that the abovementioned corporate accounts were approved for IPA’s on 11 June 2021 without
our consent or even notice.1 As our corporate account, any IPA over these accounts would be
chargeable to our company and as such the approving manager should have looked into the
authority of a certain Ms.
when she signed the Request for Payment Extension. 2 Simply put, it appears that standard
procedure was not followed and your business center neglected to require the submission of
requirements that would establish the identity and authority of the transactor to act on our
company’s behalf.

Worse, from the documents relating to this IPA that we secured from the Mandaluyong
Business Center, it appears that ___________was not even required to submit any proof of her
supposed identity as our alleged Lessee. In fact, the request was immediately approved within
the same day as the IPA’s were dated on the same date. In addition, while the IPA itself requires
that it be signed by the Account Holder and yet your business center allowed __________ (a
person without any proof of authority to act in our behalf) to sign the same without even giving
us a call to verify this request allegedly made in our behalf. At this point, we would like to
emphasize that Ms. ______ is not our lessee and she, or any entity she may represent, do not
have authority to request for installment payments on any of our corporate accounts.

While we laud your company for allowing your customers to ease their payment burden
caused by the pandemic, we believe that such a noble goal should not set aside the basic precepts
regarding corporate accounts and actions. These basic precepts protect our corporate entities
from individuals pretending to act in its behalf in an effort to mislead third parties into believing
that the corporation is authorized to enter into such transactions and obligations.

In view of this glaring lapse in standard procedure by the Meralco Mandaluyong


Business Center that is headed by Manager ____________, we would like to file a formal
complaint about this incident so that the proper investigation be conducted by your company. We
hope that this complaint would lead to the establishment of stricter procedures and protocols
regarding IPA’s especially over business and corporate accounts.
