A. PREAMBLE
B. ESTABLISHMENT
The Association shall be a body corporate under PART C of the Corporate Affairs
Commission (Incorporated trustee), with perpetual succession and a common seal. It shall
have the power to sue and can be sued in its corporate name, be capable of purchasing,
acquiring, holding and disposing of property, movable and immovable, for the purpose of
carrying out its function under this Constitution.
C. INTERPRETATION
In this Constitution the meaning of the following words shall be limited to the definition
prescribed therein:
“President” means President of Abeokuta Grammar School Old Boys’ Association, Club
9197.
‘Constitution” means the constitution guiding the Abeokuta Grammar School Old Boys’
Association, Club 9197.
‘Motto” means a short phrase chosen as encapsulating the beliefs or ideals of the School.
“Common Seal” means engraved emblem containing the logo of the Association which
distinguishes it from any other Association; and also authenticates any document
engraved with it.
“Social Media Platforms” shall include Twitter handle, Whatsapp, Facebook, Instagram,
Wechat, Yahoo Messenger etc.
The Constitution is supreme and its provisions shall have binding force on all its
members. In the event of any conflict between the provisions of this Constitution and the
provisions of any bye law, constitution, rules or regulations of any other branch or set
club, the provisions of this Constitution shall prevail and the provisions of the other bye
law, rules or regulations shall only be valid up to the extent of its consistency with this
Constitution.
The provisions of the parent AGSOBA body shall prevail in the event of any conflict
ARTICLE 2: ASSOCIATION
2.1 The Association, which was founded in 2007, shall be known, called and addressed
as ABEOKUTA GRAMMAR SCHOOL OLD BOYS’ ASSOCIATION,
9197 (ABEOGRAMS OLD STUDENTS’ASSOCIATION) or the
“Association”).
This shall be the initials of the Clause 2.1, A.G.S.O.B.A, Club 9197.
2.3 The Motto of the Association shall be the same as that of Abeokuta Grammar
School, Abeokuta (our “Alma Mater”), as contained in the coat of arms, which
reads thus “Iberu Oluwa ni Ipilese Ogbon”, which in translation means “The
Fear of God is the Beginning of Wisdom”.
2.4 The full name and the shortened form shall apply to all old students irrespective
of gender. Members shall be called and addressed as “FELLOW AGSOBA”.
2.5 The Founder’s Day of our Alma Mata shall be held annually in the month of
July or in accordance with the school’s programming.
2.6 The Colour and Anthem of the Association shall be the same as that of our
Alma Mater, and the Anthem is as fully detailed in Addendum I of the
Constitution.
2.8 The Association shall have a Board of Advisers consisting of all past presidents
and past vice presidents of the Association.
2.9 The financial year of the Association shall end on 31st of December of each year.
2.10 The Common seal shall be in the custody of the General Secretary.
2.11 The Association shall have a website designed for its use to disseminate necessary
information to its members; and to create more awareness about the
establishment of Club 9197 to its sets, in all states of the federation and other
parts of the world. The Association may also disseminate information via other
platforms such as SMS and social media for increased awareness, educative
purposes and promulgating the aims and objectives of the Association.
2.12 A signed copy of the constitution by the President and the General Secretary
shall be at the Secretariat of the Association.
3.1 To unite in fellowship, all the old students of Abeokuta Grammar School,
hereinafter referred to as the “school”.
3.3 To carry out such activities and projects, which shall, in the opinion of the
Association, contribute to the educational, social, environmental, structural and
economic development of our Alma Mater.
3.4 To raise funds voluntarily and receive donations, gifts, grants and bequests from
members and the general public for financing any of the AGSOBA 9197 projects.
3.6 To serve as a link between the past and the present students of the school.
3.7 To co-operate with the principal, the tutors, and the students of the school to maintain
the prestige of the school and ensure its progress.
3.9 To build a spirit of cooperation and alliance amongst members of the Association in
order to help them in various aspects of their lives.
3.10 To promote the spirit of healthy competition among the students of the Alma
Mater, through scholarship, debates, awards etc.
ARTICLE 4. MEMBERSHIP
4.1 All old students of Abeokuta Grammar School that were admitted in the year 1991,
4.2.1 The General Secretary shall keep an up-to-date register and database of all
members of the Association.
4.2.2 The register shall contain detailed particulars of each member, such as name,
address, year of admission/ exit, present occupation, email address and contact
number.
4.2.3 The register shall be opened for inspection at the Annual General Meeting and
published on the Association’s website.
5.1 The following are constituted positions to be held by members of the Association.
i. President
ii. Vice President
iii. General Secretary
iv. Public Relations Officer
v. Financial Secretary
vi. Treasurer
vii. Social Secretary
The above listed positions shall be referred to as “The Executive Council” of the
Association and shall be made up of positions I-X of Article 5.1 and past
presidents of the association.
Board of Advisers
5.1.1 The Board of Advisers of AGSOBA CLUB 9197 shall be the legal owner of all
the assets of the Association, and shall have the right to sue or be sued in
relation to the affairs and assets of the Association.
5.1.2 The Board of Advisers of the Association shall be made up of Past Presidents
and Vice Presidents of the Association.
5.1.3 Re-elected presidents or vice presidents will not be members of the BOA for the
duration of their stay in office
5.1.4 The Board of Advisers shall have a Chairman who shall be elected for two
years. The position shall be renewable only once.
5.1.5 In the event of a meeting, and the seat of the Chairman, Board of Advisers is
vacant by virtue of article 5.1.7, the most senior past president shall preside
until the subsequent appointment of another Chairman of the Board of Advisers.
In the event that there is no available past president, the most senior vice
president shall preside.
5.1.6 The quorum for any meeting of the Board of Advisers shall be two-thirds (2/3)
of members of the Board of Advisers.
5.1.7 Any member of the Board of Advisers may cease to hold office if he/she:
(a) dies,
(b) resigns his/her office,
(c) ceases to be a member of Abeokuta Grammar School Old Students’
Association,
(d) becomes insane,
(e) is convicted of a criminal offence involving dishonesty by a court of
competent jurisdiction.
5.1.9 All documents to be executed by the Advisers shall be approved by at least two-
thirds (2/3) of the total number of Advisers. Approval may be by verbal
consent, appending of signatures, or any other agreed method of consent
resolution.
5.1.10 A meeting of the Board of Advisers shall be held twice a year and the incumbent
president may be invited.
(a) act as the advisory body to the current President and the committees of
the Association;
(b) mediate in disputes amongst members of the Association, as may be
referred to by the Executive council;
(c) At the Inauguration of the Executive Council which shall be held at the
Annual General Meeting, the Chairman, Board of Advisers shall be
empowered to swear-in the newly elected Executives.
(d) Any other functions that may be designated by the General Assembly.
5.2.1 The General Assembly shall be made up of all the members of the Association.
5.2.2 The General Assembly shall exercise its powers through the Annual General
Meeting or any Extra-ordinary meeting(s) of the Association.
(d) Receive, consider and approve the report of the Auditor and audited
financial statements relating to the accounts of the Association;
(f) Receive and consider draft resolutions from the Executive Council for
any issue or question of which this Constitution makes inadequate or no
provision for its resolution; and
(g) Exercise any other power, perform any other function, or engage in any
other activity that may lawfully be so exercised, performed or done by
the Association for carrying out, or giving effect to, the purpose for
which the Association is established.
5.3.4 All decisions of the General Assembly at the Annual General Meeting or any
extra-ordinary meeting, except as expressly specified in this Constitution on any
specific matter, shall be made by simple majority of the members attending and
voting at such meeting.
5.3.5 COMMITTEES
The BOA shall nominate the members of the electoral committee from
members of the general assembly considered to be upright and of
reputable character. Such persons must not be seeking election into any
of the offices indicated in Article 5.1
The Committee’s term shall concurrently expire with the term of the
Executive Council and shall be re-constituted after the election and
inauguration of the newly elected members of the Executive Council.
No officer shall be elected into the same office for more than two consecutive
terms of two years each.
The Executive Council shall consist of the under-listed positions and duties:
i. President:
The President chairs the Executive Council and shall preside at all meetings which
include the Annual General Meeting, Ordinary meetings, Executive Council Meetings or
the Extra-ordinary General Meeting. He/she shall co-ordinate the activities of members at
such meetings. He/she shall also perform such duties as may pertain to and incidental to
his/her office as the leader of AGSOBA Club 9197. If the President is absent, the Vice-
President shall preside. In the absence of the two top officers, members present at the
meeting shall appoint a Chairman from amongst the members.
The president shall present an address at the Annual General Meeting. Such an address
shall not be open to debate.
The secretary shall perform the secretarial duties of the Association. He/she shall keep a
register of members and open such register from 10.00am on the Annual General
Meeting for inspection by members.
He/she shall submit an annual detailed report which shall be debated. The Secretary shall
also circulate the notice of the meeting and the minutes of the last meeting/agenda to all
members via any convenient medium agreed to by the General Assembly.
He/she shall collect all dues, subscription and special levies of the Association. All
monies so collected shall be handed over to the treasurer as soon as possible, but not later
than three working days after collection. The Financial Secretary keeps a true and
accurate record of all receipts and payments into the Association’s accounts in the Bank.
He shall submit an annual report at the general meeting.
He/she shall recommend fund raising activities for approval by the Executive Council
and maintain a register of the financial members of the Association for each year.
The Financial Secretary and the treasurer shall also ensure that accounts are audited by
Auditors appointed by the Association, and submit all necessary documents as may be
required by the Auditor, make financial transactions on behalf of the Association and be
responsible for the presentation of the audited annual reports at the Annual General
Meeting.
v. The Treasurer:
He/she shall receive all monies for the association and shall keep a true and accurate
record of all receipts and payments into the Association’s accounts in the Bank. He/she
shall keep an imprest account of Five Thousand Naira only at any given time. He/she
shall submit an annual report at the general meeting and be one of the signatories to the
bank accounts of the Association. The Treasurer and the Financial Secretary shall also
ensure that accounts are audited by Auditors appointed by the Association, submit all
necessary documents as may be required by the Auditor, make financial transactions on
behalf of the Association and be responsible for the presentation of the audited annual
reports at the Annual General Meeting.
He/she shall ensure that all members of the association are duly informed of every
activity of the association. The PRO shall ensure that due and sufficient publicity is given
to all activities of the association.
He/she shall perform all the duties normally performed by a social secretary. In
particular, the social secretary shall manage all the social activities of the association’s
calendar and in that regard, may form ad-hoc committees in order to facilitate the
execution of all social activities of the Association.
They shall seek to promote fellowship and welfare of members of the Association,
arrange the venue for meetings/ other activities of the Association and initiate and
coordinate welfare and self-enrichment programmes for members of the Association.
Co-ordinate official visits to any member who is sick or has lost a dear one, to
commiserate with him/her.
iv. Auditor:
The Auditor who shall be appointed not earlier than two months before the annual
general meeting, shall audit the accounts of the association. The auditor’s report which
shall be submitted at the Annual General Meeting, shall reflect the true financial position
of the association as at 31st December of the year which shall be the Annual Financial
Year. Appointment and remunerations of the auditor shall be decided by the BOA.
In the event that the association cannot afford the services of an independent auditor, the
BOA will appoint a three-member committee from the General Assembly to carry out the
duties of the auditor.
v. Chief Whip
He/ She shall be responsible for registering late arrivals to meetings as well as
maintaining decorum during meetings or programmes organized by the Association.
The Executive Council shall jointly and individually have the following functions:
(c) Solicit donations, gifts and other forms of material aid for the purpose of
meeting the financial requirements and other needs of the Association in
furtherance of its aims and objectives;
(d) Represent and be the liaising body of the Association in all matters before
the public and our Alma Mater, except as may be otherwise decided by the
General Assembly;
(e) Identify and execute projects that will enhance the good image of the
Association and our Alma Mater;
(f) Raise and deal with the funds of the Association in accordance with this
Constitution;
(h) Create and pursue economic venture (s) that could generate funds towards
the attainment of the aims and objectives of the Association;
(n) Shall decide the exact date of the Annual General Meeting.
(o) Set up committees, as may be deemed necessary, to assist the Association
on any matter assigned to it. Members of such committees shall be
financial members of the Association, and such committee is considered
dissolved as soon as its report is submitted, considered and concluded
(p) Coordinate the appointed committees and utilize feedback of the various
committees for the growth of Club 9197 and;
(q) Undertake any action or take any step, as may be deemed necessary, to
protect the interest and existence of the Association.
5.4.3 An office shall be declared vacant where any of the following occurs, if the
holder:
(i) Resigns from office,
(ii) His/her term expires.
(iii) is dismissed from office for any offence
(iv) becomes incapacitated, insane or of unsound mind,
(v) dies,
(vi) fails to fulfill its financial obligations to the Association
(vii) is convicted of a criminal offence by a court of competent jurisdiction,
(viii) or such other reasons detrimental to the cause of the Association.
The current president shall issue a query to a defaulting exco member giving him 48
hours within which to respond to the query. The query and the response shall be
forwarded to the disciplinary committee of the association which shall then investigate
appropriately and make recommendations to the president. The president shall either
The BOA and the disciplinary committee shall examine the petition, investigate and
interrogate the parties involved. Their findings and decisions will then be pronounced to
the general assembly.
II. Election shall be by secret ballot via physical and/or online voting system
III. Any member contesting for executive positions shall be a qualified and
credible person. ‘Qualified’ to this association shall mean:
a. A financial member.
b. Must have spent minimum of 3 academic sessions in Abeokuta
Grammar School and graduated in the year 1997
c. Must be a physically active member.
d. Must be gainfully employed or an entrepreneur.
e. Must be ready to serve and;
ARTICLE 8: MEETINGS
8.1 Ordinary Meeting: Shall be held quarterly. The meeting shall be held in
accordance with the schedule drawn up by the General secretary and approved by the
General Assembly of the Association. Any change of time/ schedule must be approved by
the Executive Council.
Annual General Meeting: Shall be held once a year at the end of each Financial
year in accordance with the schedule drawn up by the General secretary and approved by
the General Assembly of the Association.
The notice of the Annual General Meeting shall indicate the agenda to be discussed at the
meeting, and members may propose business to be transacted at the General Assembly.
Such agenda must have been submitted to the General Secretary not less than fifteen (15)
days before the date of the Annual General Meeting.
No issue(s) that has not been placed on the agenda shall be discussed or put to vote unless
a resolution to that effect is approved by a two-third majority vote of financial members
at the Annual General Meeting.
The Annual General Meeting shall be attended by all members of the Association, but
only the financial members shall be entitled to vote for the officers of the Association.
Notice of Executive Council Meeting: at least seven days notice prior to the meeting shall
be given by the General secretary to the members of the Executive Council.
8.2 Voting at meetings: Only financial members have a right to vote and it shall be
one vote to one ordinary member. Voting on all matters shall be by show of hands at
I. Members shall pay a meeting due of hundred naira (100) or such other
amounts as may be determined from time to time by members at the
Annual General Meeting.
III. Members shall be required to pay special levies and donations when
occasions demand e.g during award presentation, financial assistance to a
member. e.t.c
VI. The United Bank of Africa, Abeokuta shall be the Association’s Bank.
VII. Signatories: The President, Secretary and the Treasurer shall be signatories
to the Association’s Account. Any two (2) of them can sign the
Association’s Cheque at a time.
The Executive Council shall have the power to recommend to the Disciplinary
Committee, the suspension of the membership of any member whose conduct is
deemed to be inimical and prejudicial to the attainment of the aims and objectives
and good name of the Association.
In order to maintain the core values of our Alma Mater, which are discipline
and respect, the following rules shall govern the use of social media platforms
by our members:
(a) the social media platforms shall be used for disseminating information,
creating awareness, campaigning for the Association’s positions on
pressing national issues; BUT must not be used to abuse, denigrate or
cast aspersions on any member of the Association, particularly the
officers of the Association and past Presidents/Vice Presidents; and
(b) the social media platforms must not be used to post obscene content(s)
or material(s) that is capable of destroying the unity of the Association
or promoting division among its members.
Any infraction of the above rules shall be deemed to be a misconduct, which upon being
brought to the attention of the Disciplinary Committee shall be met with appropriate
sanctions, such as warning, suspension or dismissal from the Association.
The Association, if it so wishes, may appoint a web and social media Committee, which
shall be made up of three (3) members to monitor the social media platforms. The Head
of the Committee shall be the Social Secretary; members of the Committee shall be the
Chief Whip and the Public Relations Officer.
Any financial member of club 9197 may propose in writing, an amendment to this
Constitution, and shall forward the details of such proposed amendments to the
General Secretary of the Association for consideration by the Executive Council,
not later than three (3) months to the Annual General Meeting where the proposed
amendment is to be considered.
The General Secretary shall circulate the proposed amendment(s) to members, not
later than one (1) month, and such notice should also be published on the
Association’s website.
14.1 The income and property of “AGSOBA CLUB 9197”, howsoever derived, shall
be applied solely towards the promotion of the objectives of “AGSOBA CLUB
9197” ONLY as set forth in this Constitution, and no portion thereof shall be
paid or transferred directly or indirectly, by way of dividend, bonus or otherwise
howsoever by way of profit to the members of “AGSOBA CLUB 9197”.
14.2 PROVIDED that nothing herein shall prevent the payment, in good faith or
reasonable and proper remuneration to any officer of the “AGSOBA CLUB
9197”, in return for any service actually rendered to the “Association”, but so
that no member of the Trustee, Executive Council or General Assembly shall be
appointed to any salaried office of the “Association”, or any office of the
“Association” paid by fees that no remuneration or other benefits in money or
monies shall be given by the Association to any member of such council or
governing body except out-of-pocket expenses or reasonable and proper rent for
premises demised, or let to the “Association” provided that the provision last
aforesaid shall not apply to any payment of any company to a member of the
“Association” may be a company in which such a member shall not hold more
than one hundredth part of the capital, and such member shall not be bound to
account for any share of profits he may receive in respect of any such payment.
This constitution shall be known as The Constitution of Abeokuta Grammar School’s Old
Boys’ Association, CLUB 9197, enacted in December 2010 is hereby first amended and
ratified this ……………day of………..2020.
