That at a Special Meeting of the Board of Directors of the

Corporation held on July 19, 2021 which meeting a quorum was
present and acting throughout, the following resolutions were
unanimously approved:

““RESOLVED, as it is hereby resolved that the Corporation file

and initiate the filing of a criminal complaint against JESABETH s.
GROMONTIL, JOSHUA MER N. BUENAFE and any other persons who
may have conspired with them for the crime of qualified theft or
violation of Art. 310 of the Revised Penal Code before the Pasig City
Prosecutor’s Office;

RESOLVED FURTHER, as it is hereby resolved that the

Corporation authorize, as it hereby authorizes, its HR Officer, MAIZEL
ANNE H. CRUZ to sign, execute and deliver any and all documents,
papers or instruments including, but not limited to, the Affidavit of
Complaint requisite or necessary to implement the foregoing
authority”.
