1. Program Educational Objectives:

MBA 516 - BUSINESS LEGISLATION

Course Objective: The objective of this course is to management of conflict – Resolution &
Stimulation Techniques, Dual Concern Model of Conflict Resolution quire the students’
various laws, which are to be observed in performing the day-to-day business. Here the
emphasis will be on the different latest provisions of the law and on how these can be used in
the best interest of the organization without violating them rather than cases.

Course Contents
Unit-1 (8 sessions) The Indian Contract Act, 1872: Essentials of a Valid Contract, Void and
Voidable Agreements, Performance of Contracts, Breach of a Contract and Its Remedies,
Quasi-Contracts.
Unit-2 (8 sessions) The Sale of Goods Act. 1930: Formation of a Sales Contract. Consumer
Protection Act: Consumer Rights, Exploitation of Consumer, Consumer Protection, Utility of
Consumerism.
Unit-3 (8 sessions) The Negotiable Instrument Act, 1881: Nature and Types, Negotiation and
Assignment. Holder in Due Course, Dishonor and Discharge a Negotiable Instruments.
Negotiable Instruments – Notes, Bills, Cheques – Crossing – Endorsement – Holder in due
Course – Contract of Agency
Unit-4 (8 sessions) The Companies Act, 1956: Types of Companies, Memorandum and
Article of Association, Shareholders and Debenture Holders, Minority Protection, Company
Administration – Borrowing Powers, Management and Administration,
Meetings, resolutions, Proceedings – Management – Accounts – Audit – Oppression and
Mismanagement – Winding up.
Unit-5 (8 sessions) Law of Partnership: Definition and Nature of Partnership. Formation of
Partnership. Rights, Duties and Liabilities of Partners. Dissolution of Partnership Firm.

Internal Assessment (IA): [CT(10 marks)+TA(10 Marks)+ AT (5 marks) +

Class Test (CT) [20 marks]: Three class tests will be conducted in a
semester of 20 marks each and best two out of
the three will be selected for calculation of class
test marks.

Teacher Assessment (TA) Teacher Assessment will be calculated on the
[10 marks]: basis of performance in Assignments, Class Test

Attendance (AT) Attendance marks will be given as per university
