机械设备临时租赁合同

LESSOR: M/S PADMA TRADERS (hereinafter referred to as “Party A”)
出租方： M/S PADMA TRADERS （以下简称“甲方”）
LESSEE: China Railway Group Limited Division 2,Padma Badma Bridge Rail Link Project
(hereinafter referred to as “Party B”)
承租方：中国中铁帕德玛大桥连接线二分部 （以下简称“乙方”）
As to fulfill Party B’s requirement in building the project of Padma Bridge Rail Link Project,
the Party A and the Party B establish this equipment rental contract to clarify respective rights and
responsibilities based on the principle of equality, voluntariness, fairness and integrity.
为满足乙方，帕德玛大桥连接项目施工生产的需要，甲、乙双方在平等、自愿、诚信、
互利的基础上，为明确双方的权利与义务，就以下设备租用事宜协商一致，订立本合同，
以供双方共同遵照执行。

 推土机包含操作手费用(Contains the required bulldozer machinery operator
cost)，进出场费用双方约定：租赁期小于 3 个月，支付 100000TK，租赁期大于 3 个月
且小于 6 个月，支付 50000TK，租赁期大于 6 个月无需支付进出场费用。（Both the

1、Unless otherwise specified in this contract, the rental charge is included machinery equipment
usage and maintenance ， annual examination and forensics fee, profit, charges paid to related
department and other charges which may arise. It also includes other taxes and fees due to rental
fees.
除非本合同其它条款另有规定外，本合同租金已包含车辆的使用费、修理保养费、年审费 、
取证费、利润及其它可能发生的费用，同时也含因租赁费产生的其他税费。
2、During the performance of this Contract, changes in cost such as machinery equipment, labor
and the government’s related taxes don’t affect the rental .The Party A is not allowed to seek for
price change or initiate any claims and further, Party A is not relieved from its duties and
responsibility to the Contract.
合同履行期间，机械设备、人工等价格和政府有关税费标准发生变化均不影响本合同租金，
甲方不得请求调整合同租金或主张索赔，也不免除甲方应承担本合同的义务和责任。
Item II Ownership and Rights to Use
第二条 所有权和使用权
1、The Party A assures that it is legitimate to own the machinery equipment and has the right to
rent the machinery equipment and undertake civil liability independently.The lease is lawful and
valid.
甲方承诺并保证：甲方依法拥有本合同所述机械设备的所有权，并有权实施本协议项下的
机械设备租赁且能够独立承担民事责任；出租行为合法、有效。
2、The Party B assures that it rent the contract’s machinery equipment according to the law and
has been approved and authorized to lease the machinery equipment.
乙方承诺并保证：乙方依法承租本协议项下的机械设备，并已获得其内部相关权力机构的
授权或批准。
Item III Accessories
第三条 配备
1、Operators must be arranged by the Party A.(Party A undertakes driver’s meal cost.)
甲方为乙方配备所租赁的机械设备操作司机，且由甲方负责安排，承担操作司机的用餐费
用。
2、Party A is responsible for supplying the spare parts and services of the machinery equipment
which may be required under normal working condition
甲方负责提供在正常工作条件下可能需要的机械设备备件和服务。
Item IV Working Times And Overtime
第四条 工作时间
The normal working time is Sunday to Saturday :
At 08:00 to 12:00am 、 14:00 to 18:00pm, 30 D/Month, 8H/D. Weekend and holiday is not
included in working overtime.
正常工作时间为周日至周六：
每天 08:00 至 12:00、14:00 至 18:00，每月 30 天，每天 8 小时。周末和其他公共假日不另
算加班。
Item V Method of Settlement
第五条 结算方式
1、The settlement period is from the beginning of the month to the end of the month. At the time
of settlement, Party A shall submit the “Equipment Operation Record” and the invoice signed and
confirmed by the personnel designated by the two parties at the end of each month. When lease
period is less than 1 month, the settlement method shall be: actual using days multiply unit price
of monthly rent divide 30 days.
结算周期为月首至当月月末，结算时，甲方应于每月月末提交经双方现场指定的人员签字
确认的《设备运转记录表》与发票。不足一个月按实际使用天数*月租单价/30 天计算。
2 、 Party B must pay the monthly rent to the Party A within 15 days upon receiving Party A’s
invoice.
乙方在收到甲方发票之日起 15 天内支付月租金给甲方。
Item VI Machinery Handover and Termination Notice
第六条 交付
1 、 The lease period begins with the date of mechanical equipment arriving at the construction
site. In the event of contract termination,Party B shall notify Party A to terminate the contract at
least 3 days in advance. Before the arrival of machinery equipment on working site, Party A is
responsible for proceeding with inspection and maintenance and ensuring that the machinery
supplied to Party B is safe to use and meets Party B’s rental requirement.
租赁期从机械设备到达现场施工之日开始。乙方至少提前 3 天通知甲方要求终止合同，即
租赁期终止。机械设备到达乙方指定的地点前，甲方应负责检查及维修，确保甲方交付的
机械设备能够安全使用并满足乙方的租赁要求。
Item VII Insurance Matter
第七条 保险
1、Party A is responsible for purchasing insurance to the machinery equipment and operator.
甲方负责给机械设备及操作司机购买保险。
Item VIII Fuel、Repair and Maintenance
第八条 燃油、维修、保养：
1、The fuel is supplied by Party B .
机械设备在租赁期间的燃油由乙方负担。
2、During the rental time, Party A is responsible for repairing and maintaining on machinery and
the charges shall be undertaken by Party A.If any maintenance and repair, Party A should notify
Party B in advance so that Party B can arrange the use of machinery equipment. Party B shall have
the right to deduct the repair, maintenance or other time that cannot work due to Party A's reasons.
租赁期间内机械设备的维修、保养工作由甲方负责，并承担维修、保养费用。甲方需维修
保养需提前通知乙方，由乙方安排。维修、保养或其他因甲方原因造成的不能正常工作时
间，乙方有权予以扣除。
3、If Party A's equipment fails, the repair time shall not exceed 4 hours. The repair time shall be
deducted by Party B from the working hours. If Party A's equipment repair time exceeds 4 hours,
Party B shall have the right to request Party A to provide substitute equipment with better
performance according to the actual situation. And the replacement time shall not exceed 2 days,
and the resulting expenses shall be borne by Party A.
甲方设备出现故障，维修时间不得超过 4 小时，维修时间由乙方从工作时间内扣除，如甲
方设备维修时间超过 4 小时，乙方根据实际情况，有权要求甲方提供性能更好的替代设备，
且更换时间不得超过 2 天，由此产生的费用由甲方承担。
Item IX Responsibility of The Party A
第九条 甲方的义务
1、Providing the machinery equipment for lessee in good condition and ensuring it can meet the
construction and production requirement.
按时为乙方提供满足合同规定的要求和标准的机械设备，且确保其满足乙方工程施工生产
的需要。
2、Providing qualified and licensed operator who are able to follow the reasonable instructions
given by Party B personnel . The operator must operate according to the operating instruction.
Tired and drunk driving is prohibited.
甲方应配备持有效合格证书的驾驶员，依法持证上岗。甲方操作司机应服从乙方管理人员
的调度与指挥，遵守乙方的有关管理制度和工作流程。甲方操作司机应按车辆的性能和操
作规程操作，禁止疲劳、酒后驾驶。
3、The rental machinery equipment of lessor must be equipped with fire prevention apparatus and
necessary maintenance tools. The driver’s cost is supplied by Party A.
甲方出租的机械设备须配备防火设备及必要的维修工具。负责操作人员费用。
4、Any accident incurred during the rental time because of the operator violating operation will
be responsible by The Party A.
机械设备在租赁期间内，任何由于操作不当引起的事故由甲方负责。
5、The operator must fill the Equipment Running Daily Record accurately according the request
of the Party B
操作司机必须按照乙方的要求准确填写机械设备的运行日志。
6、Unless otherwise stated in this contract, all costs incur on the above has to be borne by The
Party A.
除非本合同其他条款另有规定外，甲方履行上述义务所产生的费用由甲方自行承担。
7、The insurance fee will be paid by The Party A.
甲方负责机械设备的保险相关事宜。
Item X Responsibility of Party B
第十条 乙方的义务
1、Arranging work schedule for the machinery equipment.
负责机械设备的使用安排。
2 、 Assigning its personnel contact to the lessor’s operator ,sign the “Equipment Operation
Record”and pay the rent on time.
委派有关人员与甲方操作司机进行工作联系，按时给予甲方签认《设备运转记录表》,按时
支付租金。
Item XI Responsibility for Breach of Contract
第十一条 违约责任
1、Breach of Contract by The Party A
甲方违约
The Party A shall be deemed to have defaulted due to following matters, the Party B has the right
to terminate the contract unconditionally. The mobilization and demobilization expenses will be
paid by Party A. Party B can ask Party A for the compensation.
发生下列事项时，即视为甲方违约，乙方有权无条件解除合同，设备进出场费用由甲方自
行负责；根据实际情况，乙方有权要求甲方进行赔偿，赔偿金额可从当期结算中直接扣除。
1）The Party A can’t provide the machinery equipment and operator on time or it can’t meet the
requirements of Party B.
无法按时提供机械设备及操作司机或所提供的机械设备或操作司机不能满足乙方使用要求；
2 ） Repair and maintenance of the machinery has exceeded three days per month and cannot
arrange alternative machinery equipment and affect Party B’s normal using .
维修、保养超过 3 天/月期限，且没安排替代机械设备，影响乙方正常使用时；
3）Any incident which is not resulted by the Party B or force majeure which affect the work
progress of Party B
非因乙方及不可抗力之外的原因，影响乙方正常使用时；
4）Party A’s operator refuse the command of Party B or violate operation, which causes Party’s B
loss. The Party B can deduct the fine money from the payment .
甲方操作司机不听从乙方工作安排或违章操作，造成 乙方损失，乙方有权利在月底结算中
扣除相应的费用。
5）Party A’s operator steal the diesel、material or other things and demotivate, Party B can give a
fine to Party A, and cut the money from the payment .
若甲方司机有偷油、怠工现象，一经查实，乙方有权利对甲方作出相应处罚，相关费用从
当期结算中扣除。
2、Breach of Contract by Party A
乙方违约
Party B shall be deemed to have defaulted due to following matters and bears the liability for
breach of contract.
发生下列事项时，即视为乙方违约，须承担违约责任：
Party A has the right to stop the contract if the Party B fails to pay the rent according to the
contract or exceed the time limit.
若乙方未按合同规定期限支付租金或超期使用，甲方可终止合同。
Item XII Application of Law and Dispute Settlement
第十二条 法律适用与纠纷解决
1、The laws of Bangladesh is applicable to this contract.
本合同适用的法律为孟加拉国法律。
2 、 Both sides should actively solve the matters which is unmentioned in the contract with the
principle of equality and mutual benefit.
本合同未尽事宜，双方应本着平等互利的原则，积极协商解决。
3 、 When the negotiation is invalid ,the application shall be submitted for arbitration to the
Bangladesh Arbitration Commission.
协商无效时，可申请由孟加拉仲裁委员会仲裁。
Item XIII Addendum to Contract
第十三条 合同补遗
1 、 Both sides should additionally solve the matters unmentioned in the contract ,then sign
supplementary agreement as a constituent part of the contract and perform.
本合同未尽事宜，双方可另行协商解决，签署补充协议，作为本合同的组成部分一并履行。
Item XIV Copies of Contract
第十四条 合同份数
1、This contract is in two copies, one for Party A and the other one for Party B, with the same
legal effect.
本合同一式 2 份，甲方 1 份，乙方 1 份，具有同等法律效力。
Item XV Effective Date
第十五条 生效期
1 、 The Contract will take effect from the date when it is signed and stamped by legal
representative or entrusted agent of both parties.
本合同自双方法定代表人或委托代理人签字并盖章之日起生效。
