DISTRIBUTOR AGREEMENT

18th January 2021 to 31st July, 2021

This Agreement for the period 18th January 2021 to 31 st July 2021 termed herein as the
“agreement” is made at Mumbai & effective from by and between

M/s. Varnada Indutries Pvt. Ltd., CIN ……….a company duly registered under the company
act 1956, having its corporate office at A518, SagarTech Plaza, Sakinaka Mumbai – 400072
(herein to as referred as “ The Company “) Which expression shall unless repugnant to the
context or meaning there of be deemed to include its successors and assigns of the first
part.

AND

M/s. Reena Agencies, Hyderabad (Herein referred as) Distributor for Medak, Adilabad and
Mahaboob Nagar Districts Which expression shall unless repugnant to the context or
meaning thereof to be deemed to include his/its respective, heirs, executors administrators,
successors and assigns of the second part.

Whereas, the Company people has approached to M/s. Reena Agencies to do the
Distribution of Varna Air Coolers, Mixies and all Varna products, he has expressed his desire
to act as the Distributor for 3 districts (Medak, Adilabad and Mahaboob Nagar), accepted
the offer and appointed as the DISTRIBUTOR for the period 18th January 2021 to 31st July
2021. Here in after called as Distributor in area as set forth herein and submits its details in
the DISTRIBUTOR form the same is also part of this agreement and herewith as Annexure
“A”

Whereas, the relationship between company & the DISTRIBUTOR is that of seller and the
buyer under the provisions of sales of goods act. The DISTRIBUTOR shall purchase the
products mentioned below against the sale of consideration and resale of his own
customers.
Therefore, in consideration of the mutual agreements and promises set forth herein, it is
agreed:

1. RIGHTS GRANTED:

Company hereby grants to DISTRIBUTOR for Medak, Adilabad and Mahaboob Nagar, on the
terms and conditions set forth herein to purchase, inventory, promote and resell “company
products “(as defined below) within the given area. Nothing herein shall prevent prohibit
company from selling any of the company’s products to other Dealers.

2. PRODUCTS:

The term company’s products in this agreement shall mean the AIR COOLERS Mixer Grinder,
Gas Stoves and Fans, related service parts and accessories manufactured/marketed and sold
by company and defined as follows: All types of air coolers.

3. TERMS OF SALE:

All sales of company’s products to DISTRIBUTOR shall be made pursuant to this agreement
at such prices and on such terms, as company shall establish from time to time. All orders
are subject to acceptance by the company. Except as otherwise agreed by the company in
advance, this agreement shall control all the aspects of the dealing between the parties with
respect to the company’s products and any additional or different.

TERMS & CONDITATIONS:

1 M/s. Reena Agencies, Hyderabad will invest 50 Lakhs per District to

M/s. NN9Star Enterprises, Hyderabad for Distribution.
2 M/s. Reena Agencies, Hyderabad advance payment only, form 18 th January 2021 to
31st July 2021.
3 All sub dealers of Medak, Adilabad and Mahaboob Nagar will pay the advances to
M/s. Reena Agencies, Hyderabad in mutual manner.
4 M/s. NN9Star Enterprises, Hyderabad is our Super Stockiest, he will supply the total
stock to M/s. Reena Agencies Wharehouse, Hyderabad, in Free transportation.
5 Total Product selling by Authorised Ditributor only.
6 In Each and Every Invoice Hold 3% of payment, after 31 st July 2021 Distributor has to
clear the total outstanding.
