Asdiscussed,welookforwardtoretainingyouasatraineeofIFORTISCORPORATE.,("IFORTIS
CORPORATE"orthe"Company"),toprovidecertainservicestoIFORTISCORPORATEpursuanttothe
termsofthisletteragreement(this"Agreement").Forgoodandvaluableconsiderationandthetermsand
conditionsofthisAgreement,thesufficiencyofwhichisherebyacknowledged,youandIFORTIS CORPORATE
hereby agree as follows:

1. Services, Term and Compensation.

a) Services. You agree to render certain services to IFORTIS CORPORATE as specified herein
(collectively, the “Services”) during the term of this Agreement. The Services will include:

(i)GeneratingpublicityandinterestforIFORTISCORPORATEonFacebook,Instagramandwebsiteand
(collectively,“SocialMediaAccounts”),orsuchotherSocialMediaAccountsasmaybeagreedtoin
writingbyyouandIFORTISCORPORATE;and(ii)Performingsuchotherdutiesasmaybemutually
agreeduponinwritingbyyouandIFORTISCORPORATE.Themannerandmeansbywhichyouchooseto
performtheServicesshallbeinyourdiscretionandcontrol.InperformingtheServices,youagreeto
exercisethehighestdegreeofprofessionalismandshalltakenoactionthatwouldbereasonablyexpectedto
adverselyaffectthereputation,trademarksorservice-marksofIFORTISCORPORATE,andshallutilize
yourindependentjudgment,expertiseandcreativetalents.Youagreenottodelegateorsub-contractthe
performanceoftheServicestoanyotherpersonorentity,unlessexpresslyauthorizedbytheCompanyin writing to do
so. You agree not to enter into any contract or commitment or make any binding
representationsorwarrantiesonbehalfoftheCompany,orpurporttohaveauthoritytodoso,unless
specificallyauthorizedinwritingbyadulyauthorizedofficeroftheCompany.InperformingtheServices,
youshalluseyourownequipmentandmaterials;provided,however,thatfromtimetotime,IFORTIS CORPORATE
may make certain resources available to you as necessary for the performance of the Services.

b) Term.ThetermofthisAgreementshallcommenceonthedatelistedatthetopofthisAgreement(titled,
STARTDATE)andwillcontinueforaperiodof1months(the“TrainingPeriod”).Eitheryouor
IFORTISCORPORATEmayterminatethisAgreementatanytimeuponseven(7)workingdays’advance
writtennoticetotheotherparty,andtoterminatethetrainingPeriodimmediatelyuponmaterialbreachof
anyobligationshereunderbytheotherparty.TheCompanyshallhavenoobligationtopayanyfurtherfees
oramountstoyouaftertheterminationofthetrainingPeriod,exceptfees(isapplicable)forServices rendered through
the date of such termination. This training Period can be extended based on your performance, the
Company’s plansand your interest in continuing your role.
Ifyouleavethepositionbefore1months,youwillberequiredtofindasuitablereplacement,as
determinedbytheCompany,totakeyourplace.Withoutdoingso,youwillnotbeeligibletoreceive your
Certificate of Internship/Participation/Excellence or Letter of Recommendation.

C)IndependentContractorRelationship.BothyouandIFORTISCORPORATEagreethatyour
relationshipwithIFORTISCORPORATEwillbethatofanindependentcontractor.Nothinginthis
Agreementshallbeconstruedtocreateapartnership,jointventure,oremployer-employeerelationship,or
anyrelationshipotherthanasanindependentcontractor.Assuch,youshallnotbeentitledtoparticipatein
anyemployeebenefitplanorreceiveanybenefitavailabletoemployeesoftheCompany,including insurance,
worker’s compensation, retirement, paid time off and vacation benefits.

2. ProprietaryInformationAgreement;Confidentiality.Anycontent,idea,orprocessyoucreateforIFORTISCO
RPORATEwhichissolelyorjointlyconceived,made,reducedtopractice,orlearnedbyyou
inthecourseofanyServicesperformedfortheCompanyisconsideredtheCompany’sworkproduct("
CompanyWorkProduct").YouherebyassigntotheCompanyallright,title,andinterestinandtoCompanyWorkPro
ductandallapplicableintellectualpropertyrightsrelatedtoCompanyWorkProduct, including without limitation,
copyrights, trademarks, trade secrets, patents, moral rights, contract, and
licensingrights(the"ProprietaryRights").Inaddition,youherebyagreethatduringthetermofthisAgreement and
thereafter that you will take all steps reasonably necessary to hold the Company’s
ProprietaryInformation(definedbelow)intrustandconfidence,willnotuseProprietaryInformationinany
mannerorforanypurposenotexpresslysetforthinthisAgreement,andwillnotdiscloseanysuch
ProprietaryInformationtoanythirdpartywithoutfirstobtainingtheCompany’sexpresswrittenconsenton a case-by
case basis.

3. Assignment.ThisAgreementmaynotbeassignedbyyouwithoutIFORTISCORPORATE’sexpress written
consent. Any attempted assignment in violation of this provision will be null and void.

4. DisputeResolution.Anyclaim,dispute,orcontroversyofwhatevernaturearisingoutoforrelatingto
thisAgreement,including,withoutlimitation,anyactionorclaimbasedoncontract(includinganyclaimsof
breach),tort,orstatute,orconcerningtheinterpretation,effect,termination,validity,making,or
performanceofthisAgreement,shallberesolvedbyfinal,binding,andconfidentialarbitrationbeforea single
arbitrator selected through the then existing rules and procedures as set by IFORTIS CORPORATE.

5. Confidentiality.YouagreetokeepthetermsofthisAgreementstrictlyconfidential,exceptfordisclosure
inconfidencetoyourprofessionaladvisersunderdutyofconfidentiality,andasmayberequiredby applicable law.

6. Miscellaneous.ThisAgreement,togetherwithExhibitA,representstheentireagreementbetweenthe
partiesregardingthesubjectmatterhereof,andsupersedesanyotheragreementoralorwrittenwithrespect
tosuchsubjectmatter.ThisAgreementmayonlybemodifiedoramendedbyawrittenagreementsignedby
bothparties.IfanyprovisionofthisAgreementisdeterminedtobeinvalidorunenforceable,inwholeorin
part,suchdeterminationshallnotaffectanyotherprovisionofthisAgreementandtheprovisioninquestion
shallbemodifiedsoastoberenderedenforceableinamannerconsistentwiththeintentoftheparties
insofaraspossibleunderapplicablelaw.ThisAgreementshallbeconstruedandenforcedinaccordancewith the laws
without regard to conflicts of law principles. Any ambiguity in this Agreement shall not be
construedagainsteitherpartyasthedrafter.AnywaiverofabreachofthisAgreement,orrightshereunder, shall be in
writing and shall not be deemed to be a waiver of any successive breach or rights hereunder.

WehopethatyourassociationwiththeCompanywillbesuccessfulandrewarding.Ifyouwishtoaccept
thisAgreementunderthetermsdescribedabove,pleasesignanddateitbelowandreturnacopyofthe signed agreement
