MEMORANDUM OF UNDERSTANDING (MOU)

This MOU is executed at Mumbai on August XX, 2021 between:

SMART Training Associate – (Your name) (hereinafter referred as “Associate”)

AND

SecMark Consultancy Ltd, having its office at 36/2277, RDP 10, Sector 6, Charkop,
Kandivali (West), Mumbai – 400067 (hereinafter referred as “SecMark”)

Background:

 The Associate is (pls update your background details)

 SecMark is a listed (BSE SME platform) consulting firm in India specialized in
offering services to financial market participants in the areas of Compliance,
Operations, Risk Management, Software Development & Technology.
SecMark’s head office is situated at Mumbai and has offices in different cities
viz. Ahmedabad, Chandigarh, Delhi, Indore, Jaipur & Raipur.
 SecMark as part of its business growth plan has initiated this project to
collaborate with SEBI SMART trainers to jointly hold Investor awareness
programs

Role of Associate

1. SecMark will arrange & organise IAP

2. Associate will be required to conduct virtual IAP as scheduled by SecMark
3. Associate will be given at least 24-48 hours’ notice to conduct IAP along with
webinar details.
4. The IAP to be conducted strictly in accordance with SEBI SMART guidelines.
Payment Terms

1. SecMark will pay INR 2,000 (Two thousand) per training session of around 2
hours duration
2. The associate is required to raise an invoice for claiming payment
3. SecMark will make the payment within 30 days after training is completed

In witness thereof both parties agree to the terms and conditions hereinabove.
