C ONTRACTOR
AGREEMENT

This Contractor Agreement (“Agreement”) is made on 03/13/2020, between KCo Ad Agency

(“Client”) and JR Eduave-Jed (“Contractor”). In this Agreement, the party who is contracting to
receive the services shall be referred to as the “Client” and the party who will be providing the
services shall be referred to as “Contractor”.

1. DESCRIPTION OF POSITION & SERVICES. Beginning on the agreed upon date, the
Contractor will provide services such as:

Responsible for designing ads for KCo’s client’s advertising as needed. Includes
ads for online, print, video and websites.

2. REPORTING TO Kelly OR Alex Alexander.

3. START DATE: 03/16/2020

4. SCHEDULE AND DAYS OFF. The Contractor agrees to work US Hours 7:00 am – 3:00 pm
Eastern Time Zone, Monday through Friday. Equivalent PH time 7:00 pm –3:00 am. The daily
hours worked will be 8 hours. 3 days’ notice of any days that need to be taken off.
Appropriate notice will be given should Contractor’s services be needed during weekends or
holidays. Further, when necessary with due notice, the contractor agrees to work on a
different/varying schedule.

5. PAYMENT FOR SERVICES. The Client will pay the Contractor an hourly rate of $ 6.50/hr on
receipt of invoice at the end of each week period worked. Payment will be made via Paypal, or
by an alternative mutually agreed method

6. TERM/TERMINATION. This contract is “at-will” and is not for any definite period of time. It
may be terminated at any time by the Contractor or the Client, for any reason or no reason,
with or without advance notice.

7. NON-DISCLOSURE AND NON-SOLICITATION. The Contractor shall not directly or indirectly

disclose to any person other than a representative of the Client at any time either during the
term of this Agreement or following the termination or expiration thereof, any confidential or
proprietary information pertaining to the Client or the Client’s customers including but not
limited to customer lists, contacts, financial data, sales data, supply sources, business
opportunities for new or developing business, plans and models, or trade secrets.
Furthermore, the Contractor agrees that during the term of this Agreement, and for 6
months following the termination of this Agreement, the Contractor shall not directly or
indirectly solicit or attempt to solicit any customers or suppliers of the Client other than on
behalf of client himself.

8. RELATIONSHIP OF PARTIES. It is understood by the parties that the Contractor is an

independent contractor with respect to the Client and not an employee of the Client. The Client
will not provide fringe benefits, including health insurance benefits, paid vacation, holiday
pays or any other employee benefit, for the benefit of the Contractor.

However, Contractor agrees to abide by the rules set by the Client for purposes of payment on
work rendered.

9. WORK PRODUCT OWNERSHIP. Any works copyrighted, ideas, discoveries, inventions,

patents, products, or other information (collectively, the “Work Product”) developed in whole
or in part by the Contractor in connection with the Services shall be the exclusive property of
the Client.
Upon request, the Contractor shall sign all documents necessary to confirm or perfect the
exclusive ownership of the Client to the Work Product.

10. CONFIDENTIALITY. The Contractor will not at any time or in any manner, either directly or
indirectly, use for the personal benefit of the Contractor, or divulge, disclose or communicate
in any manner any information that is proprietary to the Client or the Client’s customers. The
Contractor will protect such information and treat it as strictly confidential. This provision shall
continue to be effective after the termination of this Agreement. Upon termination of this
Agreement, the Contractor will return (via email or shared drive), delete or destroy all hard copy
records, notes, documentation, and other written items that were used, created, or controlled
by the Contractor during the term of this Agreement.
