AGREEMENT

This agreement(“Agreement”)is made and entered into on the 14th day of July 2021 by
andbetween:

Vijay kumr. Jha an individual entrepreneur entering the Kannada film industry as an producer,
all collectively hereinafter referred to as“Vijay”(which expression shallunless it be repugnant to
the context or meaning hereof shall mean and include its successorsandassigns,etc.).

And

Rajat, Ankit Sadhoo , Harleen (Star angel ptoduction) an individual who will find for producers
on behalf of the Disclosing Party,hereinafter referred to as“Rajat,Ankit,Heer”(which expression
shall unless it be repugnant to the context or meaning hereof shall mean and include its
successors and assigns,etc.).

(Vijay). and (Rajat,Ankit,Harleen) are hereinafter individually referred to as the“Party”and

collectively asthe“Parties”. The party disclosing information shall be referred to as“Disclosing
Party”and the party receiving information under this Agreement shall be referred to
as“ReceivingParty”.

WHEREAS:
A. Vijay Kumar Jha 691975115149 inter alia, has a Kannada film project directed Shrijai
starring vinod prabhakar.
B. Rajat Malik with Adhar card 9747 6968 1908 and Ankit Sadhoo with adhar card 4920
6942 3349, Heer with adhar card 5695 6353 7145 inter alia, will be finding and giving a
producer to fund the aforementioned kannada film project on behalf of Vijay kumar Jha
and his team.

Thefollowinghasbeenpresented:
Rajat ,Ankit Sadhoo,Heer activity is to put producers in relation with filmmakers in search of
capital, by arousing the interest of these producers through the presentation of various profiles
of projectsofinvestment.

This agreement is especially aimed to define the provision of services rendered by Rajat
Malik,Ankit Sadhoo,Heer to Vijay kumar Jha to the aim mentioned above, being understood that
Rajat Malik,Ankit Sadhoo,Heer provides investment services nor investment advice,whetherit be
to investors or entrepreneurs.
1. Star angel production completely responsible for finding financier for signing amount for
the film ranging from 10 lakhs to 40 lakhs.
 2. If the financier finances the 10 to 40 lakhs of signing amount, they will not hold any
producer name with vijay kumar jha and dont.have the authorization to get profit ratio. The
amount financed by financier for signing amount will be given to the. Financier within one
month from receipt of signing amount.
3. If the cheque given by the financier is bounced , vijay kumar jha is no where responsible to
pay the financed cheque amount.
4. If star angel production finds the financier for 11cr after the receipt of successful siginjng
amount within one week, they hold the.name of co.producer in the film and NO WHERE
RESPONSIBLE FOR FINANCIAL LIABILITIES.
CONDITIONS OF STAR Angel:
1. After the signing amount is given , there should be no change on the director ahrijai and
the producer vijay kumar.
2. Once the 11cr is funded, the project should start immediately. Otherwise star angel
productions have the legal procedure and will take legal actions against vijay kumar jha
producer.
3. However star angel productions is obliged to get the comssion part mentioned on the
agreement on what ever happens after getting siginjng amount.

Remuneration of Star Angel Production

1. Vijay kumar Jha will pay ftrain tickets to Mumbai fro Anki sadhoo residence in delhi dated
14h July 2021 for the onward ticket and 19th July 2021 for thereturn ticket to.bangalore. From
14th july 2021 to sunday morning 18th july 2021 ,hotel rooms will be booked. Star angel
production needs to checkout the hotel on 18th july 2021. If they want to stay more days after
18th july 2021 vijay kumar jha will not bear the expenses staying in mumbai after 18th july 2021.
Expenses include train booking,ola booking,flight booking according to the convenience of
producer vijay kumar jha. Food expenses include morning breakfast with tea, lunch, and dinner.
As mentioned Star angel production will reach From mumbai to bangalore Vijay kumar jha will
also pay for the hotel room from 19th July 2021 until signing process and commission of star
angel production received. The hotel room and flight or train tickets can only be used by Star
angel production collectively strictly on the dates and within the durationspecified.

2. Star angel production collectively is responsible to show the financier to vijay kumar jha on or
before 18th july 2021. Star angel production is responsible.to hand over the cheque or cash or
online payment to vijay kumar jha and his partner nominated on or before 19th july 2021.
3. Star angel production holds no financial liabilities after giving away the cheque or any mode
of cash transaction or online transaction to Vijay kumar jha and his partner nominated.
4. Star angel.production should.not.involve in production transaction of signing amount or the
financial transactions of the film.journey.
5. If star angel production wants to involve in all the financial transactions of the film kavala
directed by Shrijai should take the responsibility of financial liabilities.
6. . Failure to abide by the contract will resultin Star angel production reimbursing the full
amount paid for the flight tickets and hotel room and all the expenses incurred for
travel,staying,food as per receipts within 5 working days to Vijay kumar jha.
7. This.contract is for signing amount. In case star angel productions gives financier of 11cr for
the film directed by Shrijai and produced by vijay kumar jha, new contract will be made with
strict rules.

If star angel production finds the finance for signing amount following commission will
be given.

10 to 14 lakhs - 1akhs
15 to 20 lakhs - 2 lakhs
21 to 30 lakhs 3 lakhs
31 to 40 lakhs - 4 lakhs

Amount will be given as online.transaction to star angel production after the cheque
from financier encashed and signing process completed. If it is a cash payment it
will.be handed to star angel immediately on receipt of cash payment of siginjng
amount. If it is a online transaction, need to allow.one day or the stipulated days for
the transaction to be completed by the bank.

If the cheque is bounced or if the online transaction is not successful, we (vijay kumar
jha and his partner named kasinath) not responsible to pay the financier amount or
commission to star angel as mentioned in the agreement.

Vijay kumar jha partner Kasinath chinu chavhan:

Kasinath will be getting the signing amount in to his bank account. He will be siginjng
along with vijay kumar jha. He will.produce his bank statement, cheque ,pan card and
adhar card during the meeting. Kasinath will.playing majorly.co director role or any
role specified by producer vijay kumar jha.

Duration:
The contract is effective 14th July 2021 and valid until the successful signing process if the film
directed by shrijai and produced by vijay kumar jha and failure to abide these rules will result in
legal case on star angel production by vijay kumar jha.

ApplicableLawandCompetence:
The Parties agree that the courts of India have exclusive jurisdiction to hear or settle
anydisputes, claims or proceedings which may arise out of or in connection with this
agreement(including in relation to its formation or validity) and, for these purposes, each party
irrevocablysubmitstothejurisdictionofthecourtso Mumbai ,India.
