FULL TIME RECRUITMENT AGREEMENT

This Full Time Recruitment Agreement ("Agreement") is entered into on 12th day of May (Effective Date),
2021 by Viaante Business Solutions Pvt. Ltd., hereinafter referred to as VIAANTE having its registered
office at Citi Of Joy, 627, 7th Floor, Ecstasy, Mulund West, Mumbai, Maharashtra 400080, Maharashtra,
India and Khonduit Solutions Pvt. Ltd, hereinafter referred to as Agency having its principal office at
H.No.132, Ground Floor, Maruti Nagar Colony, Madarawa, Ramna, Varanasi, U.P.-221011, India. This
agreement is effective for a period of two years from the effective date, and can be extended thereafter by
mutual written consent.

RECRUITMENT SERVICES:

VIAANTE and VIAANTE’s Client desires to obtain the services of Agency in its placements and
recruitment of employees. Agency desires to assist VIAANTE and VIAANTE’s Client by performing
employee placement and recruiting services for a placement fee as mentioned in this Agreement.

PLACEMENT FEES:

For all Candidates which have been identified and placed through Agency, VIAANTE agrees to pay Agency
a fixed onetime Placement Fee. This amount will be 8.33% of the Candidates Annual CTC. The Placement
fee is inclusive of all applicable taxes, and no other payment is due to Agency for the Services rendered
under this Agreement. VIAANTE agrees to share the appointment letter issued to the Candidate for
business transparency.

PAYMENT TERMS:
Agency will raise an invoice towards Placement Fee immediately after the Candidate joins VIAANTE
or its Client. VIAANTE agrees to honor the invoice raised by Agency within 30 Calendar days of receipt
of the invoice.

CANDIDATE REPLACEMENT:
If the placed Candidate (referred hire) quits the assignment within 90 (ninety) days of deployment with
VIAANTE or its Client, Agency agrees to provide a replacement guarantee for the same or equivalent
positions.
In the event, Agency is unable to provide a replacement Candidate, reasonably acceptable to VIAANTE
and VIAANTE’s Client within 60 days of the date the referred hire leaves, Agency shall refund the
placement fee paid by VIAANTE to Agency for such referred hire. Alternatively, VIAANTE can adjust
the placement fee with the next placed Candidate.

VIAANTE and VIAANTE’s Client will not be liable to pay any placement fees to Agency for any Agency
provided candidate who is hired by VIAANTE and/or VIAANTE’s Client after twelve (12) months from the
date of submission of such candidate's resume to VIAANTE by the Agency.

Agency will not be liable to pay any fees incurred during the hiring process for background verification
checks of the candidate provided by the Agency. VIAANTE is solely responsible to bear all costs of the
background checks.

NON SOLICITATION:
Agency agrees that, during the term of this agreement or any extension thereof, it shall not solicit to hire
or hire, any employees of VIAANTE or its client who were introduced to Agency during the period of this
agreement.

SEVERABILITY

If any part of this agreement is held by a court or arbitrator to be invalid, void, or unenforceable, the remaining
provisions will nevertheless continue in full force and effect.

OTHER TERMS:
1. Either parties are acting only as an independent contractors. This Agreement shall in no event be
construed in such a way that either party constitutes, or is deemed to be, the representative, agent,
employee, partner, or joint venture of the other party.

2. Either parties will comply will all applicable laws, regulations and orders.

3. Agency will maintain all records during the hiring process and will ensure that data privacy and
security requirements are met as per Regulations.

4. Agency will take prior approval from VIAANTE before making any brand representation or job
advertisements on behalf of VIAANTE or VIAANTE's clients.

5. VIAANTE or VIAANTE’s clients are under no obligation to recruit a person recommended by Agency

6 VIAANTE shall be the sole deciding authority for recruiting a Candidate recommended by Agency.

7. Either parties may terminate this Agreement anytime by giving thirty (30) days advance written notice.
 8. The Agreement constitutes the final entire and exclusive agreement between the parties with respect to
their subject matter and supersedes all prior oral or written agreements in this regard. No Change,
waiver, or discharge hereof shall be valid unless in writing and signed by the party against which it is
sought to be enforced.

9. Any claim, action, or suit that Contractor wishes to bring relating to this Agreement, must be
commenced within six months from the Consultant’s final day of work for Company or be forever barred.

10. The waiver by either party of a breach or default in any of the provisions of this Agreement by the other
party is not a waiver of any such succeeding breach of the same or other provisions; nor does any delay
or omission on the part of either party to exercise or avail itself of any right, power, or privilege that it has
or may have operate as a waiver of any breach or default by the other party.

11. This Agreement, which includes the exhibits, is the entire agreement between the parties and supersedes
all prior agreements between the parties, whether written or oral, relating to the same subject matter. No
modification, amendments, or supplements to this Agreement are effective for any purpose unless they
are in writing and signed by each party. The relationship established between the parties is governed
solely by the terms and conditions of this Agreement.

12. Any and all notices, requests, demands and other communications permitted or required must be in
writing and personally delivered or if mailed, postage prepaid, certified or registered, return receipt
requested, to the parties at their last known business address. The parties agree to update each other
in case of change of their business address for business communications.

13. Either Parties acknowledge that each of them has equally participated in the final wording of this
Agreement. Accordingly, this Agreement will be construed equally against each party even though a
particular party's counsel may have prepared the final version of the Agreement.
